HomeMy WebLinkAboutSEV - PWRF - 30% Anaerobic Design Reimbursement AgreementFILED FOR RECORD AT REQUEST OF: City of Pasco WHEN RECORDED RETURN TO: City of Pasco, Washington 525 North 3rd Pasco WA 99301 ANAEROBIC DIGESTION AND RENEWABLE NATURAL GAS PROJECT FEASIBILITY REVIEW AGREEMENT THIS AGREEMENT entered into this 2nd day of November, 2021, by and between Sustainable Energy Ventures, LLC, hereinafter referred to as "RNG Project Developer", and the City of Pasco, Washington, a Municipal Corporation, hereinafter referred to as "City." WHEREAS, City operates a Process Water Reuse Facility ("PWRF') to treat industrial wastewater from Food Processors ("Processors") located in the vicinity of the City of Pasco; and WHEREAS, the industrial wastewater treatment system operated by City, including the PWRF, requires improvements in order to sufficiently treat current Processor wastewater flows such that they continue to meet City permit limits; and WHEREAS, the City's current wastewater treatment system is at or near capacity and requires expansion to enable new Processors to use the facility or existing Processors to expand their operations; and, WHEREAS, RNG Project Developer has made a proposal to City and to Processors to privately develop a new wastewater treatment plant that includes anaerobic digestion for more comprehensive wastewater treatment and nitrogen removal to bring effluent nitrogen levels to below City's permit levels (together, "AD System"), a gas cleanup system ("Gas Cleanup System") for the production of Renewable Natural Gas, and an expansion of treatment capacity (all together, the "Project"); and, WHEREAS, in order to provide City and Processors with accurate wastewater treatment costs and to determine the feasibility of the Project, the RNG Project Developer will need to complete a 30% engineering design effort on the potential AD System ("Feasibility Review") for a cost of $155,000.00, as well as complete an engineering design effort on the potential Gas Cleanup System and Balance of Plant ("BOP") engineering that is outside of the scope of the AD System design effort; and WHEREAS, the Processors have agreed to support the cost of the Feasibility Review; and WHEREAS, City has agreed to pay RNG Project Developer for the Feasibility Review of the AD System and obtain reimbursement from Processors through City's regular billing processes.
