INTERG4VERNMENTAL COQPERATIC�N AGREEMENT
THIS AGREEMENT is between Bentan Caun#y, ("COUNTY"}a political subdivisian of the
Sta#e of Washingfon, and the City of Pasco, a municipal corporation.
WITNESSETH:
WHEREAS, the Interlocal Cooperation Act, as amended, and codified in Chapter 39.34
of the Revised Gade af Washing#on provides far interlocal �ooperation between
go�emmental agencies; and
WHEREAS, the purpase of#h�s Agreement is to cooperatively undertake and camplete
an aerial pho#ography and prkhophoto mapping project of portions of BENTON and
FRANKLIN COUNTIES, inc(uding the areas lying wi#hin the CITY �F PASCO; and
WHEREAS, this project will benefit both, because fhe COUNTY has a need ta update its
urban ortho-imagery of the Gounty in 2020, and the CITY OF PASCO has a need to
update its ortho-imagery of those areas lying within fhe limits of the Pasco Urban Growth
Baundary; and
WHEREAS, both parties have the capability ta independently acquire and/or produce
2020 ortho-imagery, but if each acted independently, the results wauld involve significant
redundancies and increased costs; and
WHEREAS, a majar gaal of this Agreement is to reduce and/ar eliminate duplication and
save governmental costs; and
WHEREAS, the ClTY OF PASCO has requested that the COUNTY provide and deliuer
to them the ortha-imagery of the Pasco Urban Grvwkh Boundary, with 4-inch or better
pixel resolutian; and
11�HEREAS,the COUNTY has entered intfl � personal services contract with GEOPHEX,
LTD., for the purpose of undertaking and comple#ing an aerial phatography and urban
orthophato mapping project of portions of Ben#on and Frank(in Caunties; and
WHEREAS, the COUNTY has inciuded, as part af the contracf it has entered into wi#h
GEOPHEX, LTD., all prouisions necessary to deliver artho-imagery of t�e areas lying
within several lacal urban growth areas to the ClTY 4F PASCO at the requested 4-inch
or better pixel resolution and the delivery of the Benton County 9 foot or better pixel
resolution; and

WHER�AS, the CITY OF PASGO has agreed to pay the CUUNTY#he amount of the cast
of the delivery of ortho-imagery of the area within the Pasco Urban Growth Boundary,
with 4-inch or better pixel resolution; and
NflW, THEREFORE, the parties agree as follows:
1. The COUNTY shall provide ail data and resources necessary for GEOPHEX, LTD.,
#a �omplete the work as autlined in the personal services contract it entered into
with GEOPHEX, LTD., for the purpose af undertaking and campleting an aerial
photography and urban orthophato mapping project of partions of Benton and
Franklin Caunties.
2. The COUNTY shafl provide all preliminary da#a received from GEOPHEX, LTD.,
for the Pasco Project Area, as described in the attached Exhibit B, to#he CITY OF
PASCO fior their revi�w and comm�nt.
3. The COUNTY shall relay the CITY OF PASCO's concerns regarding accuracies
and visua! issues such as seams or structures with edge or displacement effects
to GEGIPHEX, LTD. and assure that such concerns are addressed in the finaf
praduct produced by the C4UNTY'S contract with GEOPHEX, LTa.
4. The COUNTY shall deiiver to the GITY OF PASCO a copy of af! project
deliverables across the entire e�ent af the Project Area as described in Exhibit A
(Attachedj, including both project documentation and project data, as described in
the persanal services cantract to be entered with GEQPHEX, LTD.
5. The CITY C�F PASCO shall reimburse the C�UNTY for the cost of the delivery of
or�ho-imagery wi#h 4-inch or t�etter pixel resolution across the Pasco Praject Area
as described in Exhibit B (Attached). The amount to be reimbursed by the GITY
OF PASCO to the COUNTY shaN be Nineteen Thousand Six Hundred and Forty-
Six dollars and Ninety-Six cents ($'�9,646.96), plus B&O tax.
5. The C4UNTY shall submit an invoice to #he CITY OF PASCQ far reimbursement
to the C4UNTY upon the successful deGvery of the praject documentation and
project data, which shall be payable within thirty (30) days.
7. This Agreement does not involve the creation of a separate legal ar administrative
entity. Excep# as otherwise provided herein, there will be no real or persanal
property acquired, held, or disposed of relating to this Agreement, unless agreed
upon in writing by the Parties. In the event that joint property is acquired, then it
shall be distributed, when the Agreement is terminated, to the Parties in proportion
ta that P�rty's contribution to purchase such property, except as may otherwise be
provided herein.
8. The duration of this Agreement will be from the da#e last signed until December
31, 202t1.
9. The administrator of this Agreemen#wili be the Benton County Engineer.
� 10. Upon execution of this Agreement, each party wilf provide#he other with a cer�ified
copy of the resolution, ordinance, or other authority given to execute this
Agreement pursuant to RCW 39.34.030(2), and those documents will be attached
hereto and ietcarporated herein as Exhibit"C"(COUNTY) and Exr�ibit"D"{CETY OF
PASCO).

A RESULUTION of the City of Pasco, Washington, Authorizing the City
Manager to execute an Intergovernmental Agreement with Benton County for
Aerial Photagraphy and 4rthophoto Mapping of areas within the City of Pasco.
WHEItEAS, the City of Pasco, Washington, and Bentan County, Washington each have
the need for aerial photography and orthophoto mapping; and
WHEREAS, the City of Pasco, Washington, and Benton County, Washington desire to
enter into an Intergovernmental Agreement for efficiency and cost effectiveness; and
WHEREAS, the City Council of the City of Pasco, Washington, has after due
consideration, determined that it is in the best interest of the City of Pasco to enter into an
Intergovernmental Agreement with Benton Gounty, Washington; NOW,THEREF4RE,
THE CITY COUNCIL OF THE CITY OF PASCU,WASHINGTUN,UQ RESULVE
AS FOLLOWS:
Section l.The City Cauncil of the City of Pasco approves the terms and conditions of the
Intergoveznrnental Agreement between the City of Pasco and Benton County, Washington, as
attached hereto and incorporated herein as Exhibit A.
Section 2. The City Manager of the City of Pasco, Washington, is hereby authorized,
empowered, and directed to execute said Agreement on behalf of the City of Pasco.
PASSED by the City Council of the City of Pasco, Washington and approved asprovided
by law this 4th day of Novemer, 20I9.

RESOLUTION ���� ���
BEFORE THE BOARD OF COMMISSIONERS OF BENTON COUNTY,WASHINGTON:
IN THE MATTER OF APPROVING AN INTERGOVERNMENTAL COOPERATION AGREEMENT
WITH THE CITY OF PASCO FOR HIGH RESOLUTION COLOR DIGITAL ORTHOPHOTOGRAPHY
FOR 2020 FOR THE AREA WITHIN THE PASCO PROJECT AREA.
WHEREAS,per the Interlocal Cooperation Act,as amended and codified in Chapter 39.34 of the Revised Code of
Washington,provides for interlocal cooperation between governmental agencies; and
WHEREAS,in order to keep up with growth and the associated public services,Benton County continually updates
its GIS base and periodically updates its digital orthophotography base; and
WHEREAS,with Benton County,the City of Pasco is updating its urban digital orthophotography base; and
WHEREAS, both Benton County and the City of Pasco have the capability to independently acquire 2020 ortho-
imagery, but if each acted independently, it would involve significant redundancies and increased costs; and
WHEREAS, the City of Pasco has requested that Benton County administer a contract for 4-inch or better pixel
resolution orthophotography within the Pasco Project Area; and
WHEREAS, the City of Pasco has agreed to pay Benton County the amount of the cost of the delivery of the 4-
inch or better pixel resolution orthophotography within the Pasco Project Area;NOW,THEREFORE
BE IT RESOLVED, the Board of Benton County Commissioners, Benton County, Washington hereby agrees to
approve this Intergovernmental Cooperation Agreement with the City of Pasco in the amount of Nineteen
Thousand, Six Hundred and Forty-Six dollars and Ninety-Six cents($19,646.96),plus B&O tax;and
BE IT FURTHER RESOLVED the Board hereby authorizes the Chairman to sign the Intergovernmental
Cooperation Agreement attached hereto; and
BE IT FURTHER RESOLVED the term of the attached contract commences upon execution by both parties,and
shall expire upon the completion of the project.
