(Contractor) entered into a Professional Services Agreement No. 20-035 on August 13, 2020 to provide engineering services with respect to the PWRF Embankment Repair Project. WHEREAS, the City of Pasco (City) and PACE Engineers, Inc. (Contractor) have the contractual authority to permit or deny modifications of the Professional Services Agreement No. 20-035 per Section 17 of that Agreement; and WHEREAS, the City and the Contractor entered into the first Addendum to the Professional Services Agreement No. 20-035 on September 17, 2020; and WHEREAS, the City and the Contractor entered into the second Addendum to the Professional Services Agreement No. 20-035 on October 1, 2020; and WHEREAS, the City and the Contractor entered into the third Addendum to the Professional Services Agreement No. 20-035 on October 20, 2020; and WHEREAS, the City and the Contractor entered into the fourth Addendum to the Professional Services Agreement No. 20-035 on December 30, 2020; and WHEREAS, all parties to this agreement agree that this fifth addendum will not modify or change any other terms (including any references to terms and conditions that are in conflict) of the professional services agreement (Agreement No. 20-035) not covered by this Addendum, which is attached. NOW, THEREFORE, the agreement is modified by this Addendum No. 5 to allow PACE Engineers, Inc. to provide additional engineering services as described on Exhibits A and B. 1. Scope of Work: See Exhibits A and B, (excluding any references to terms and conditions that are in conflict with terms and conditions of Agreement No. 20-035). 2. Fee: The compensation for the additional work is based on a Fixed Fee Basis of $34,458.00, increasing the overall total authorization amount to $211,742.00. December 30, 2020 PWRF Embankment Repair Supplement No. 5 Scope of Work: PACE was the design engineering of record and Shannon & Wilson the geotechnical engineering for the recent PWRF Embankment Repair construction documents. The City of Pasco completed award of the project and has requested PACE's assistance during construction phase of the project. The City has requested the following services during construction; • Responding to RFIs, • Review of submittals, • Geotechnical Engineering Daily FieldActivilyReportsduring Embankment Repairs • Coordination with Ecology • Preparation of the Certification of Project Completion • Preparation of Record Drawings Proiect Tasks: Task 1— Construction Engineering Services Construction Engineering Services will include the following: • Responding to RFIs. To establish a budget for this task we estimate up to 5 RFIs. • Shop drawing and submittal review and documentation. To establish a budget for this task we estimate up to 5submittals. • Attending up to 3 virtual progress meetings with Contractor, Ecology, and City atstrategic milestones to be determined by Citystaff. • Geotechnical Field Observe Reports of Embankment Repair (see attached S & W scope of services) • Preparing Certificate of Construction Completion Report Prepare record drawings based from contractor provided as -built data of the key elements of the embankment repair project. Deliverables: PACE will provide the following deliverables: • Log and responses for up to 5 RFIs • Log and responses for up to 5 Shop drawings and submittals Provide Daily Activity Reports (DFAR) • Certification of Construction Completion Report • Record Drawings electronic copy in AutoCAD 3D format End Scope of Work '1 NON fjW1LSON _ GEOTECHNICAL AND ENVIRONMENTAL CONSULTANTS December 21, 2020 Mr. Robin Nelson, PE PACE Engineers 11255 Kirkland Way, Suite 300 Kirkland, Washington 98003 RE: PROPOSAL FOR CONSTRUCTION OBSERVATION SERVICES (REV. 0); PROCESSED WATER REUSE FACILITY EMBANKMENT REPAIR, FRANKLIN COUNTY, WASHINGTON Dear Mr. Nelson; Shannon & Wilson is pleased to submit this proposal for geotechnical construction observation services at the City of Pasco's (City) Process Water Reuse Facility (PWRF) emergency embankment repair in Franklin County, Washington. BACKGROUND The PWRF is located approximately 11/2 miles northeast of the intersection of US 395 and Foster Wells Road in Franklin County, Washington. The PWRF facility treats process wastewater from multiple vegetable processors (e.g., carrots, onions, potatoes, and others) on the west side of US 395 and disperses the treated water back onto local agricultural fields. On June 27, 2020, PWRF staff discovered an embankment failure between the 8 million gallon (MG) and 35 MG ponds. The liner and embankment failure included: Ripping the existing liner aro Linda recently installed overflow pipe on both sides of the embankment (8 MG and 35 MG pond sides); Releasing an unknown quantity and composition of process wastewater from the 8 MG pond into the 35 MG pond; Spreading approximately 1,000 to 1,500 cubic yards (yd') of embankment materials into the 35 MG pond, predominantly flowing below the 35 MG pond liner; it is unknown if embankment failure materials also flowed beneath the 8 MG pond liner. At some point prior to the embankment failure, but after the overflow pipe installation, we understand the City identified a hole in the 8 MG pond liner. The City has contracted with PACE Engineers (PACE) for embankment repair design services. Shannon & Wilson completed a Geotechnical Engineering Report (GER) (Rev. 1) dated November 24, 2020 which summarized the embankment failure; our explorations, laboratory testing, geotechnical engineering analyses and results; and provided geotechnical recommendations for the repair. PROPOSED SCOPE OF SERVICES Shannon & Wilson will provide full- and/or part-time geotechnical construction observations services of the project earthwork. We anticipate our field representative will be onsite to review the failure area excavation, subgrade preparation, and structural fill placement to: identify and document subgrade conditions and materials; document geotechnically-related construction conditions, equipment, methods, and procedures; 11 review density test results (performed by others); and m provide field recommendations, as needed. Shannon & Wilson will inform PACE and/or the City of our observations and findings in the field. Our field representative will prepare a Daily Field Activity Report (DFAR), including observations, actions, and other geotechnically-related information. We will provide a DFAR copy to PACE within three (3) business days. While at the project site, our field representative will advise the Contractor of our observations and opinions. Recommendations that may affect the contract costs will be made to PACE or the City site representative(s). Our field representative will not instruct or direct the Contractor, as his direction should be received from the City or others responsible for contract administration. We will contact the PACE or the City representative(s) directly if immediate action needs to be taken. Our duties do not include a review of, or responsibility for, the adequacy of safety measures at or near the project site. We anticipate the City or Contractor will engage a material testing firm to conduct in-place density tests of the fill and to provide special inspections as construction progresses. In this regard, the Shannon & Wilson project manager will supervise our field representative, review daily DFARs, and provide the additional consulting services, as necessary, such as: ■ Responding to Requests for Information and submittals; Making site visits to review unusual or unanticipated conditions; Making engineering evaluations and giving recommendations as conditions dictate; 10 Attending site meetings, as necessary; and ■ Providing other services, as necessary. Mr. Clinton Wilson, P.E., will be the project manager. ESTIMATED SCHEDULE At your request, Shannon & Wilson observed the available excavation on December 17, 2020; the 35 MG pond drainpipe was already installed and backfilled with concrete. We anticipate part-time observations will be necessary through embankment construction and pipe penetrations. We plan periodic site visits about 2 times per day through earthwork. We understand the contractor will work 12 -hour days with an 8 -hour day on December 24, 2020. We also understand earthwork is scheduled to wrap up about January 4, 2021. COST OF SERVICES Shannon & Wilson is prepared to undertake the above Scope of Services on a tune -and - materials basis in accordance with a mutually -negotiated agreement. We anticipate our primary field representative will be on-site approximately two (2) to four (4) hours each site visit, including travel and construction observations. Including DFAR preparation and review, we anticipate each day of construction observation services will cost approximately $800 to $2,500, depending on actual site activities. For estimating purposes, we suggest a budget of $22,000 to cover observations and conference calls through about January 4, 2021. Project management and consulting services will be billed in accordance with the rates provided in previous project phase proposals. Our efforts required to observe the earthwork are not directly under our control. Actual required efforts are determined by the earthwork contractor's progress rate, weather, tuzforeseen difficulties, exposed soil and groundwater conditions, and other factors.
