HomeMy WebLinkAboutHDR Engineering, Inc - Risk and Resiliency Assessment & Emergency Reponse Plan Agreement (Agreement No. 20-030)PROFESSIONAL SERVICES AGREEMENT 20252 — Risk & Resiliency Assessment & Emergency Response Plan (RRA/ERP) Project Agreement No. 20-030 THIS AGREEMENT is made and entered into between the City of Pasco, a Washington Municipal Corporation, hereinafter referred to as "City", and HDR Engineering, Inc., hereinafter referred to as "Consultant," on the 114 day of , 2020. RECITALS WHEREAS, the City desires to have certain services and/or tasks performed as set forth below requiring specialized skills, training, equipment, and other supportive capabilities; and WHEREAS, the Consultant represents that it is qualified and possesses sufficient skills, experience, equipment, and necessary capabilities, including: technical and professional expertise, when required, to perform the services and/or tasks as set forth in this Agreement upon which the City is relying. NOW, THEREFORE, in consideration of the mutual covenants, and performances contained herein, the parties agree as follows: 1. Scope of Services. The Consultant shall perform such services and accomplish such tasks, including the furnishing of all labor, materials, facilities and equipment necessary for full performance thereof, as identified and designated as Consultant's Responsibilities throughout this Agreement, and as more particularly described in Scope of Work detailed in [Exhibit A], attached hereto and incorporated herein (the "Project"). 2. Term. This Project shall begin on the execution date listed above and promptly be completed by 06/30/2021. 3. Compensation and Payment. 3.1 Payment for services provided hereunder shall be made following the performance of such services. Such payment shall be\ full compensation for work performed or services rendered, and for all labor, materials, supplies, equipment, and incidentals necessary to complete the Project. 3.2 No payment shall be made for any services rendered by the Consultant except for services identified and set forth in this Agreement except as may be authorized by a written supplemental agreement approved by the City. 3.3 The City shall pay the Consultant for work performed under this Agreement upon timely submitted invoices detailing work performed and expenses for which reimbursement is sought. Payment shall occur within thirty (30) days of receipt and approval of an invoice. 3.4 The City shall pay the Consultant for all work performed and expenses incurred under this Agreement, as follows. ® Hourly (Multiple Rate): Such rates as identified on [Exhibit B], plus actual expenses incurred as provided under this Agreement, but not to exceed a total of $146,100.00 without the prior written authorization by the City. 4. Reports and Inspections. 4.1 The Consultant at such times and in such forms as the City may require, shall furnish to the City such statements, records, studies, surveys, reports, data, and information as the City may request pertaining to matters covered by this Agreement. 4.2 The Consultant shall, at any time during normal business hours and as often as the City or the Washington State Auditor may reasonably deem necessary, make available for examination all of its records and data with respect to all matters covered, directly or indirectly, by this Agreement and shall permit the City, or its designated authorized representative to audit and inspect other data relating to all matters covered by this Agreement. The City shall receive a copy of all audit reports made by the agency or firm as to the Consultant's activities. The City may, at its discretion, conduct an audit at its expense, using its own or outside auditors, of the Consultant's activities which relate, directly or indirectly, to this Agreement. Consultant shall be provided a copy of such reports. 4.3 The Consultant, during the term of this Agreement, shall obtain all permits and registration documents necessary for the performance of its work and for the execution of services at its own expense, and shall maintain its validity. Upon request, the Consultant shall deliver to the City copies of these licenses, registration documents, and permits or proof of their issuance or renewal. 4.4 Consultant shall maintain books, records and documents, which sufficiently and properly reflect all direct and indirect costs related to the performance of this Agreement, and shall maintain such accounting procedures and practices as may be necessary to assure proper accounting of all funds paid pursuant to this Agreement. These records shall be subject, at all reasonable times, to inspection, review, or audit as provided above. 4.5 The Consultant shall retain all books, records, documents or other material relevant to this Agreement for three (3) years after its expiration. Consultant agrees that the City, or its designee, shall have full access and right to examine any of said materials at all reasonable times during this period. Ownership and Use of Documents. 5.1 All research, tests, surveys, preliminary data, information, drawings and documents made, collected, or prepared by the Consultant for performing the services subject to this Agreement, as well as any final product, collectively referred to as "work product," shall be deemed as the exclusive property of the City, including copyright as secured thereon. Consultant may not use them except in connection with the performance of the services under this Agreement or with the prior written consent of the City. Any prior copyrighted materials owned by the Consultant and utilized in the performance of the services under this Agreement, or embedded in with the materials, products and services provided thereunder, shall remain the property of the Consultant subject to a license granted to the City for their continued use of the products and services provided under this Agreement. Any work product used by the Consultant in the performance of these services which it deems as "confidential," "proprietary," or a "trade secret" shall be conspicuously designated as such. 5.2 In the event of Consultant's default, or in the event that this Agreement is terminated prior to its completion, the work product of the Consultant, along with a summary of the services performed to date of default or termination, shall become the property of the City, and tender of the work product and summary shall be a prerequisite to final payment under this Agreement. The summary of services provided shall be prepared at no additional cost, if the Agreement is terminated through default by the Consultant. If the Agreement is terminated through convenience by the City, the City agrees to pay Consultant for the preparation of the summary of services provided. 6. Public Records. 6.1 Consultant acknowledges that the City is an agency subject to Chapter 42.56 RCW "Public Records Act." All preliminary drafts or notes prepared or gathered by the Consultant, and recommendations of the Consultant are exempt prior to the acceptance by the City or public citation by the City in connection with City action. 6.2 If the Consultant becomes a custodian of public records of the City and request for such records is received by the City, the Consultant shall respond to the request by the City for such records within five (5) business days by either providing the records, or by identifying in writing the additional time necessary to provide the records with a description of the reasons why additional time is needed. Such additional time shall not exceed twenty (20) business days unless extraordinary good cause is shown. 6.3 In the event the City receives a public records request for protected work product of the Consultant within its possession, the City shall, prior to the release of any protected work product or as a result of a public records request or subpoena, provide Consultant at least ten (10) business days prior written notice of the pending Professional Services Agreement — HDR Engineering, Inc. Agreement No. 20-03 0 20252 — Risk & Resiliency Assessment & Emergency Response Plan (RRA/ERP) Project Page 3 of 9 release and to reasonably cooperate with any legal action which may be initiated by the Consultant to enjoin or otherwise prevent such release. 7. Independent Contractor Relationship. 7.1 The parties intend that an independent contractor relationship is created by this Agreement. The City is interested primarily in the results to be achieved; subject to the scope of services and the specific requirements of this Agreement, the implementation of services will lie solely with the discretion of the Consultant. No agent, employee, officer or representative of the Consultant shall be deemed to be an employee, agent, officer, or representative of the City for any purpose, and the employees of the Consultant are not entitled to any of the benefits or privileges the City provides for its employees. The Consultant will be solely and entirely responsible for its acts and for the acts of its agents, employees, officers, subcontractors or representatives during the performance of this Agreement. 7.2 In the performance of the services provided in this Agreement, Consultant is an independent contractor with full authority to control and direct the performance of the details of the work, however, the results of the work contemplated herein must meet the approval of the City and shall be subject to the City's general rights of inspection and review to secure the satisfactory completion thereof. 7.3 The Consultant shall comply with all State and Federal laws including, but not limited to: 7.3.1 The definition requirements of RCW 50.04.140 (Employment Security). 7.3.2 RCW 51.08.195 (Industrial Insurance). 7.3.3 Obtain a City of Pasco business license. 7.4 The City may, at its sole discretion, require the Consultant to remove any employee, agent or servant from employment on this Project who, in the City's sole discretion, may be detrimental to the City's interest. 8. Indemnification. 8.1 The Consultant shall defend, indemnify, and hold harmless the City, its officers, officials, employees, and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or omissions of the Consultant in performance of this Agreement, except for injuries and damages caused by the sole negligence of the City. 8.2 However, should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the Professional Services Agreement — HDR Engineering, Inc. Agreement No. 20-03 0 20252 — Risk & Resiliency Assessment & Emergency Response Plan (RRA/ERP) Project Page 4 of 9 concurrent negligence of the Consultant, and the City, its officers, officials, employees, and volunteers, the Consultant's liability, including the duty and cost to defend, hereunder shall be only to the extent of the Consultant's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the Consultant's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. 8.3 No liability shall attach to the City by reason of entering into this Agreement except as expressly provided herein. 8.4 This indemnification shall include damages, penalties and attorney fees sustained as a result of Consultant's delayed or failed performance of Section 6 above. 9. Insurance. The Consultant shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Consultant, its agents, representatives, employees, or subcontractors. The Consultant's maintenance of insurance as required by the Agreement shall not be construed to limit the liability of the Consultant to the coverage provided by such insurance, or otherwise limit the City's recourse to any remedy available at law or in equity. 9.1 Minimum Scope of Insurance. Consultant shall obtain insurance of the types and coverage described below: 9.1.1 Automobile Liability insurance covering all owned, non -owned, hired and leased vehicles. Coverage shall be at least as broad as Insurance Services Office (ISO) form CA 00 01. 9.1.2 Commercial General Liability insurance shall be at least as broad as ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, stop -gap independent contractors and personal injury and advertising injury. The City shall be named as an additional insured under the Consultant's Commercial General Liability insurance policy with respect to the work performed for the City using an additional insured endorsement at least as broad as ISO endorsement form CG 20 26. 9.1.3 Workers' Compensation coverage as required by the Industrial Insurance laws of the State of Washington. 9.1.4 Professional Liability insurance appropriate to the Consultant's profession. 9.2 Minimum Amounts of Insurance. Consultant shall maintain the following insurance limits: Professional Services Agreement — HDR Engineering, Inc. Agreement No. 20-030 20252 — Risk & Resiliency Assessment & Emergency Response Plan (RRA/ERP) Project Page 5 of 9 9.2.1 Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. 9.2.2 Commercial General Liability insurance shall be written with limits no less than: N $2,000,000 each occurrence; and N $2,000,000 general aggregate; 9.2.3 Professional Liability insurance shall be written with limits no less than: N $2,000,000 per claim; and N $2,000,000 policy aggregate limit; 9.3 Other Insurance Provision. The Consultant's Automobile Liability, Professional Liability, and Commercial General Liability insurance policies are to contain, or be endorsed to contain that they shall be primary insurance as respect the City. Any insurance, self-insurance, or self-insured pool coverage maintained by the City shall be excess of the Consultant's insurance and shall not contribute with it. 9.3.1 The Consultant's insurance shall be endorsed to state that coverage shall not be cancelled by either party, except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. 9.4 Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M. Best rating of not less than A: VII. 9.5 Verification of Coverave. Consultant shall furnish the City with original certificates and a copy of the amendatory endorsements, including, but not necessarily limited to, the additional insured endorsement, evidencing the insurance requirements of the Agreement before commencement of the work. 9.6 Notice of Cancellation. The Consultant shall provide the City with written notice of any policy cancellation within two (2) business days of their receipt of such notice. 9.7 City Full Availabilitv of Consultant Limits. If the Consultant maintains higher insurance limits than the minimums shown above, the City shall be insured for the full available limits of Commercial General and Excess or Umbrella liability maintained by the Consultant, irrespective of whether such limits maintained by the Consultant are greater than those required by this Agreement or whether any certificate of insurance furnished to the City evidences limits of liability lower than those maintained by the Consultant. 9.8 Failure to Maintain Insurance. Failure on the part of the Consultant to maintain the insurance as required shall constitute a material breach of contract, upon which the Professional Services Agreement — HDR Engineering, Inc. Agreement No. 20-030 20252 — Risk & Resiliency Assessment & Emergency Response Plan (RRA/ERP) Project Page 6 of 9 City may, after giving five (5) business days notice to the Consultant to correct the breach, immediately terminate the Agreement or, at its discretion, procure or renew such insurance and pay any and all premiums in connection therewith, with any sums so expended to be repaid to the City on demand, or at the sole discretion of the City, offset against funds due the Consultant from the City. 10. Nondiscrimination. In the performance of this Agreement, the Consultant will not discriminate against any employee or applicant for employment on the grounds of race, creed, color, national origin, sex, marital status, age or the presence of any sensory, mental or physical handicap; provided that the prohibition against discrimination in employment because of handicap shall not apply if the particular disability prevents the proper performance of the particular worker involved. The Consultant shall ensure that applicants are employed, and that employees are treated during employment in the performance of this Agreement without discrimination because of their race, creed, color, national origin, sex, marital status, age or the presence of any sensory, mental or physical handicap. Consultant shall take such action with respect to this Agreement as may be required to ensure full compliance with local, State and Federal laws prohibiting discrimination in employment. 11. Covenant Against Contingent Fees. The Consultant warrants that it has not employed nor retained any company, firm, or person, other than a bona fide employee working exclusively for the Consultant, to solicit or secure this Agreement; and that it has not paid or agreed to pay any company, person or firm, other than a bona fide employee working exclusively for the Consultant, any fee, commission, percentage, brokerage fee, gift, or other consideration contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, the City shall have the right to terminate this Agreement. 12. Assignment and Subcontracting. 12.1 The City has awarded this Agreement to the Consultant due to its unique qualifications to perform these services. The Consultant shall not assign (or subcontract other than as specifically identified in Exhibit A) its performance under this Agreement or any portions of this Agreement without the prior written consent of the City, which consent must be sought at least thirty (30) days prior to the date of any proposed assignment. 12.2 Any work or services assigned or subcontracted hereunder shall be subject to each provision of this Agreement including Section 6, Public Records; Section 10, Nondiscrimination; proper bidding procedures where applicable; and all local, State and Federal statutes, ordinances and guidelines. 12.3 Any technical or professional service subcontract not listed in this Agreement, must have prior written approval by the City. Termination. 13.1 Termination for Convenience. Either party may terminate this Agreement for any reason upon giving the other party no less than ten (10) business days written notice in advance of the effective date of such termination. 13.2 Termination for Cause. If the Consultant fails to perform in the manner called for in this Agreement, or if the Consultant fails to comply with any other provisions of this Agreement and fails to correct such noncompliance within five (5) business days of written notice thereof, the City may terminate this Agreement for cause. Termination shall be effected by serving a notice of termination on the Consultant setting forth the manner in which the Consultant is in default. The Consultant will only be paid for services and expenses complying with the terms of this Agreement, incurred prior to termination. 14. General Provisions. 14.1 For the purpose of this Agreement, time is of the essence. 14.2 Notice. Notice provided for in this Agreement shall be sent by: 14.2.1 Personal service upon the Project Administrators; or 14.2.2 Certified mail to the physical address of the parties, or by electronic transmission to the e-mail addresses designated for the parties below. 14.3 The Project Administrator for the purpose of this Agreement shall be: 14.3.1 For the City: Steve M. Dispute Resolution. 15.1 This Agreement has been and shall be construed as having been made and entered into and delivered within the State of Washington and it is agreed by each party Professional Services Agreement — HDR Engineering, Inc. Agreement No. 20-030 20252 — Risk & Resiliency Assessment & Emergency Response Plan (RRA/ERP) Project Page 8 of 9 hereto that this Agreement shall be governed by the laws of the State of Washington. 15.2 In the event of a dispute regarding the enforcement, breach, default, or interpretation of this Agreement, the Project Administrators, or their designees, shall first meet in a good faith effort to resolve such dispute. in the event the dispute cannot be resolved by agreement of the parties, said dispute shall be resolved by arbitration pursuant to RC W 7.04A. as amended, with both parties waiving the right of a jury trial upon trial de nova, with venue placed in Pasco. Franklin County, Washington. The substantially prevailing party shall be entitled to its reasonable attorney fees and costs as additional award and judgment against the other. 16. Nonwaiver. Waiver by the City of any provision of this Agreement or any time limitation provided for in this Agreement shall not constitute a waiver of any other similar event or other provision of this Agreement. 17. Integration. This Agreement between the parties consists in its entirety of this document and any exhibits, schedules or attachments. Any modification of this Agreement or change order affecting this Agreement shall be in writing and signed by both parties. 18. Authorization. By signature below, each party warrants that they are authorized and empowered to execute this Agreement binding the City and the Consultant respectively. City of Pasco Water Utility RRA and ERP Scope of Services EXHIBIT A SCOPE OF SERVICES Background 01 America's Water Infrastructure Act of 2018 (AWIA) requires all public water systems serving populations greater than 3,300 persons to assess the risks to, and resilience of, its system (referred to as the Risk and Resilience Assessment or "RRA"). The RRA is to include: • Risk to the system (supply, treatment, and distribution) from malevolent acts and natural hazards; • Resilience of the infrastructure, including SCADA/cyber resilience; • The monitoring practices of the system; • The financial infrastructure of the system; • The use, storage, or handling of various chemicals by the system; and • The operation and maintenance of the system. The detailed RRA will culminate with an implementation plan for capital and operational needs for risk and resilience management of the system. The assessment will be finalized and then certified to the Administrator of the Environmental Protection Agency (EPA) by December 31, 2020, for systems serving a population of more than 50,000. The RRA must be reviewed at least every five years to determine if the assessment will be revised. Upon review, the water system will recertify the original assessment or certify a revision to the assessment. Within six months of completion of the RRA, America's Water Infrastructure Act of 2018 also requires each system to submit a letter of certification to the EPA that the Emergency Response Plan (ERP) for a utility was created or updated (where necessary), and at least every 5 years thereafter. For systems serving a population of more than 50,000, the ERP certification is required by June 30, 2021, or six months after certification of the RRA, whichever comes first. Community water systems will to the extent possible coordinate with local emergency planning committees established under the Emergency Planning and Community Right -To -Know Act of 1986 when preparing or revising an assessment or emergency response plan under AWIA. Further, systems must maintain a copy of the assessment and emergency response plan for five years after certifying the plan to the EPA. Project Objective The primary objective of the Risk and Resilience Assessment (RRA) of the City of Pasco (City) drinking water system is to identify and prioritize risks and provide guidance to support decisions by the City in allocating resources to risk -reduction initiatives. The RRA will assess risks from natural hazards and malevolent acts, including physical and cyber -attacks. This work will consider risk (likelihood of threat occurrence, consequence of failure, and system vulnerabilities) for critical water system assets, including source waters, treatment plants, pump stations, storage reservoirs/tanks/vaults, service connections, and control systems. The ERP can be developed based on existing emergency plans, but is required to include response protocols for any type of emergency or event identified as a threat during the RRA. City of Pasco Water Utility RRA and ERP Scope of Services 3 FYI The suggested format for the ERP is based on the Federal Emergency Management Agency (FEMA) Comprehensive Preparedness Guide (CPG101) and on American Water Works Association guidance M19, with sections including the basic plan, hazard -specific procedures, and communication/coordination information. General Assumptions The following general assumptions are common to all tasks under this scope of work unless stated otherwise. 1. To address protective measures for the current COVID-19 public health challenge, all proposed meetings and workshops are anticipated to be held virtually, using a telecommunications platform of the City's preference, such as Webex, Microsoft Teams, Skype, or Zoom. 2. The City will organize all meetings including scheduling and issuing invitations. The HDR Team will host the virtual meetings and will provide the virtual meeting link and call-in number for all meetings to be included in the meeting invitations distributed by the City. 3. The City will coordinate with external partners (such as from police or fire departments) who are part of the RRA Team and the ERP Team. The City will provide documents to external partners as appropriate. 4. Unless noted otherwise, all submittals and deliverables identified in the following task descriptions will be electronic submittals in native and PDF format transmitted using a secure file sharing site (such as OneDrive). A native file and one hard copy each of the Risk and Resilience Assessment Report and the Emergency Response Plan Report will be provided to the City. 5. Meeting Notes and Workshop Summary Notes will be provided to the City in draft form in a Word document for review. The final Notes will incorporate City comments. 6. HDR has a reasonable right to rely on any data of files provided to HDR from the City for use in this project, including analysis, recommendations, or other products. 7. The American Water Works Association (AWWA) J100 Risk and Resilience Management of Water and Wastewater Systems Standard Assessment will be performed using the HDR - Launch Assessment Tool. 8. The cybersecurity assessment will be performed using AWWA Cybersecurity Guidance Tool. An optional Task 4 provides an in-depth cybersecurity assessment which would include field investigations. 9. The City will certify completion of the RRA with the EPA as required, the HDR team will provide instructions to the City. Scope of Services Task 1 Project !Management Objective The Project Management Task will be used to establish coordination between the HDR and City project teams, and provide overall management of the project. During the initial organizational phases, HDR will discuss security guidelines with project participants and how to apply them. Task 2A — RRA Task Kickoff Meeting HDR will prepare for, participate in, and provide meeting notes for the RRA Kickoff Meeting with the City. This meeting is intended to: • Establish goals and expected outcomes for the project; • Establish roles and responsibilities between City and HDR for completing the RRA; • Provide an overview of the assessment methodology and schedule; and • Discuss data collection needs. Task 2C — Cybersecurity Assessment The primary objective of the cybersecurity portion of this Risk and Resilience Assessment (RRA) is to identify and prioritize risks and provide guidance to support decisions by the utility in allocating resources to reduce risk to levels acceptable to the utility. Given that cybersecurity threats are continually evolving and vulnerabilities are constantly being sought for exploitation, the utility's ability to completely eliminate this risk is impossible. As such, the focus of this assessment is on risk reduction using applicable recognized standards. This assessment includes the City's automated monitoring and control systems only; in other words, the plant process control system (PCS) and remote site supervisory control and data acquisition (SCADA) system. Business system/network assessment is excluded with the exception of potential identification as a source of PCS/SCADA System risk or possible means of mitigation. The City's computing systems for financial infrastructure are also excluded except as described below. To prepare the Cybersecurity Assessment, HDR will use AWWA's Cybersecurity Guidance and Assessment Tool. As cited by AWWA, "This updated Guidance document has been revised to maintain alignment with the NIST Cybersecurity Framework and Section 2013 of America's Water Infrastructure Act (AWIA) of 2018. Collectively these resources provide the water sector with a voluntary, sector -specific approach for implementing applicable cybersecurity controls and recommendation." The AWWA Tool applies the following standards, best practices, and guidelines to assess cybersecurity threats: City of Pasco Water Utility RRA and ERP Scope of Services 7 1. International Society of Automation (ISA), ISA -62443 "Security for Industrial Automation and Control Systems" 2. National Institute of Standards and Technology, NIST 800-53 Rev. 4 "Security and Privacy Controls for Information Systems and Organizations" 3. National Institute of Standards and Technology, NIST 800-82 Rev. 2 "Guide to Industrial Control Systems (ICS) Security" 4. U.S. Department of Homeland Security (DHS), Catalog of Control Systems Security: Recommendations for Standards Developers, April 2011 Under this scope of services the City will utilize and self -complete the AWWA Guidance Tool Report. HDR will also perform this step and then host a workshop to collaboratively compare results with both AWWA Guidance Tool Reports. It is assumed that the tool report will be fully completed by the City including September 2019 updates which include features to document risk. Task 4 Modification: if Task 4 is performed, the HDR Team will complete the AWWA Guidance Tool Report and will review and confirm with the City in Workshop C-2. The City may provide a supplemental statement of compliance and/or gap summary of Financial Computing Systems conformance to NIST Framework including tools, policies and procedures and staff to address the core framework profile requirements including: "Identify, Protect, and Detect, Respond, and Recover". HDR will review the provided statement and supporting documentation. At the City's request, HDR will include this statement and supporting documentation in the Cybersecurity Report. The AWWA Cybersecurity tool primary focus is the automated control systems but does also address the financial systems at a high level required for AWIA compliance. All of the materials and information concerning the City's cybersecurity assessment are considered confidential. HDR will submit a data request for information required to develop a high-level understanding of the City's PCS/SCADA System, and will review the documentation provided by the City. HDR will review the Excel workbook that the City generates using the AWWA Cybersecurity Guidance Tool Report in light of the information provided. HDR will host a one-hour teleconference (referred to herein as Workshop C-1). The purpose of Workshop C-1 is to review and discuss the "yes/no" answers the City used as input to the AWWA Cybersecurity Guidance Tool. HDR will lead this discussion and capture a few sentences of background information in a spreadsheet to support the yes/no answers; information captured will be the minutes of this workshop. This workshop will help HDR to further understand the PCS/SCADA System. Note that it is common to change a couple of the input answers during this workshop. If that happens, HDR will utilize the AWWA Cybersecurity Tool to generate a new Excel workbook for use with Workshop C-2 (described below). HDR will send a copy of the Workshop C-1 spreadsheet and background information for review and comment. HDR will address any comments received. The City and HDR will use copies of the final Excel workbook from Workshop C-1 to independently assign a control status to each of the 100 possible AWWA recommended City of Pasco Water Utility RRA and ERP Scope of Services 8 cybersecurity controls. HDR will perform this task based on their very good understanding of the AWWA controls and their relatively limited understanding of the PCS/SCADA System. The City will perform this task based on their very good understanding of the PCS/SCADA System and (presumably) their relatively limited understanding of the AWWA controls. HDR will combine the control statuses from both Excel workbooks into one workbook for use during Workshop C-2 (described below). Task 4 Modification: if Task 4 is performed, the HDR Team will complete the AWWA Guidance Tool Report and will review and confirm with the City in Workshop C-2. HDR will host a teleconference (referred to herein as Workshop C-2). Workshop C-2 will be a discussion of AWWA controls statuses where the City and HDR assigned different control statuses. The control statuses that already agree will not be reviewed because it can take 5 hours or more to go through all of the controls. The City and HDR will discuss the subset of controls that differ and work to agree on final control statuses. HDR will capture a few sentences of supporting information in the "Notes" column for each control with a final status of "Partially Implemented" or "Fully Implemented and Maintained." This is because the City is making an assertion as to the completeness of those controls. The supporting information captured in the "Notes" column will be the minutes for this workshop.. The control statuses that may be assigned and their meaning are, as follows: • Not Planned and/or Not Implemented - Risk Accepted — No Workshop C-2 action required. • Planned and Not Implemented — No Workshop C-2 action required. Utility recognizes work needs to be done. • Partially Implemented — This is an assertion. A few sentences will be captured to support this status. Utility recognizes work needs to be done. • Fully Implemented and Maintained — This is an assertion. Utility claims existing system meets the intent of the control references (not just the example). Ideally, HDR has documentation to support the claim. A few sentences will be captured to support this status. HDR will send the Excel workbook with the final statuses and "Notes" to the City for review and comment. HDR will address any comments received. HDR will summarize the process and results from this task into a cybersecurity report section that will be included in the RRA report (under Task 2F). The Cybersecurity Report will include the following sections: • Report body documenting the process used and key contextual information about Appendices 1, 2, and 3. • Appendix 1 — The AWWA Cybersecurity Tool Input Answers spreadsheet completed under Workshop C-1. • Appendix 2 — The definitions of the priorities generated by the AWWA Cybersecurity Tool. • Appendix 3 — The AWWA Cybersecurity Tool Control Status spreadsheet finalized under Workshop C-2. City of Pasco Water Utility RRA and ERP Scope of Services 9 FN HDR Services 1. Submit data request. 2. Review Excel workbook generated by the City using the AWWA Cybersecurity Guidance Tool. 3. Host a one-hour virtual Workshop C-1. 4. Provide the City with a copy of the spreadsheet developed in Workshop C-1. 5. Independently assign control status to each of the recommended cybersecurity controls. 6. Host a four-hour virtual Workshop C-2. 7. Provide City with a copy of the spreadsheet developed in Workshop C-2. 8. Summarize the process and results into a report section to be included as an appendix in the final RRA report. City Responsibilities 1. Provide requested data. 2. Complete the AWWA Cybersecurity Guidance Tool Assessment and provide to HDR for review. 3. Participate in Workshop C-1. 4. Review and provide comments on the Workshop C-2 Excel workbook. Assumptions 1. The City will provide timely, reasonable information in response to the HDR request for information and documentation required to develop a high-level understanding of the PCS/SCADA System. 2. HDR will review the received documentation to understand the physical & logical network architectures, system boundaries, and comparison to current industry standards in preparation to conduct workshops as part of subsequent tasks. 3. During the review, HDR may need to request additional information from the City to clarify items and will transmit that request to the City in writing. 4. The City will complete the AWWA Cybersecurity Tool. 5. The City will participate in workshops with staff that have a good understanding of IT and OT systems. 6. The City will provide a statement of compliance and/or gap summary of Financial Computing Systems conformance to NIST Framework including tools, policies and procedures and staff to address the core framework profile requirements including: "Identify, Protect, Detect, Respond, and Recover". If requested by the City, HDR will include this information in a separate appendix in the Cybersecurity RRA Report Section. City of Pasco Water Utility RRA and ERP Scope of Services 10 FN 7. Workshops will be held via WebEx or other virtual collaboration solution. 8. The City will provide timely review of workshop meeting minutes. 9. HDR will update Final AWWA Cybersecurity Guidance Tool based on findings documented in workshop minutes which will be included in the RRA Report (under Task 2F). This will occur after final delivery of the Cybersecurity RRA Report Section. 10. Cybersecurity Report Appendix C will contain the AWWA Cybersecurity Tool Control Status spreadsheet finalized under Workshop C-2. This spreadsheet will contain cybersecurity controls with an unquantified gap to be filled where the status is "Partially Implemented" or "Planned and Not Implemented." The City will review the control references and determine the cybersecurity objectives/outcomes/goals appropriate for their PCS/SCADA System and other factors (e.g. risk tolerance, staff levels, budget, etc.). This will be a follow-up exercise to be performed by the City after delivery of the report. 11. Task 4 Modifications: A. If Task 4 is performed, field visits would be performed between Workshop C-1 and Workshop C-2, and in that case, we would recommend that Workshop C-2 occur on the last day of the field visits and occur in person. B. If Task 4 is performed, assigning of Control Status current state and prioritization would be performed jointly between the City and the HDR Team during in-person Workshop C- 2. In this case, the City's responsibilities include participating in the workshop discussions, and reviewing and confirming the Control Status. Deliverables 1. AWWA Cybersecurity Tool Input Answers spreadsheet completed under Workshop C-1. 2. AWWA Cybersecurity Tool Control Status spreadsheet finalized under Workshop C-2. 3. Cybersecurity Report (will be a stand-alone Appendix included in the draft and final RRA Report under Task 2F) The effectiveness of operational technology systems ("OT Systems") and financial information technology systems ("Financial IT Systems") and features designed or recommended by HDR are dependent upon the City's continued operation and maintenance of the OT and Financial IT Systems in accordance with all standards, best practices, laws, and regulations that govern the operation and maintenance of the OT and Financial IT Systems. The City shall be solely responsible for operating and maintaining the OT and Financial Systems in accordance with applicable industry standards (i.e. ISA, NIST, etc.) and best practices, which generally include but are not limited to, cyber security policies and procedures, documentation and training requirements, continuous monitoring of assets for tampering and intrusion, periodic evaluation for asset vulnerabilities, implementation and update of appropriate technical, physical, and operational standards, and offline testing of all software/firmware patches/updates prior to placing updates into production. Additionally, the City recognizes and agrees that OT and Financial IT Systems are subject to internal and external breach, compromise, and similar incidents. Security features designed or recommended by HDR are intended to reduce the likelihood that OT and Financial IT Systems will be compromised by such incidents. However, HDR does not guarantee that the City's OT and Financial IT Systems are impenetrable and the City agrees to waive any claims against HDR resulting from any such incidents that relate to or affect the City's OT and Financial IT Systems, except to the extent caused by failure of HDR to meet the professional standard of care legally required or reasonably expected under the circumstances. City of Pasco Water Utility RRA and ERP Scope of Services 11 Task 2D — J100 Steps 3, 4, 5, 6 & Field Visits The HDR Team will perform J100 Steps 3, 4, 5 & 6 by populating the Consequence, Vulnerability and Likelihood worksheet in HDR -Launch Assessment Tool. The HDR Team will perform field visits to evaluate critical asset vulnerability. HDR will complete the Threat -Asset risk assessment to establish baseline risk and identify potential risk thresholds for developing mitigation measures. The HDR Team will confirm the selections and assumptions with the City in Virtual Workshop RRA -2. The HDR Team will perform field visits for select critical assets with City staff to evaluate the critical assets for potential vulnerabilities, security issues, and potential mitigation measures. Field visits will include up to two eight-hour days for up to three HDR Team members. Field visits will be performed in alignment with HDR's Job Hazard Analysis for COVID-19 and any protective measures required by the City. The HDR Team will compile asset sheets summarizing field and risk analysis results which will be incorporated into the RRA Report (under Task 2F). HDR Services Populate the Consequence, Threat Likelihood and Vulnerability Worksheets in the Assessment Tool. 2. Identify potential risk thresholds. 3. In addition, HDR will prepare a Funding Matrix for up to 8 mitigation measures intended to be implemented in a 5-10 year window that will evaluate the potential for these projects to receive funding from external funding sources. The Funding Matrix will include up to five State or Federal funding programs applicable to the mitigation projects. The Funding Matrix will include general application requirements and terms, dollars available, application period and project eligibility. HDR will discuss and confirm mitigation measures and projects in the Funding Matrix with the City in Virtual Workshop RRA -3. HDR Services 1. Task 2F — RRA Report The objective of this task is to document the methods and findings of the RRA analysis in report format. The RRA report is not to be submitted to EPA. The City is to formally certify the completion of the RRA with EPA. The HDR Team will prepare the Draft RRA report to describe the information from the J100 process and provide the data and results of the assessment. The report will include brief summaries of the risk assessment and mitigation measures for each critical asset. The HDR Team will submit the draft RRA report to the City for review and conduct a report review meeting with City staff. The HDR Team will revise the report and provide the final document to the City in native and electronic format and provide one hard copy. The report outline is described below: • Describe the information from the J100 process; • Provide the data inputs and outputs of the assessment tool; • Provide brief summaries of the risk assessment and mitigation measures for each critical asset; and • Provide Cybersecurity Assessment Appendix. HDR Services 1. Prepare Draft RRA Report. 2. Conduct the Report Review Meeting. 3. Prepare Final RRA Report. City Responsibilities 1. Participate in the Report Review Meeting. 2. Review the draft report and provide one set of consolidated comments. 3. The City will certify completion of the RRA with the EPA as required. Assumptions 1. The duration of the Report Review Meeting is up to 1 -hour. 2. The City will provide comments on the draft report within two weeks of receipt. 3. HDR will provide the final report within two weeks of receipt of the City's comments on the draft materials. City of Pasco Water Utility RRA and ERP Scope of Services 14 Deliverables 1. Draft RRA Report (native and PDF). 2. Report Review Meeting Agenda and Notes (PDF). 3. Final RRA Report (Native, PDF and one hard copy). Task 2G — Implementation Plan The HDR Team will prepare an Implementation Plan for up to 8 mitigation projects or programs that includes project descriptions and tasks, project lead and required resources, dependencies and/or precursors, and project prioritization. Capital improvement projects will include an AACE Class 5 engineering cost estimate based on planning level project information and a desktop feasibility review. Schematic one -line diagrams will be developed for up to 8 mitigation projects demonstrating the existing condition and proposed mitigation project condition. (Some projects/programs may be new policies or new standard operating procedures without an associated capital improvement cost.) The selected projects or programs are intended to be implemented in a 5-10 year window. HDR will discuss and confirm the Implementation Plan inputs with the City in Virtual Workshop RRA -4. The HDR Team will submit the draft Implementation Plan to the City for review. The HDR Team will revise the Implementation Plan and provide the final document to the City for inclusion as an Appendix to the RRA Report. The City may consider additional services be added to this scope by amendment to further define select capital improvement projects and advance the concepts to preliminary design and AACE Class 4 cost estimates. A Class 4 cost estimate typically requires a predesign report and 10% drawings. HDR Services 1. Prepare Virtual Workshop RRA -4 Agenda. 2. Task 3 Emergency Response Plan Objective The HDR Team (HDR and Launch! Consulting) will assist in the revision of the City's ERP following the completion of an RRA for its water system. The revision will fulfill the requirements of AWIA by updating the City's existing ERP documents and addressing new threats or vulnerabilities identified during the RRA. Assumptions 1. All existing documents will be provided by the City in electronic files which can be utilized in the revised ERP. 2. The City will provide the HDR Team with an updated list of emergency contacts to include in the ERP. Task 3A — ERP Virtual Kickoff Meeting and Project Coordination The HDR Team will conduct a one-hour ERP Virtual Kickoff Meeting with the City to detail the project schedule, review the work plan, identify City staff to participate in ERP development (including utility leaders, finance, human resources, operations, maintenance, field, and customer -service staff), discuss utility background/history in emergencies and emergency exercises, and identify any additional information to be reviewed. Information, such as any existing emergency plans, that is provided electronically by the City will be reviewed by the HDR Team before the kickoff meeting. HDR Team Services 1. Provide agenda for the ERP Virtual Kickoff Meeting. 2. Conduct the ERP Virtual Kickoff Meeting. 3. Provide meeting notes within two weeks of virtual meeting completion to the City. City Responsibilities 1. Provide electronic copy of existing emergency plan and related documents two weeks prior to the virtual workshop. 2. Participate in the virtual workshop. It is important that decision -makers for the City attend this workshop so that the contents of the ERP contain procedures with leadership approval. This virtual workshop will include revision of up to 15 procedures (Incident Action Checklists) for emergency response (including responses to the threats identified in the latest Risk and Resilience Assessment). The HDR Team will utilize and further develop the City's existing response actions in development of these procedures. The City will designate the incident management team for the water system, including identifying three people for each role. Attendees will also discuss resiliency measures and equipment needed. Workshop 1 will be held in three 1.5 hour virtual meetings (1 a, 1 b, 1 c). HDR Team Services 1. Project Engineer Task 3C — Draft Emergency Plan (Development, Review, and Final Version) Based on information gained from earlier tasks and on industry guidance, the HDR Team will draft the revised ERP. The revised ERP will include items required by the AWIA. Information for the revised ERP will be discussed with City staff during four 1 -hour calls on specific topics to be discussed based on missing information in existing ERP documents. The draft ERP document will be reviewed during an interactive ERP Virtual Workshop 2a, 2b, and 2c with the City's ERP Team. The virtual workshops will each be 1.5 hours and will consist of active exercises and discussions to check the information throughout the document. The City will provide additional changes/comments on the draft ERP within 10 days after completion of the virtual workshops. HDR will deliver the draft version of the ERP for the virtual workshop to the City electronically. All City attendees of the virtual workshop will have access to the shared ERP file, e.g. in Microsoft Teams, so that changes can be made in the same document by all attendees during the workshop. HDR Team Services 1. Provide ERP Virtual Workshop 2a, 2b and 2c Agenda and electronic copies of materials for the virtual workshop. 2. Assemble the draft ERP to adapt the City's existing water system ERP so that it complies with AWIA. 3. Conduct the ERP Virtual Workshop 2a, 2b and 2c. 4. Provide a workshop summary within two weeks of virtual workshop completion to the City. 5. Make changes to the draft ERP document after receiving comments from the City to finalize the document. City Responsibilities 1. Participate in four 1 -hour calls to discuss missing information. 2. Participate in ERP Virtual Workshop 2a, 2b and 2c. 3. Provide additional comments on the draft ERP within 10 days after completion of virtual workshops. 4. City will file certification to the Administrator of the EPA following completion of the ERP. Task 4A — Field Investigation Upon completion of Workshop C-1, HDR will schedule site visits to critical control system locations including water plants (control rooms, network rooms, telecom, labs, electric rooms and other stations), raw water intake, and pump stations/water towers. Site visit includes physical inspection of equipment, staff interviews, mock scenario discussions, and potential mitigation and response options. This allows for independent third party review of the security culture to more fully develop the AWWA tool and recommendations. Review and document current mitigations — this will be a review of what tools, policies, procedures, etc. are in place but not a review of the configuration itself. HDR Services 1. Perform up to 3 days of site visits. City Responsibilities 1. Provide staff and access to the sites during the site visits including controls staff, IT staff and operations. Assumptions 1. Field visits will include up to three 8 hour days in the field and up to 1 HDR Team member. 2. City will provide staff and access to the control system locations required during site visit. Site visits will be hands-off exercise but controls staff may be asked to perform basic functions to demonstrate functionality or configurations. 3.
