White Shield Inc, is pleased to submit this proposal to prepare segmental block retaining wall design within the west end of the existing stormwater retention basin located within the proposed City of Pasco Fire Station 83. We previously prepared the geotechnical report for the fire station titled "Geotechnical Investigation Report - City of Pasco Fire Station 83 - Pasco, Washington" dated February 1, 2019. This proposal presents our understanding of the project, scope of services, compensation and schedule for completing the project. PROJECT BACKGROUND AND DESCRIPTION Our understanding of the project comes from our previous experience with the geotechnical aspects of the project, as well as review of the design plans. At present, an approximately 375x50' retention basin is located just north of the existing water tanks off Road 76 in Pasco. We understand that the intention is to fill in the western -90 feet of the retention basin as a base for the proposed fire station and parking areas. An existing 4 -foot -high segmental block wall exists surrounding the retention basin. You have requested that we provide geotechnical design for moving the existing western wall to the east to support this fill area. WSI proposes to provide the geotechnical engineering services that will include the design of the segmental block retaining walls for all wall configurations. White Shield Senior Geotechnical Engineer, Ben Staehr, PE will be the project manager for this project. SCOPE OF WORK White Shield's scope of work for this project will include a limited site investigation, preparation of retaining wall design sections, conduct of local and global slope stability analyses (as needed) and the preparation of a retaining wall design and construction specifications report. The site investigation involves determining the soil conditions. We propose the use of our existing site investigation and proposed backfill recommendations from our prior report for this project. The site investigation may require excavating additional hand-augered soil borings. White Shield, Inc. will also provide construction observation and verification during project construction. Construction observation will allow us to identify soil or site conditions that differ from conditions encountered in our site investigation and to verify that the design requirements have been incorporated into the construction of the rockery. Environmental 320 N. 2011 Avenue, Pasco, WA 99301 www.whiteshield.com Phone (509) 547.0100 Fax (509) 547-8292 COMPENSATION Based on the above scope of work, WSI provides a project estimate of $1,800 with the following assumptions: • Site characterization can be completed with the use of existing field data and limited additional hand-augered borings • The number of retaining wall design sections required is limited to 5 feet exposed height and lower • Any necessary global stability modeling can be completed with a single slope model Fees for construction observation and verification will be based on a time and materials rate and will be billed at the hourly rates shown on the attached White Shield Fee Schedule. The above fee estimate is based on our previous retaining wall design work in typical soils in this area. If site soil conditions are dissimilar to other sites in the area or highly variable, additional costs may be incurred. White Shield will inform the client of any such changing conditions prior to exceeding our fee estimate. The fee estimate assumes that any modifications to the scope of services described above, or work following submission of our Retaining Wall Design and Construction Specifications Report will be considered additional work and will be billed at the hourly rates shown on the attached White Shield, Inc. Fee Schedule. The indicated fee and the terms under which our geotechnical services are provided will be in accordance with the attached White Shield General Terms and Conditions for Geotechnical Services and may not be changed without prior written consent of both parties. SCHEDULE Our services can start as soon as we receive a signed authorization from TCA Architects. A Retaining Wall Design and Construction Specifications report can be delivered within two weeks of authorization to proceed. Pertinent preliminary information can be provided to you informally, as it is developed, so that planning and design can proceed in a timely manner. APPROVAL Please indicate acceptance of this agreement by signing below and returning the signed copy of this proposal to our office. If you wish to use another form of authorizing document please incorporate it by attachment to this proposal. (Geotechnical Engineer) and the Client for all contracts for professional geotechnical consulting services where White Shield Inc. (WSI) is the Geotechnical Engineer Consultant providing the services to the client. These General Terms and Conditions are a part of and are attached to the preceding proposal that outline the specific scope of work for geotechnical services. 1.0 SERVICES OF GEOTECHNICAL ENGINEER A. The Geotechnical Engineer shall provide, or cause to be provided, the services set forth in the scope of work described in the preceding proposal. B. Depending upon field conditions encountered and subsurface conditions discovered, the Geotechnical Engineer may modify the specified number and locations of exploratory borings or test pits, the number and type of field and laboratory tests, and other similar items, as deemed necessary by Geotechnical Engineer in the exercise of due care. Geotechnical Engineer shall notify Client of the necessity for such modifications before the additional work is undertaken, if possible, or as soon as is practicable. C. Geotechnical Engineer shall take reasonable precautions to limit damage to the Site, but it is understood by Client that, in the normal course of Geotechnical Engineer's services, some Site damage can occur and the correction of such damage is not the Geotechnical Engineer's duty or responsibility unless so stated in the agreement. D. Geotechnical Engineer and WSI personnel will make all reasonable effort not to damage any existing underground utilities, surface or subsurface developments during the site investigation. Client will hold WSI harmless from any loss resulting from any damage to existing improvements, unmarked utilities, miss -marked utilities or for planned removal of utilities. E. Geotechnical Engineer shall retain all boring logs, field data, laboratory test data, calculations, notes, and other records (including cost records) related to the Project in legible form for a period of ten years following the completion or termination of services under this Agreement. Upon Client's request, Geotechnical Engineer shall provide a copy of any such item to Client at cost. Soil samples collected during the site investigation portion of the work will be stored at least 90 days after completion of the laboratory work. Storage beyond that date is not guaranteed. 2.0 CLIENT'S RESPONSIBILITIES A. Client shall pay Geotechnical Engineer as set forth in the preceding Proposal under "Compensation". B. Geotechnical Engineer has been furnished a copy of available information relevant to the geotechnical aspects of the Project, and Client will furnish additional relevant information as it becomes available. C. Client shall grant or obtain free, safe access to the Site and adjacent public or private property, as required, for all equipment and personnel necessary for Geotechnical Engineer to perform the services under this Agreement. D. Client shall provide notifications to affected third parties, including but not limited to other consultants and Site tenants, if any, indicating that Client has granted or obtained free access to the Site for Geotechnical Engineer to perform its services. E. Client shall be responsible for, and Geotechnical Engineer may rely upon, the accuracy and completeness of all requirements, programs, instructions, reports, data, and other information furnished by Client to Geotechnical Engineer pursuant to this Agreement. Geotechnical Engineer may use such requirements, programs, instructions, reports, data, and information in performing or furnishing services under this Agreement. 2.0 SCHEDULE FOR RENDERING SERVICES A. Geotechnical Engineer shall begin rendering services as of the date indicated in the Proposal under "Schedule". B. Geotechnical Engineer shall complete its obligations within a reasonable time. Specific periods of time for rendering services are set forth or specific dates by which services are to be completed are provided in the Proposal, and are hereby agreed to be reasonable. C. If, through no fault of Geotechnical Engineer, such periods of time or dates are changed, or the orderly and continuous progress of Geotechnical Engineer's services are impaired, or Geotechnical Engineer's services are delayed or suspended, then Client shall adjust equitably the time for completion of Geotechnical Engineer's services, and the rates and amounts of Geotechnical Engineer's compensation. D. If Client authorizes changes in the scope, extent, or character of the Project, then Client shall adjust equitably the time for completion of Geotechnical Engineer's services, and the rates and amounts of Geotechnical Engineer's compensation. E. Client shall make decisions and carry out its other responsibilities in a timely manner so as not to delay the Geotechnical Engineer's performance of services. F. If Geotechnical Engineer fails, through its own fault, to complete the performance required in this Agreement within the time set forth, as duly adjusted, then Client shall be entitled to the recovery of direct damages resulting from such failure. 3.0 INVOICES AND PAYMENTS A.Invoices. WSJ will prepare a monthly invoice in accordance with WSJ's standard invoicing practices and submit the invoice to Client. B. Payment oflnvoices. Invoices are due and payable within 30 days of receipt. If Client fails to make any payment due WSJ for services and expenses within 30 days after receipt of WSI's invoice, the amounts due WSJ may be increased at the rate of 1.5% per month (or the maximum rate of finance charge permitted by law, if less) from said thirtieth day. In addition, WSI may, without liability, after giving seven days written notice to Client, suspend services under this Agreement until WSI has been paid in full all amounts due for services, expenses, and other related charges. Payments may be credited first to interest and then to principal 4.0 ADDITIONAL SERVICES A. If authorized by Client, or if required because of changes in the Project, WSI may furnish services in addition to those set forth above. B. Client shall pay WSI "Time & Materials" for such additional services as follows: For additional services of WSJ's employees engaged directly on the Project an amount equal to the cumulative hours charged to the Project by each class of WSI's employees times standard hourly rates for each applicable billing class; plus reimbursable expenses and WSI's consultants' charges, if any. The actual cost for Reimbursable Expenses will be billed at the actual cost plus 10%. Travel and related expenses, if incurred, will be charged in accordance with WSJ's "Travel and Reimbursement" policy, a copy of which is available upon request. In addition, the Client agrees to pay all costs and expenses incurred by WSI on Client's behalf, including any such moneys that WSI may advance on Client's account for any purpose whatsoever. Client shall be solely responsible for paying for all applicable sales tax, permits, licenses, and official inspections, and the cost thereof shall not be deducted from the payment due WSI. 5.0 TERMINATION A. The obligation to provide further services under this Agreement may be terminated: 1. For cause, a. By either party upon 30 days written notice in the event of substantial failure by the other party to perform in accordance with the Agreement's terms through no fault of the terminating party. b. By WSI: 1) upon seven days written notice if WSI believes that WSI is being requested by Client to furnish or perform services contrary to WSI's responsibilities as a licensed professional; or 2) upon seven days written notice if the W SI's services for the Project are delayed or suspended for more than 90 days for reasons beyond WSI's control. 3) WSI shall have no liability to Client on account of such termination. c. Notwithstanding the foregoing, this Agreement will not terminate as a result of a substantial failure under paragraph 5.0.A.l.a if the party receiving such notice begins, within seven days of receipt of such notice, to correct its failure and proceeds diligently to cure such failure within no more than 30 days of receipt of notice; provided, however, that if and to the extent such substantial failure cannot be reasonably cured within such 30 day period, and if such party has diligently attempted to cure the same and thereafter continues diligently to cure the same, then the cure period provided for herein shall extend up to, but in no case more than, 60 days after the date of receipt of the notice. 2. For convenience, by Client effective upon the receipt of notice by WSI. B. The terminating party under paragraphs 5.0.A.1 or 5.0.A.2 may set the effective date of termination at a time up to 30 days later than otherwise provided to allow WSI to demobilize personnel and equipment from the Project site, to complete tasks whose value would otherwise be lost, to prepare notes as to the status of completed and uncompleted tasks, and to assemble Project materials in orderly files. In the event of termination for any reason, Client shall be responsible for paying all compensation for services rendered by WSI under this Agreement. 6.0 CONTROLLING LAW This Agreement is to be governed by the law of the state and county in which the Project is located. 7.0 SUCCESSORS, ASSIGNS, AND BENEFICIARIES A. Client and WSI each is hereby bound and the partners, successors, executors, administrators, and legal representatives of Client and WSI (and to the extent permitted by paragraph 7.0.13 the assigns of Client and WSI) are hereby bound to the other party to this Agreement and to the partners, successors, executors, administrators, and legal representatives (and said assigns) of such other party, in respect of all covenants, agreements, and obligations of this Agreement. B. Neither Client nor WSI may assign, sublet, or transfer any rights under or interest (including, but without limitation, moneys that are due or may become due) in this Agreement without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. 8.0 GENERAL CONSIDERATIONS A. The standard of care for all professional engineering, geotechnical and related services performed or furnished by WSI under this Agreement will be the care and skill ordinarily used by members of the subject profession practicing under similar circumstances at the same time and in the same locality. WSI makes no warranties, express or implied, under this Agreement or otherwise, in connection with W SI's services. Interpretations and recommendations by Geotechnical Engineer will be based on information available to or developed by Geotechnical Engineer. Client recognizes that subsurface conditions may vary from those observed at specific locations where borings, surveys, sampling, testing or other Site explorations are made, and that Site conditions may change with time. B. Neither Client nor Geotechnical Engineer shall be responsible for discovering deficiencies in the technical accuracy of Geotechnical Engineer's services. Geotechnical Engineer shall correct any such deficiencies in technical accuracy without additional compensation except to the extent such corrective action is directly attributable to deficiencies in Client -furnished information. Geotechnical Engineer will not be responsible for (1) inaccuracies, errors, or omissions in data other than its own or its Consultants', or (2) improper interpretations or use by others of any geotechnical data. C. Geotechnical Engineer shall provide, or cause to be provided, professional geotechnical and related services in all phases of the Project to which this Agreement applies. Geotechnical Engineer shall serve as Client's prime geotechnical professional for the Project. Geotechnical Engineer may employ such Consultants as Geotechnical Engineer deems necessary to assist in the performance or furnishing of the services, subject to reasonable, timely, and substantive objections by Client. D. Subject to the standard of care set forth in Paragraph 8.0.A, Geotechnical Engineer and its Consultants may use or rely upon design elements and information ordinarily or customarily furnished by others, including, but not limited to, specialty contractors, manufacturers, suppliers, and the publishers of technical standards. E. Geotechnical Engineer shall not be required to sign any document, no matter by whom requested, that would result in Geotechnical Engineer having to certify, guarantee, or warrant the existence of conditions whose existence Geotechnical Engineer cannot ascertain. Client agrees not to make resolution of any dispute with Geotechnical Engineer or payment of any amount due to Geotechnical Engineer in any way contingent upon Geotechnical Engineer signing any such document. F. Geotechnical Engineer and WSI shall not at any time supervise, direct, or have control over any contractor's work, nor shall WSI have authority over or responsibility for the means, methods, techniques, sequences, or procedures of construction selected or used by any contractor, for safety precautions and programs incident to a contractor's work progress, nor for any failure of any contractor to comply with laws and regulations applicable to contractor's work. G. WSI neither guarantees the performance of any contractor nor assumes responsibility for any contractor's failure to furnish and perform its work in accordance with the contract between Client and such contractor. H. WSI shall not be responsible for the acts or omissions of any contractor, subcontractor, or supplier, or of any contractor's agents or employees or any other persons (except WSI's own employees) at the Project site or otherwise furnishing or performing any of construction work; or for any decision made on interpretations or clarifications of the construction contract given by Client without consultation and advice of WSI. 1. If Client, or a third party provides Construction Phase geotechnical services, then Geotechnical Engineer's Basic Services under this Agreement will be deemed complete upon completion of Design Phase services as set forth in the Proposal. It is understood and agreed that if Geotechnical Engineer's Basic Services under this Agreement do not include observation and review of the Work, or any other Construction Phase services, as related to the Project's geotechnical aspects, then: (1) Client assumes all responsibility for interpretation of the Contract Documents, Construction Contract administration, construction observation and review, and all other Construction Phase engineering and professional services; and (2) Client waives that portion of any claim against the Geotechnical Engineer that may be connected thereto. (3) Notwithstanding the above, Geotechnical Engineer shall be responsible for professional opinions and interpretations provided by Geotechnical Engineer during the Construction Phase or Post -Construction Phase J. To the fullest extent permitted by law, Client and WSI (1) waive against each other, and the other's employees, officers, directors, agents, insurers, partners, and consultants, any and all claims for or entitlement to special, incidental, indirect, or consequential damages arising out of, resulting from, or in any way related to the Project, and (2) agree that WSI's total liability to Client under this Agreement shall be limited to $50,000 or the total amount of compensation received by WSI, whichever is greater. K. The parties acknowledge that WSI's scope of services does not include any services related to a Hazardous Environmental Condition (the presence of asbestos, PCBs, petroleum, hazardous substances or waste, and radioactive materials). If WSI or any other party encounters a Hazardous Environmental Condition, WSI may, at its option and without liability for consequential or any other damages, suspend performance of services on the portion of the Project affected thereby until Client: (i) retains appropriate specialist consultants or contractors to identify and, as appropriate, abate, remediate, or remove the Hazardous Environmental Condition; and (ii) warrants that the Site is in full compliance with applicable Laws and Regulations. L. If either (1) a suit, proceeding, arbitration or action of any nature whatsoever is instituted, including without limitation any proceedings under the U.S. Bankruptcy Code, to interpret or enforce any term, condition, or covenant of this Agreement or (2) the services of any attorney are retained to enforce any term, condition, or covenant of this Agreement, then the prevailing party shall be entitled to recover from the other party all reasonable attorney's fees and expenses, including paralegals, accountant's, and other expert's fees, and all other fees, costs, and expenses actually incurred and reasonably necessary in connection with enforcing the terms of this Agreement, including fees, costs and expenses incurred in an action on appeal or bankruptcy proceeding, if any, the recovery of which shall be in addition to all other remedies provided by law. 9.0 TOTAL AGREEMENT This Agreement (consisting of pages 1 to 5 inclusive together with and incorporated as an attachment to the Proposal), constitutes the entire agreement between Client and WSI and supersedes all prior written or oral understandings.
