WA THE GRANTOR, SIMPLOT-RDO LLC, a Delaware Limited Liability Company hereby grants to the GRANTEE, The Cily of Pasco, a Municipal Corporation of the State of Washington, a nonexclusive 20 -foot easement for an underground water main, over, across and upon the property depicted in Exhibit "B" attached hereto ("GRANTOR's PROPERTY"). Said easement shall be used by GRANTEE to provide domestic water for use on GRANTOR'S PROPERTY and for no other purpose. The route of the easement is described on Exhibit "A" attached hereto ("Easement Parcel"). GRANTOR reserves the right to use the Easement Parcel for any purposes that do not unreasonably interfere with rights of GRANTEE provided herein. Furthermore, GRANTOR shall not authorize the use of the Easement Parcel by any third party without the prior written consent of GRANTEE, whose consent shall not be unreasonably withheld. If GRANTEE is required to perform work to relocate, change, alter or repair its facility constructed, operated or maintained hereunder, any and all subsequent grantees allowed to construct, operate, or maintain any facility within this easement shall be required to, at their sole expense, secure or move their own facilities when necessary to allow GRANTEE to perform said work.
