Dear Mr. Dietrich:
Since 1999, Basin Disposal has been a sponsor of the City of Pasco's Adopt -A -Highway litter
control program. Your annual contribution of $2,500 sponsors litter collection for Sections 3 and
4 of I-182. With your support, Pasco's Adopt -A -Highway program has been successful in
reducing litter, helping to improve the appearance of our community and producing a positive
impression of the City and program sponsors.
If you would like to continue your sponsorship through December 31, 2004, please sign and date
the statement below, keeping a copy for your records, and return the original in the enclosed
envelope. The City will bill you quarterly.

I would like to renew the sponsorship agreement between Basin Disposal and the City of Pasco
for the Adopt -A -Highway program for the period January 1, 2004 through December 31, 2004

Sponsorship Agreement -- City of Pasco Litter Abatement Program
This Agreement is entered into between Basin Disposal Inc., a Washington
Corporation (BDI) and the City of Pasco, Washington, a municipal corporation ("City"). In
order to enhance community beautification efforts and in consideration of the mutual
covenants of the parties contained herein, the parties agree as follows:
1. Services. The City shall provide litter collection and disposal service adjacent to
the BDI recycling centers identified on Exhibit "A" attached hereto and at other locations
identified by the City.
The City shall use persons sentenced to community service work by the municipal
court, to provide litter collection. The City shall assign a city employee to supervise workers
and to coordinate litter collection. Collections shall be made on an as needed basis. The
City will provide disposal of the collected and bagged litter. The City shall provide all
required equipment, supplies and materials.
2. Term. The term of this Agreement shall commence on April 1, 2001 and shall be
a continuing year to year term, subject to termination as follows:
Beginning on January 1 of each year, this Agreement shall be considered renewed for
an additional year unless at least thirty (30) days prior to January 1 of any year either party
notifies the other, in writing, by certified mail, return receipt requested, of its intent to
terminate this Agreement. Upon giving of such notice of termination, this Agreement shall
terminate two (2) years from the date of notice.
3. Sponsorship Fee. The Sponsor shall pay the City the sum of $5,000 annually for
the services to be provided under this Agreement. The City shall bill the Sponsor for
services on a quarterly basis, with fees commencing on the effective date of this Agreement.
Fees for the first year of this Agreement shall be prorated.
4. Insurance and Indemnity. The City shall, during the term of this Agreement,
carry comprehensive general liability insurance and worker's compensation insurance in a
responsible company covering all risks arising directly or indirectly out of the City's activities
under this Agreement. The City shall indemnify and defend the Sponsor from any claim,
loss, or liability arising out of or related to any activity of the City, its employees or agents.

As per your request, here is a list of the recycling centers that BDI has placed within the city limits of Pasco.
>Lewis St and California; parking lot next to Six States Dist.
>Columbia St. and 9th Ave., in the Grigg's parking lot.
>Shoshone and 14th Ave., parking lot in Memorial Park.
>Marie and 20th Ave., South end of Albertson's/Rite Aid parking lot.
>Court St. and 34th Ave., parking lot in Riverview Plaza
>Brown St. and 5th Ave., parking lot of Pasco Senior Center
>Court St. and Rd 111, under the 1-82 Richland / Pasco bridge.
The other units are within Franklin Co. Hopefully this helps. If there is anything else I can do, please don't
