(TCI) of more than fifty percent (50%) of the voting stock of United Artists Communications, Inc. WHEREAS, The city has received proper notice from Columbia Cable, a subsidiary of United Artists Cable Systems Corporation, of a proposed purchase by TCI of more than fifty percent (50%) of the voting stock of United Artists Communications, Inc.; and WHEREAS, Section 5.4 of the CATV Enabling Ordinance for the City of Pasco requires that in such event, prior approval of the Pasco City Council is necessary, following public hearing, and consideration by the City Council of TCI's legal, financial, technical, character and other qualifications to construct, operate and maintain a cable communication system in the city; and WHEREAS, The City Council after consideration of such factors and after public hearing and consideration of the comments made from the public, has determined that TCI has the legal, financial and technical capabilities to operate a cable system and that the stock purchase shall not adversely affect the operation of Columbia Cable; and WHEREAS, TCI has provided the city with its written acceptance of all terms and conditions of the franchise entered into between the City of Pasco and Micro-Cable Communications Corporation in February, 1983; NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PASCO, WASHINGTON, DOES RESOLVE AS FOLLOWS: The Pasco City Council hereby gives its approval and consent to the purchase of in excess of fifty percent (50%) of the voting stock of United Artists Communications, Inc. by Tele-Communications, Inc.
