HomeMy WebLinkAbout1319 ResolutionATTEST: tt • FRANKLIN COUNTY RESOLUTION NO. 80-13 CITY OF PASCO RESOLUTION NO. 1319 A RESOLUTION authorizing the City of Pasco and Franklin County to enter into an agreement with Moon Security Services, Inc., and further authorizing the Mayor of the City of Pasco and the Franklin County Commissioners to sign the same. WHEREAS, the City Council and the Franklin County Commissioners find that it is in the best Interest of the City of Pasco to install and maintain a uniform alarm system, and WHEREAS, Moon Security Services, Inc., Company of Washington, has agreed to install a uniform alarm receiving system in the County/City Public Safety Building, at no cost to the City of Pasco or Franklin County, NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF PASCO AND THE FRANKLIN COUNTY COMMISSIONERS AS FOLLOWS: The Mayor of the City of Pasco and the Franklin County Commissioners are hereby authorized to execute the agreement with Moon Security Services, Inc., on behalf of the City of Pasco and Franklin County for installation and maintenance of a uniform alarm system by Moon Security Services, Inc. This uniform alarm system shall be for the purpose of receiving alarms for the City of Pasco's fire department PASSED by the City Council of the City of Pasco this 19 day of February , 1980, and signed in authentication of its passage this 19 day of February , 1980. Whitemarsh, Commissioner AGREEMENT THIS AGREEMENT made this 72-De -0? 7 4 of --711 tive,t62.1n/ ,_--- 1980, by and between Moon Security Services, Inc , COMPANY OF WASHINGTON, hereiAafter called Moon Security and the City of Pasco, hereinafter referred to as "City", and Franklin County, hereinafter referred to as "County", municipal corporations organized under the laws of the State of Washington Moon Security shall install, own and maintain the receiving equipment in the County/City Public Safety Building, City of Pasco, State of Washington There will be no charge to the City of Pasco or County of Franklin for the installation and no re-occurring costs for any maintenance or repairs of said Communications Center receving equipment 1 There will be a $5 00 charge per each existing McCulloch subscriber or alarm company to initially install into the Moon Security Communications Center equipment After the initial connection of all present subscribers or alarm companies, there will be a $25 00 connection charge assessed to any new subscribers and $15 00 to alarm companies 2 There will be a monthly service charge of $5 00 per subscriber to defray the cost of maintenance and inspections of Central Communications equipment 3 All subscribers or connecting companies will pay telephone wire facility charges, assessed to Moon Security and/or the City of Pasco, from their premises or location in the City to the Moon Security Central Communications equipment 4 Moon Security reserves the right to increase charges after two years not to exceed 10% of the annual service charge of any one year 5 Moon Security is responsible for all work on the installation and for the maintenance of the Central Communications equipment in good working order at all times If not properly maintained reasonably free from accidental alarms, the City of Pasco and the County of Franklin may order the equipment removed 6 It is understood and agreed that Moon Security's obligation relates to the maintenance solely of the Central Communications receiving equipment and that is in no way obligated to maintain, repair, service, replace, operate, or assure the operation of any device or devices at the subscribers' premises 7 Moon Security assumes no liability for delays in service, or for the interruption of service due to strikes, riots, floods, acts of God, or any cause beyond its control and will not be required to supply service to the connecting company while interruption of service due to any such cause shall continue 8 This agreement is not assignable by any party except upon written consent of the other party first being obtained. APPROVED Authorized Representative of Moon Security APPROV AS TO FORM ( ennis J De Felic City Attorney APPROVED AS TO F By George E Heidlebaugh Franklin County Deputy Prosecut RM • gr. 9 It is mutually understood and agreed, that any representation, promise, condition, inducement, or warranty, expressed or implied, not included in writing in this agreement shall not be binding upon any party, and that Moon Security's terms and conditions hereof apply as printed without alteration or qualification except as specifically modified in writing 10 That any party may terminate this agreement by giving the other parties ninety (90) days' notice in writing of their intention to terminate said agreement Upon termination, Moon Security shall remove at its expense its equipment. 11 Moon Security agrees to save the City and County harmless from all loss or damage occasioned to it or to any third person or property by reason of any act or omission on the part of Moon Security, its agents, or employees in the per- formance of the contract and will, after reasonable notice thereof, defend and pay the expense of defending any suit which may be commenced against the City or the County by any third person alleging injury by reason of such acts or omissions and will pay any judgment which may be obtained against the City or the County in such suit IN WITNESS HEREOF, the parties hereto have acknowledged this agreement the day and year first above written Moon Security Services, Inc Agent City of Pasco, Washington Chet Bailie, Mayor County of Franklin, Washin ton By Ake...Lgil ,ANI, arold N Mathews, Commissioner riwakf, ( ? ames Rogers, iZommissioner Bruce D Whitemarsh, Commissioner
