AGREEMENT GCB 2349 Between Washington State Department of Transportation And the City of Pasco This Agreement is made and entered into between the Washington State Department of Transportation, hereinafter called the "STATE," and the City of Pasco, a municipal corporation located at 525 No. P, Avenue, Pasco Washington, 99301, hereinafter called the "AGENCY," collectively referred to as the "Parties" and individually, the "Party." WHEREAS, the AGENCY is planning improvements to North 20`h Avenue in the City of Pasco. The Project is from West Lewis Street to Sun Willows Boulevard, making signal and ADA improvements, sidewalk replacement, addition of median curbin, addition of two pedestrian hybrid beacons, and roadway widening, the project designated as N. 20 Avenue Safety Improvements. This project will include improvements in areas that are located on state-owned limited access right-of- way, herein the "Project," and WHEREAS, the AGENCY will act as lead agency to design, advertise, award and administer the construction of the Project, and WHEREAS, the AGENCY has contracted with DKS Associates and Harper Houf Peterson Righellis Inc., herein the "Consultant," to design, prepare the plans, specifications and estimate for the Work, and WHEREAS, the AGENCY is an approved "Certification Acceptance" (CA) agency, by which the STATE has granted the AGENCY the authority to administer projects, and WHEREAS, the STATE recognizes the AGENCY's demonstrated ability to responsibly design projects and administer construction, and WHEREAS, the STATE's jurisdiction is defined as the area within the limited access right of way, and WHEREAS, the AGENCY requests STATE approval to permit the AGENCY to administer construction of the portion of the Project that lies within state-owned limited access right of way, hereafter the "Work," and WHEREAS, the STATE authorizes the AGENCY to construct the Work, and WHEREAS, the STATE agrees to provide the design reviews, construction inspection oversight and approvals for the Work at the AGENCY's cost, and WHEREAS, the STATE and the AGENCY now wish to define responsibilities for design, construction, and construction administration of the Work, NOW, THEREFORE, by virtue of RCW 47.28.140, the above recitals that are incorporated herein as if fully set forth below and in consideration of terms, conditions covenants and performances contained herein, and Exhibits A, B and C which are attached and incorporated and made a part hereof, IT IS MUTUALLY AGREED AS FOLLOWS: AGREEMENT GCB 2349 Page 1 ct 9 a (,Oa 5 1. GENERAL 1.1 The AGENCY agrees to perform the Work, as further provided herein and pursuant to the attached exhibits. Exhibit A is the project vicinity map and project plan sheets, Exhibit B is the right of way and limited access plan, and Exhibit C is the estimate for STATE work at AGENCY expense. 1.2 The scope of this Agreement is for design through construction for the portion of the AGENCY's Project contained within SRI 82 limited access right of way. 1.3 The AGENCY agrees that the Work shall be designed and constructed with materials and quality control requirements in accordance with the current version of the State of Washington Standard Specifications for Road, Bridge, and Municipal Construction and amendments thereto (Standard Specs), the State of Washington Construction Manual, current at the time of Project advertisement, the Local Agency Guidelines (LAG Manual), the State of Washington Department of Transportation Design Manual and Standard Plans and amendments thereto. 2. PLANS, SPECIFICATIONS, AND ESTIMATE (PS&E) 3.1 The AGENCY and its Consultant, shall prepare all Work design plans, interchange plan and design documentation. The AGENCY shall provide the STATE with (1) reproducible copy of the Work design documentation a minimum of thirty (30) calendar days prior to design report completion. The STATE will have ten (10) working days to review the design documentation for the Work, resolve any concerns, and provide the AGENCY with written approval, conditional approval, or rejection of the design documentation for the Work portion of the Project. In the event the Work portion of the design documentation is conditionally approved or rejected, the STATE shall include the reasons for conditional approval or rejection. The Parties shall work together to resolve any issues. The AGENCY will provide the STATE with one (1) reproducible copy of the stamped final design documentation. AGREEMENT GCB 2349 Page 2 of 9 3.2 The AGENCY will provide the STATE with one (1) reproducible copy of the Ad ready PS&E for the Project a minimum of thirty (30) calendar days prior to the proposed Ad date. The STATE will have ten (10) working days to review the Ad ready PS&E for the Project, resolve any concerns, and provide the AGENCY with written approval, conditional approval, or rejection of the Ad ready PS&E for the Work portion of the Project. In the event the Work portion of the Ad ready PS&E, is conditionally approved or rejected, the STATE shall include the reasons for conditional approval or rejection. The Parties shall work together to resolve any issues. 3.3 The STATE, the AGENCY and the AGENCY's Consultant shall cooperate in the review of the design and PS&E materials. Required modifications to the Work as the result of STATE reviews shall be performed by the AGENCY prior to advertising the Project and Work for bid. Any required modification costs will be the sole responsibility of the AGENCY. 4. PROJECT ADVERTISEMENT AND AWARD 4.1 The AGENCY will advertise the Project for bids. The AGENCY will be the STATE's representative during the Advertisement and Project contract award period. The STATE shall assist the AGENCY in answering bid questions and resolving any design issues that may arise that are associated with the Work. All comments and clarifications that affect the Work must go through the STATE. The AGENCY agrees that all changes made to the STATE -accepted plans and specifications for the Work shall require the STATE's written acceptance prior to advertisement. 4.2 The AGENCY shall prepare and issue addenda to the contract as needed. The AGENCY shall submit addenda that affect the Work to the STATE for its review and acceptance before issuance. 5. CONSTRUCTION 5.1 The AGENCY will be the STATE's representative during construction and will act as owner in the administration of the contract for the Work. The AGENCY will designate an AGENCY Project Engineer to provide all services and tools, including but not limited to construction administration, inspection, materials testing, and representation, necessary to administer and manage the contract to ensure that the Work is constructed in accordance with the approved contract plans, specifications and associated permits. 5.2 Prior to beginning Project construction, a pre -construction conference will be held at which the STATE, the AGENCY, and the AGENCY's contractor shall be present. The AGENCY shall give a minimum of five (5) working days' notice to the STATE Construction P.E., prior to holding the pre -construction conference. 5.3 The STATE may, at any time, request a construction schedule or updates thereto from the AGENCY, showing critical dates and activities that will lead to the completion of the Work. The AGENCY shall notify the STATE Construction P.E. of any changes at least three (3) calendar days prior to implementation. 5.4 The STATE may consult with and inquire of the AGENCY Project Engineer, attend all meetings, and have access to all documentation concerning the Work. The STATE shall not provide direction, directly or indirectly, to the AGENCY's contractor. All formal contacts between the STATE and the contractor shall be through the AGENCY's representative. AGREEMENT GCB 2349 Page 3 of 9 5.5 Copies of this Agreement shall be kept at the AGENCY's project office and at the construction site. The Agreement shall be shown, upon request, to any state representative or law enforcement officer. 5.6 The AGENCY shall obtain all necessary Federal, State, and Local Permits required for the Work. 5.7 The AGENCY agrees to and shall construct the Work to the satisfaction of the STATE, and the Work shall be subject to STATE inspection. The Parties agree that STATE inspections and acceptances regarding the Work are solely for the benefit of the STATE and not for the benefit of the AGENCY or the AGENCY's contractor. 5.8 If for any reason the AGENCY decides not to complete the Work after construction has begun, the STATE shall determine what work must be completed to restore STATE facilities and right-of-way to a condition and configuration that is safe for the traveling public and for the continued operation and maintenance of the state highway. The AGENCY agrees that all costs associated with the restoration, including engineering, completing STATE facility and right -of way restoration, and contractor claims will be the sole responsibility of the AGENCY. If the AGENCY's contractor is not available to restore the state highway facilities and right -of way as required by the STATE, the STATE may perform or contract to perform, the restoration work at the AGENCY's sole expense. The AGENCY agrees to reimburse the STATE as provided in Section 13 for costs incurred under this section. 6. WORK CONTRACT CHANGES 6.1 The AGENCY shall be responsible to obtain from the STATE prior written approval for all revisions, deviations, change orders, extra work orders, and changes to the plans and specifications previously approved by the STATE for the Work. 6.2 The AGENCY shall make available to the STATE all change order documentation related to the Work. PROJECT ENGINEERS 7.1 The AGENCY shall be responsible for the Project contract administration and has assigned an AGENCY Construction P.E. for the Project. 7.2 The STATE has assigned a STATE Construction P.E. for the Project. The STATE Construction P.E. shall coordinate submittals, reviews and approvals between the STATE and the AGENCY, and represent the STATE as the final owner of the Work. The STATE Construction P.E. shall ensure that the Work will be constructed according to the approved contact plans, specifications and associated permits. 7.3 The STATE recognizes the AGENCY's role as contracting agency for the Project. All STATE communication will be through the STATE Construction P.E., or designee, to the AGENCY Construction.P.E except for Section 8. The STATE Construction P.E., or designee, shall attend regular coordinating meetings, the AGENCY's pre -construction conference, and other meetings deemed necessary for appropriate coordination. 7.4 The AGENCY acknowledges the role of the STATE Construction P.E., which includes the AGREEMENT GCB 2349 Page 4 of 9 right to request the suspension of any and all Project construction activity conducted on state-owned limited access right of way. If the STATE determines in its sole discretion that the state highway and/or safety of the traveling public is jeopardized, the STATE is authorized to order the AGENCY to suspend work located within state-owned limited access right of way. In this event, the AGENCY shall comply with the order, and the STATE and AGENCY will cooperate fully to resolve the issue(s). All costs incurred as the result of a suspension of work shall be the sole responsibility of the AGENCY. PROJECT ACCEPTANCE 8.1 After physical completion of the Project, but prior to the STATE's final acceptance of the Work as defined in the LAG Manual, the AGENCY shall provide the STATE with one set of as -built drawings and material acceptance certification documents for the Work. The as -built drawings shall be prepared in accordance with the current edition of the STATE's Construction Manual. 8.2 Work acceptance: the AGENCY and STATE will perform a joint final inspection. The STATE agrees, upon satisfactory completion of the Work, receipt of the as -built drawings, and a Notice of Physical Completion of the Work, as determined by the AGENCY, to deliver a letter of acceptance to the AGENCY which shall include a release of the AGENCY from all future claims or demands of any nature resulting from the performance of the Work and the AGENCY's administration thereof, within state-owned right of way, subject to any contractor claims caused by the negligent acts or omissions of the AGENCY in administering the Work. 8.3 If a letter of acceptance is not received by the AGENCY within ninety (90) calendar days following delivery of the as -built drawings and a Notice of Physical Completion of the Work to the STATE, the Work and AGENCY administration thereof shall be considered accepted by the STATE, and the AGENCY shall be released from all future claims and demands of any nature resulting from the performance of the Work and the AGENCY's administration thereof, within state- owned right of way, subject to any contractor claims caused by the negligent acts or omissions of the AGENCY in administering the Work. 8.4 The STATE may withhold its acceptance of the Work by submitting written notification to the AGENCY within ninety (90) calendar days following delivery of the as -built drawings and a Notice of Physical Completion of the Work. This notification shall include the reason(s) for withholding acceptance. The Parties will work together in good faith to resolve the STATE's issues. 9. TRAFFIC CONTROL 9.1 In construction of the Work, the AGENCY shall comply with the Manual on Uniform Traffic Control Devices for Streets and Highways (MUTCD), current edition. Any road closure or restriction of the STATE highway and/or ramps shall require advance STATE written approval of a traffic control plan. 9.2 The STATE will review and when accepted, approve all traffic control plans submitted by the AGENCY that pertain to the Work within ten (10) calendar days of submittal by the AGENCY. Traffic Control Plans and revisions shall be submitted to the STATE Construction P.E., for coordination with the STATE's South Central Region Traffic Office. AGREEMENT GCB 2349 Page 5 of 9 10. PROGRESS REPORTS The AGENCY shall provide written monthly progress reports to the STATE to include, at a minimum, Project status, and current and projected schedule for Project and Work completion. 11. ELECTRICAL INSPECTION The STATE shall be responsible for electrical inspections for facilities located on state- owned right of way. The STATE's electrical inspector may have direct and official communication with the AGENCY's contractor and subcontractors. All such communication affecting the contract will be in writing and copies provided to the AGENCY Construction P.E. through the STATE Construction P.E. 12. MATERIALS AND QUALITY ASSURANCE/QUALITY CONTROL 12.1 The AGENCY agrees that all Work materials and workmanship shall conform to the state Construction Manual and the state Standard Specs and shall be subject to inspection by the STATE as provided herein. 12.2 Prior to the placement of any Work materials, the AGENCY shall submit copies of the AGENCY - approved Request for Approval of Materials (RAM) forms along with shop drawings, and catalogue cuts to the STATE Construction P.E. for concurrence. 12.3 All Work materials testing shall be performed by the AGENCY or an independent certified testing laboratory of its choice. Copies of Work materials test results shall be submitted to the STATE Construction P.E., prior to beginning the next phase of construction. The STATE reserves the right to verify the test results or to perform the testing in STATE facilities. The STATE will be responsible for the cost of the verification tests. 13. PAYMENT 13.1 The AGENCY shall reimburse the STATE for all actual direct and related indirect costs incurred by the STATE under this Agreement. Such costs include, but are not limited to, agreement preparation, plan review, including review of proposed revisions to plans and specifications, construction inspection, and administration overhead. An estimate of cost for the Work to be performed by the STATE, at the AGENCY's expense, is attached as Exhibit C. 13.2 The AGENCY has federal funds that are managed by WSDOT Local Programs for the Project Work payments. WSDOT Local Programs has setup a work order for reimbursement to the STATE for agreements preparation, plan review, review of proposed revisions to plans, specifications and construction inspection oversite of the Work. For reimbursement for STATE costs, the STATE will charge to the work order setup by WSDOT Local Programs. 14. EXTRA WORK In the event unforeseen conditions require an increase in the STATE reimbursable costs of twenty five (25) percent or more from that agreed to on Exhibit C, this Agreement will be amended to cover the cost increases. RIGHT OF ENTRY Subject to the terms of this Agreement, The STATE hereby grants to the AGENCY, it's Consultant, employees, and its authorized agents, contractors, and subcontractors, a right of entry upon state-owned highway right of way which is necessary for the AGENCY to the perform the Work. 16. INSURANCE The AGENCY shall furnish the STATE, a certificate of insurance for its contractor for the limits set forth in the Standard Specs prior to beginning construction of the Work. 17. TERM OF AGREEMENT The term of this Agreement shall commence as of the date this Agreement is fully executed and shall continue until the Work is accepted by the STATE, or as otherwise provided herein, and all obligations for payment to the STATE have been met. 18. NON -EXCLUSIVITY This Agreement shall not be deemed or held to be an exclusive one and shall not prohibit the STATE from granting permits or franchise rights; or entering into other Agreements of like or other nature with other public or private companies or individuals, nor shall it prevent the STATE from using any of its property or highway right of way, or affect its right to full supervision and control over all or any part of them, none of which is hereby surrendered. 19. AUDIT and RECORDS All Project records for the Work in support of all costs incurred shall be maintained by the AGENCY for a period of six (6) years. The STATE shall have full access to and right to examine said records, during normal business hours and as often as it deems necessary. Should the STATE require copies of any records, it agrees to pay the costs thereof. The Parties agree that the Work performed herein is subject to audit by either or both Parties and/or their designated representatives, and/or state of Washington and/or the federal government. 20. TERMINATION OF AGREEMENT Neither Party may terminate this Agreement without the concurrence of the other Party. Termination shall be in writing and signed by both Parties. If this Agreement is terminated prior to the fulfillment of the terms stated herein, the AGENCY shall reimburse the STATE for its actual direct and related indirect expenses and costs incurred up to the date of termination. Further, the Parties shall implement Section 5.8, if required. Any termination of this Agreement shall not prejudice any rights or obligations accrued to the Parties prior to termination. 21. MODIFICATION This Agreement may be amended or modified only by the mutual agreement of the Parties. Such amendments or modifications shall not be binding unless they are in writing and signed by persons authorized to bind each of the Parties. AGREEMENT GCB 2349 Page 7 of 9 22. ASSIGNMENT Neither Party to this Agreement shall transfer or assign any right or obligation hereunder without prior written consent of the other Party. 23. SEVERABILITY Should any part, term or provision of this Agreement be determined to be invalid, the remainder of this Agreement, shall not be affected, and the same shall continue in full force and effect. 24. DISPUTE RESOLUTION In the event that a dispute arises under this Agreement, it shall be resolved as follows: The STATE and the AGENCY shall each appoint a member to a disputes board, these two members shall select a third board member not affiliated with either Party. The three-member board shall conduct a dispute resolution hearing that shall be informal and unrecorded. An attempt at such dispute resolution in compliance with aforesaid process shall be a prerequisite to the filing of any litigation concerning the dispute. The Parties shall equally share in the cost of the third disputes board member; however, each Party shall be responsible for its own costs and fees. 25. INDEMNIFICATION 25.1 The Parties shall protect, defend, indemnify, and hold harmless each other and their employees, authorized agents, and/or contractors, while acting within the scope of their employment as such, from any and all costs, claims, judgments, and/or awards of damages (both to persons and/or property), arising out of, or in any way resulting from, each Party's obligations to be performed pursuant to the provisions of this Agreement. The Parties shall not be required to indemnify, defend, or hold harmless the other Party if the claim, suit, or action for injuries, death, or damages (both to persons and/or property) is caused by the negligence of the other Party; provided that, if such claims, suits, or actions result from the concurrent negligence of (a) the AGENCY, its employees, authorized agents, or contractors and (b) the STATE, its employees or authorized agents, or involves those actions covered by RCW 4.24.115, the indemnity provisions provided herein shall be valid and enforceable only to the extent of the negligence of each Party, its employees, authorized agents, and/or contractors. 25.2 The AGENCY agrees that its obligations under this section extend to any claim, demand and/or cause of action brought by, or on behalf of, any of its employees or agents while performing construction on or off the state-owned right of way as authorized. For this purpose, the AGENCY, by mutual negotiation, hereby waives with respect to the STATE only, any immunity that would otherwise be available to it against such claims under the Industrial Insurance provisions chapter 51.12 RCW. 25.3 This indemnification and waiver shall survive the termination of this Agreement. 26. VENUE In the event that either Party deems it necessary to institute legal action or proceedings to enforce any right or obligation under this Agreement, the Parties agree that any such action or proceedings shall be brought in Thurston County, Washington Superior Court. Further, the Parties AGREEMENT GCB 2349 Page 8 of 9 further agree that each will be solely responsible for payment of its own attorney's fees, witness fees, and costs. 27. INDEPENDENT CONTRACTOR The AGENCY shall be deemed an independent contractor for all purposes under this Agreement, and the employees of the AGENCY or any of its consultants or contractors, and the employees thereof, shall not in any manner be deemed to be employees or agents of the STATE. OWNERSHIP, OPERATIONS AND MAINTENANCE Upon acceptance of the Work as provided in Section 8, the STATE shall be the sole owner of that portion of the Work located within state-owned right of way, and the STATE shall be solely responsible for all future operation and maintenance of the Work located within state-owned right of Way at its sole cost, without expense or cost to the AGENCY.
