WHEREAS, the City of Pasco and Moon Security Services, Inc.,
are desirous to enter into a Services and Maintenance Contract
for the purpose of securing security services for the East Pasco
Neighborhood Facility, NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PASCO:
That the City Council of the City of Pasco does hereby authorize
the mayor and city clerk to execute the Services and Maintenance
Contract with Moon Security Services, Inc., and also hereby approves
of the contract, a copy of the Services and Maintenance Contract is
attached hereto, marked Exhibit "A", and is incorporated herein as
though fully set forth at length.
PASSED by the City Council of the City of Pasco this 18 day
of June , 1979.

SERVICES AND. MAINTENANCE CONTRACT
THIS SERVICE'S AND MAINTENANCE CONTRACT is entered into on
the day of ���.[� 197 9 , by the City of Pasco,
a municipal corporates ion under the laws of the State of Washington,
hereinafter ref.erred to as "subscriber"; and Moon Security Services,.
Inc..,.hereinafter referred to as "contractor
W I T N E S S E T H:
In consideration of the mutual promises and covenants:
contained herein, the parties hereto agree as follows:
I:
Moon Security Services., Inc.., hereby agrees to provide
supervised monitoring and maintenance services on the intrusion
alarm Alarm .Signaling System which is located at East Pasco Neighbor-
hood Facility, 205 South Wehe, Pasco, Washington, for the City of
Pasco, Recreation Department,. P.O. Box 293, Pasco, Washington.
Moon Security Services,. Inc., will provide twenty-four -(24) hour
supervised monitoring of the three separately zoned alarm systems
installed at said'faci.lity.. Moon Security Services, Inc., will also
provide maintenance service.
II.
The date set forth shall -be the effective date of this
contract which shall be for an iritiai period of three years.- It
shall thereafter continue for successive three year periods unless
either party gives the other at least sixty days prior to.the end of
any such period, written notice of intention to terminate this
contract.
III.
Subscriber agrees. to -make the following payments to Moon
Security Services, Inc.: Forty & 00/100 ($40.00) for each month this
Contract remains in effect, payable in advance on the first day of
each calendar month, and a pro rata portion of such charge for the
number of days remaining,in the month in which the completion notice
is given commencing on the date of such notice. In addition to the
foregoing payments,subscriber, shal-1 pay` al.l. existing or future
federal state or lidcal taxes and assessments imposed upon or in
connectionwith the provision of the above listed services.
IV.
Contractor agrees to -use diligence in the maintenance and/or
other services rendered and: subscriber agrees to test the system where
testing apparatus is supplied, weekly, and to notify contractor'.-

at once if the system isnot operative. Contractor agrees in the,
case of State Licensed Fire Systems to exercise and physically test
complete system, supervisory apparatus, 'and reserve power supply not
less than once every calendar month. It is specifically,understood
that the contractor is not an insurer and.that charges payable to
him are based solely on the value of the maintenance and/or other
services listed above.
V.
Contractor shall charge and subscriber shall pay unscheduled
service fees made necessary by subscriber negligence or any other
cause except normal wear and tear. Subscriber.shall also pay for
all parts replaced in the event they are not adjustable or repairable
and will. be charged costs plus 15%. In -the event the prevailing.
rate of charge. should be less than.cost"plus 150*, the city.shall be
charged at the lesser rate.:
Vi.
Contractor shall have the right at.any time after the
expiration of the original term, to ,increase or decrease the service
fee upon -giving subscriber sixty days written,notice,.after which
subscriber has the option to cancel service.
VII.
The subscriber shall have the right to terminate this
agreement with sixty days written notice at any time during the three
years in the event the city abandons,,transfers, discontinues the
use of,.sells, or disposes_of"'the East Pasco Neighborhood Facility.
VIII.
The terms of this agreement shall include those terms as
outlined in.the attached letter dated 'May 14,1979, addressed to.
Mr. Sam Baxter, Assistant Director of Parks and Recreation Department,
and signed by A.M. Tebaldi, Security Consultant, and which is
incorporated herein as though fully set forth at length.
IX.
Subscriber acknowledges receipt, of a copy of this contract.
This agreement is transferable to all respective heirs,
-successors, and -assigns of the,.contra�c.tor and subscriber.
