A RESOLUTION RELATING TO THE CITY OF PASCO FILTER PLANT
AND AUTHORIZING EXECUTION OF AGREEMENT WITH CH2M —HILL
FOR A PRELIMINARY STUDY OF ALTERNATIVE SOLUTIONS FOR HANDLING
BACKWASH WATER AT THE FILTER PLANT.
WHEREAS, the City of Pasco desires the development of a
predesigned report which will primarily outline the economics and
other factors associated with various alternatives available to the
City of Pasco in order to satisfy EPA (Environmental Protection
Agency) requirements of waste discharge from the City of Pasco Water
Filtration Plant, and
WHEREAS, CH2M - Hill is qualified to conduct such a
preliminary study; NOW, THEREFORE,
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF PASCO:
That the proper officials of the City of Pasco be and
the same are hereby authorized to execute an agreement with CH2M -
Hill for the purpose of preparing a predesigned plan which will
primarily outline the economics and other factors associated with
the various alternatives available to satisfy EPA requirements on
waste discharge from the City of Pasco Water Filtration Plant, said
agreement to be substantially in the form as the one attached hereto
and by this reference incorporated herein and not to exceed the
lump sum of Nine Thousand & 00/100 ($9,000.00) Dollars for the
preliminary study and One Thousand & 00/100 ($1,000.00) Dollars for
the grant application preparation.

AGREEMENT TO FURNISH ENGINEERING SERVICES
TO
CITY OF PASCO, WASHINGTON
FOR
WATER TREATMENT PLANT WASTE DISPOSAL
For the consideration hereinafter set forth, the firm of
CH2M HILL, Inc., a professional engineering corporation,
hereinafter referred to as the ENGINEER, agrees to provide
engineering services to the City of Pasco, Washington,
.hereinafter referred to as the OWNER, for predesign plan-
ning and for preparing a grant application for disposing of
basin sludge and filter washwater from the city's water
treatment plant.
ARTICLE 1.
The specific services that the.ENGINEER agrees to furnish
are as follows:
A. PRELIMINARY STUDY
1. Determine quantity and characteristics of plant
wastewater to be disposed of
2. Evaluate lagoon and mechanical solids separation
and disposal at the sewage treatment plant
3. Evaluate lagoon site on railroad property to the
south of. the water treatment plant
4. Develop construction cost estimates for alter-
natives considered
5. Briefly assess likely environmental impact of
alternatives
6. Review findings with the OWNER and report final
findings in a letter report which will include the
above considerations
B. GRANT APPLICATION
1. Provide complete service in preparing State of
Washington Referendum 27 grant application.
Grant application services shall include those
tasks normally required by the State of Washington
Department of Social and Health Services prior to
offering grant funding of project's eligible.

ARTICLE 2.
As consideration for providing the services enumerated in
Article 1, the OWNER shall pay the ENGINEER:
A. For preliminary study the lump sum amount of $9,000.00.
B. For grant application preparation the lump sum amount of
$1,000.00.
ARTICLE 3.
Payment to the ENGINEER as prescribed in Article 2 is made as
follows:
A. Within thirty (30) days after the last day of each month
during which services have been furnished, the ENGINEER's
estimate of the value of the work accomplished by the
ENGINEER during the month shall become due and payable.
ARTICLE 4.
It is further mutually agreed by the parties hereto:
A. That, the OWNER shall make available to the ENGINEER all
technical data in the OWNER's possession, including
maps, surveys, borings, and other information required
by the ENGINEER and relating to his work.
B. That, if payment of the amounts due as prescribed in
Article 2, or any portion thereof, is not made within
the period specified in Article 3, interest on the unpaid
balance thereof will accrue at the rate of twelve percent
(12%) per annum and become due and payable at the time
said overdue payments are made.
C. That, if any portion of the project covered by this
Agreement shall be suspended, abated, abandoned, or
terminated, the OWNER shall pay the ENGINEER for the
services rendered for such suspended, abated, abandoned,
or terminated work, the payment to be based insofar.

D. That, in the event of any action brought by either party
against.the other to enforce any�of the obligations
hereunder or arising out of any dispute concerning the
terms and conditions hereby created, the losing party shall
pay the prevailing party such reasonable amounts for
fees, costs, and expenses as may be set by the court.

E. That, in the event of any legal or other controversy
requiring the services of the ENGINEER in providing
expert testimony in connection with the project, except
suits or claims by third parties against the OWNER aris-
ing out of errors or omissions of the ENGINEER, the
OWNER shall pay the ENGINEER for services rendered in
regard to such legal or other controversy, including costs
of preparation for the controversy, on a basis to be
negotiated.
F. That, this Agreement is to be binding on the heirs,
successors, and assigns of the parties hereto and is not
to be assigned by either party without first obtaining
the written consent of the other.
ARTICLE 5.
IN WITNESS WHEREOF, the parties hereto each herewith subscribe
the same in triplicate.
