RESOLUTION NO. 1 062
A RESOLUTION OF THE CITY OF PASCO AUTHORIZING THE CITY
MANAGER TO SIGN A JOINT DATA PROCESSING AGREEMENT WITH
THE CITY OF RICHLAND.
WHEREAS , the City Council of the City of Pasco has reviewed the proposed
contract between the City of Pasco and the City of Richland, and
WHEREAS , the City Council has found that said agreement is in the best
interests of the City of Pasco and wishes to enter into the same; NOW, THEREFORE,
THE CITY COUNCIL OF THE CITY OF PASCO DOES RESOLVE AS FOLLOWS:
Section 1. The City Manager of Pasco is hereby authorized and directed to
enter into the agreement between the City of Pasco and the City of Richland, attached
hereto and by this reference incorporated herein.
Section 2. This Resolution shall be in full force and effect after its passage as
required by law.

JOINT DATA PROCESSING AGREEMENT
THIS AGREEMENT is entered into this day of
197 by and between the City of Richland, a
municipal corporation, located in Benton County, Washington, and
the City of Pasco, a municipal corporation, located in Franklin
County,Washington.
WHEREAS, The City of Pasco desires to obtain a full
range of data processing services from the City of Richland;
WHEREAS, the City of Richland desires to provide data
processing services to the City of.Pasco on a cost reimbursement
basis; and
NOW, THEREFORE, it is hereby agreed between the parties
as follows:
l.. Purpose.
The purpose of this agreement is to provide a mutually
acceptable framework for providing those data processing
services desired by the City of Pasco and to provide a
method of allocating the costs of -such services.
2. Term and Termination..
The term of this agreement shall be for, an indefinite
period, provided, however, that either party may terminate
this agreement by giving the other party 180 days written
notice of intention to terminate.

3. Services to be Provided.
The City of Richland agrees to provide data processing
services related to the Financial System, Payroll System
and Utility Billing System for the.City of Pasco. The
City of Richland agrees to proceed in a diligent manner
toward the goal of beginning Financial System Data
Processing for Pasco, pursuant to this agreement, on or
about April 1, 1977; it being further agreed by the parties
that the starting date so specified is a target date only.
Planning for provision of Payroll System Service and
Utility Billing System Service will be accomplished jointly,
by the cities of Richland and Pasco, with the intention
of providing Payroll System Service on or about June 1,
1977, and Utility Billing System Service on or about. July 1,
1977; it being agreed by the parties that the aforementioned
dates are likewise target dates only.
The term "Financial System" is defined in Appendix B,
attached hereto and incorporated by reference into this
agreement. It is the intention of both parties to share
computer applications to the extent that.it is feasible
and beneficial to both parties. The extent of services
related to Financial System, Payroll System and Utility
Billing System are as follows:
a. Data entry and verification of all data input.
b. Computer processing not to exceed 80 hours per month).

C. Programming services limited to minor program changes
needed and requested by the City of Pasco (expected
to be approximately 450 programmer/analyst man hours
per year).
The City of Pasco m.ay choose to delete data entry and
verification services from this agreement at any time by
giving the City of Richland 30 days prior written notice
of their intention to so delete. In that case, from and
after the expiration of 30 days from receipt of such notice,
charges for data entry and verification shall be eliminated
from the monthly invoice prepared by Richland and forward-
ed to Pasco.
4. Additional Applications.
Prior to implementation of each additional application,
a definition of specific products and services will be
added to this agreement as a separate Appendix.
5. Other Services.
The City of Richland may perform other and additional
data processing services requested by Pasco if manpower
and equipment resources are available to perform such
services. Such additional services will be provided
only on specific requests by the City of Pasco and then
only after review by the Richland Finance Director and
approval by the Data Processing Steering Committee.

6. Delivery and Pick-up.
The City of Pasco shall assume the responsibility of
delivering all data input material to theRichland City
Hall, and shall assume the responsibility of picking up
all work products from the Richland City Hall.
7. Charges.
The City of Pasco agrees.to pay the City of Richland for
services provided herein according to the rate schedule
attached to this agreement as Appendix A, and by this
reference incorporated herein. At the request of either
party rates and charges may be recomputed and renegotiated
on 30 days written notice given by the party desiring
recomputation and renegotiation.
8. Computation of Charges.
Richland. Data Processing personnel shall keep records
of all computer time and man hours devoted to services
provided the City of Pasco pursuant to this agreement.
Such records will be utilized to compute the monthly
charge for services which charges shall be stated on
monthly invoices to the City of Pasco. All original
records of machine and man hours spent'shall be retained

by the City of Richland and shall be made available to
the City of Pasco for audit purposes.
9. Ownership of Software.
All software developed pursuant to the terms of this
agreement shall become the joint property of both

parties. Upon termination of this agreement the. City
of Richland shall provide printed copies of all computer
programs which have been developed pursuant to this
agreement unless providing such programs is prohibited
under the terms and conditions of a prior licensing
agreement.
10. Liahility.
The City of Pasco shall indemnify and hold harmless the
City of Richland for injury or damage to persons or
property and any other liability of any kind and nature
related to or steming from services provided pursuant to
this agreement. The City of Richland agrees to refrain
from the filing of any claim or suit against the City of
Pasco for.any matters steming from or related to this
agreement other than any claim, demand or suit which may
arise under the payment -provisions of this agreement.

APENDIX A - CHARGES FOR SERVICES
Pasco agrees to pay Richland for data processing services and resultant
products upon receipt of monthly invoices. The following price schedule relates
specificially to Financial System services as the first application to be
implemented, and provides a basis for charging for other additonal' services.
A) Financial System
Pasco agrees to pay a fixed price for services as follows:
1. A one-time charge for one-half of -the license fee paid to IBM
for use of the basic Financial System package: $2,280.00 plus 1/2 of the
basic installation cost for the Financial System; $5,500.
2. A monthly fee of 1/12 the estimated annual cost of computer
operation: $10,000, calculated at $42.00/computer hour for
an estimated 240 hours.
3. A monthly fee of 1/12 the estimated cost of routine programming
services necessary to maintain the Financial System and make
minor changes requested by Pasco. Estimated annual cost is
$3,618 (calculated at 1/4 of the programmer/analyst's salary
of $14,472).
4. A monthly fee of 1/12 the estimated annual cost of data entry
services, $3,240, calculated at'ti$9.00 per person hour for an.
estimated 360 hours.
5. The fixed monthly fee for the Financial System will be $1,411.50,
computed as follows:

B) Other Additonal Services
1. Computer usage charge of $42.00 per clock hour for computer,
operator and stock supplies.
2. Data entry and verification charge of $9.00 per person hour.

APENDIX B - DEFINITION OF FINANCIAL SYSTEM SERVICES AND PRODUCTS
Richland agrees to provide Financial System processing to Pasco. QIjal.ity
of service will be equal to the level of services_provided.to Richland.
''Financial System'' products are generally defined as the outputs produced
by the Municipal Budgeting and Accounting System as it is presently
implemented in Bellingham, Washington. That system will be installed on
an "as is'' basis in Richland.and made to produce outputs equivalent to the
outputs produced in Bellingham. Specifically the outputs include these
among others:
- Daily Transaction Register
- General Journals
- Revenue -Receipt Journal
- Appropriation - Expenditure Journal
- Adjusting Journal Entry Journal
- Labor Distribution Journal
Voucher Listings
- Warrants
- Warrant Register
Trial Balance
- Expenditure Report
- Vendor File List
The Financial system specifically does not include detailed payroll.accounting
or payroll check production and does not include detailed accounting for
utility billing or production of utility bills. Those services are expected
to be implemented during .1977 and will be listed in separate Appendices
when the services is provided.
12. Liability. Each city shall defend any and all actions
which are alleged to have arisen out of the actions of the
employee of the particular City.
