r ORDINANCE NO.7, - AN ORDINANCE AUTHORIZING A CONTRACT AND AMENDMENTS THERETO AS NECESSARY BETWEEN THE CITY OF PASCO AND PUBLIC UTILITY DISTRICT NO. 1, OF FRANKLIN COUNTY, A IUIUNICIPAL CORPORATION, PROVIDING FOR THE FURNISHING BY SAID DISTRICT OF ELECTRIC LIGHTING SERVICE UPON THE STREETS, HIGHWAYS ND PUBLIC PLACES WITH THE CORPORATE LIMITS OF THE CITY BEGINNING - .S , AND DETERMINING THE AMOUNT OF STREET GHTING SE BICE REQUIRED BY THE CITY AND DIRECTING THE EXECU N AND DE RY OF SUCH CONTRACT AND AMENDMENTS THERETO AS NECESSA IN BEHALF F THE CITY FOLLOWS: BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF PASCO AS SECTION 1. That the City= of Pasco make and enter into a contract with Public Utility District No. 1, of Franklin County, a municipal corporation, providing for the furnishing by said District to said City of electric lighting service upon the streets, highways, and public places within the corporate limits of the City beginning / �'�, such contract for street lighting servic o be in words and figures as follows, to -wit: THIS AGREEMENT made and entered into this / L�day of 4�3' by and between the City of Pasco, a municipal corporation of the State of Washington, hereinafter designated as the City, and Public Utility District No. 1 of Franklin County, a municipal corporation, hereinafter designated as the District, WITNESSETH: WHEREAS, the District owns the City street lighting equipment and is willing to install additional street lighting equipment and the City desires the installation of such additional equipment, NOW, THEREFORE, the parties have mutually agreed as follows: 1. The District agrees to furnish to the City commencing �3 and the City agrees to take and to pay j/for undjer the terms hereof throughout said period all. electric V lighting service which may now or hereafter be -required by the City for lighting the streets, highways and public places of the City during said term. 2. Initial installation at the date of this contract is as per the schedule attached and made a part of this contract. Revision of this schedule may be made quarterly to correspond to the number of units in operation at the time of revision. Additional installations, upon being installed as above provided, shall thereafter be maintained and operated at such locations respectively during the full term of this agreement; provided, however, that the District will at any time upon request of the City remove any lamp or lamps installed hereunder or hereto- fore installed to a new location or locations upon the District's overhead distributing system within the City and without expense to the City if such change of location requires only transfer of the same equipment to an existing pole line carrying a street lighting circuit and does not require the installation of any additional materials or the construction of any additional distributing lines or street lighting circuits. 3. The District will at all times hereunder, except when prevented by accident or other causes beyond its control, supply the necessary electric energy or current for operating from nightfall to daylight of each day all lamps installed by it hereunder or here- tofore installed and owned by it and will from time to time promptly install new lamps in replacement of burned out lamps. The District will cause each lamp installed hereunder to be turned on at dusk and to be turned off at daylight daily during said term. The District shall not be liable for or on account of any failure of service hereunder, except as herein provided. Payment for such services and energy shall be as follows: Energy charges to be as stated in Schedule 4 rate, which is a part of this contract. Special investment charges as of this date in the amount of "65,990.86 are to be reimbursable at the rate of loo per year to the District. Lamp renewal costs to be reimbursable to the District at the rate of .05 per month for every incandescent unit installed and •41 per month for every mercury vapor unit installed. per day. Hours of burn for the units involved will average 12 hours STREET LIGHTING RATE DUSK TO DAMN Schedule 4 Availability Applicable to dusk to dawn service for street lighting system including street lighting, signal systems, and roadway and park lighting for a term of not less than one year. Character of Service Alternating current service, either series or multiple system, or in combination, at option of District. Rate The rates for thisservice consist of two parts, as follows: 1. Energy Charge First 150 KWH used per month @ 3¢ per kwh Next 350 kwh used per month @ 2¢ per kwh Excess above 500 kwh used per month @ 3/4¢ per kwh 2. Investment Charge The annual investment charge for this cost of (a) operation and maintenance, (b) repair and replacement, except lamps, and (c) service shall be 100 of such special investment, determined as set forth below. This charge will be recomputed on December 31 to become effective January 1 of the following year and one -twelfth of the total annual charge so computed will be billed customer monthly. 3. Method of Determining Distributor's Special Investment The special investment in property and equipment used as a basis for the annual investment charge contained in this schedule shall consist of the cost of property and equipment used solely for street lighting purposes, such as lamps, fixtures, brackets, mast arms, conductors, poles, posts, standards, control equipment, switches, transformers, etc., said additional installations, upon being installed as above provided, shall thereafter be maintained and operated at such locations respectively during the full term of this agreement; provided, however, that the District will at any time upon request of the City remove any lamp or lamps installed hereunder or hereto- fore installed to a new location or locations upon the District's overhead distributing.system within the City and without expense to the City if such change of locations requires only transfer of the same equipment to an existing poleline carrying a street lighting circuit and does not require the installation of any additional materials or the construction of any additional dis- tributing lines or street lighting circuits. 4. The District will from time to time upon the receipt of written request from the Council of the City or within a reasonable time thereafter install or replace at such location or locations specified in such request and upon suitable brackets upon the District's poles such additional street lighting equipment as may be requested, provided, that in such event the parties shall agree by an amendment to this contract to the terms and condition under which such installations or'replacements shall be made; provided, however, that in such an event all terms and conditions of this contract shall apply to such amended contract except as the same may be modified by such amendment by its specified term. 5. Should the District at any time during the term hereof become unable to secure as required any lamp or lamps of the type then in service hereunder because of the manufacturer discontinuing the service of such type of lamp or for other good cause the District shall be required to install and thereafter operate at the location or locations of the lamps so superseded a like number of lamps of standard types then available of a similar size. 6. The District will make reasonable provision to provide satisfactory and continuous service hereunder but does not guarantee a constant supply of electricity and shall not be liable in any event on account of any failure of service hereunder. 7. Payment for all service rendered under this agreement shall be made by the City to the District each month within ten days from the receipt of bill for services furnished during the preceding month. S. The service provided for in this agreement and the rates of payment applicable thereto and said rates and charges and all terms and provisions hereof shall be at all times subject to any lawful orders which may hereafter be made requiring modification thereof. 9. This agreement and all terms and provisions hereof shall enure to the benefit of and be binding upon the successors and assigns of the parties hereto respectively. IN WITNESS WHEREOF the City of Pasco has caused its corporate name to be signed by its Mayor and its corporate seal to be affixed and attested by its City Clerk, and the said District has caused its corporate name to be signed by its Manager and its corporate seal to be hereunto affixed by its Secretary as of the day and year hereinabove first written. SECTION 3. The mayor of the City is hereby authorized and directed to make, execute and deliver said contract with said Public Utility District No. 1 of Franklin County in the name and on behalf of the City and the City Clerk is hereby authorized and directed to affix the seal of said town to said contract and to attest the name upon execution by the mayor as hereinabove provided.
