Mr. Weber and Mr. Baer for the Pacific Telephone and Telegraph Company
appeared before the council and discussed proposed improvement contemplated
by the telephone Company in the city.
Mr. Langmuir of the Pacific Power & Light Company appeared before council
and discussed the matter of settling controversy existing as to light bill.
Moved by Reardon, seconded by Holt, that arc lights as tilled for by
Pacific Po.er & Light C6mpany, from February, 1915, be paid in full, and that
cluster lights as billed by the light company from iebrur•ry, 1915, be p, -,id
at one half total bill. Motion carried, roll call as follows: Ayes- Chute,
Fall_, 'arrison, Holt, Reardon, No - Steckel. Clerk issued warrant No. 166
in the sum of N2,455.70 to cover.
Contract between Pacific Poz.er & Light Company and city of Pasco was
discussed and new contract read to council in words and figures as follows:
THIS AGREED NT, made and entered into this 16th day of May, 1916,
batween the City of Pasco, State of Washington, a municipal corporation,
party of the first part and Pacific Power & Light Company, a corporation,
hereinafter called the Company, party of the second part WITNESSETH:
THAT ',+HEREAS the Company has succeeded to the obligations and rights
imposed upon and granted to F. E. Elmendorf, his successors and assigns,
by Ordinance No. 51 of the Town (now City) of Pasco, approved May 2nd,
1906, and last published on 'day 10th, 1906, granting a franchise for the
constri7etion, maintenance and operation of an electric light and powser
system in said 'Town (now city) of Pasco for a period of twenty-five (25)
years, and by a certain contract made and entered into b tween said town
(now city) of Pasco and said F. E. Elmendorf, his successors and assigns,
dated May 19th, 1906, providing among other things for the furnishing
of certain street lighting service to said Town (now City) of Pasco; and
71HEREAS ay the request of the City of Pasco, the Company has substit-
uted for certain of the arc lights installed as provided for in said ordi-
nance and contract certain incan3escent lights as desired by said city,
and the Company r7ew maintains and operates for the use and benefit of
said City of Pasco upon the streets thereof thirty-four (34) are lights
of the type described in said franchise and contract for each of which
it charges said City and receives the sum of _Five Dollars and 11'ifty cents
($5.50) per light per month, and twenty-nine (29) Mazda. Incandescent
lights of 100 or more candlepower for which lifihts the company charges
and receives the sum of One Dollar and fifty cents ($1.50) per light per
month, and in addition thereto the Company is operating certain cluster
lights each consisting of three (3) sixty (60) candlepower incandescent
lamps situated upon posts installed and owned by said City of Pasco,

which cluster lights at the request of the said City were substituted for and
replaced nine (9 o£ said arc lights previously operated and maintained by the
Company; and
']AIEREAS the City of Pasco now desires to have the Company makefurther
cbanges in the electric lights maintained and operated by the Company for
the purpose of better adapting such street lighting service to the present
needs of the City of Pasco and of more effectually carrying out the intent and
provisions of said franchise ordinance and said contract of ?lay 19th, 19([6,
and the Company is willing to make such further changes requested by the City
upon the terms hereinafter set forth:
NOI7 THEREFORE, the City of Pasco, in pursuance of a resolution of the
City Council thereof duly adopted at a regular meeting of said council held
on the 16th day of ..ay, 1916, authorizing and directing this agreement to
be executed in behalf of said City by the Mayor thereof and its corporate
seal to be hereto affixed attested by the City Clerk, and said Pacific Power
& Lipht Company,
HAVE BIUTUALLY AGREED AS FOLLOCIS:
1. The City of Pasco requests the Company to install and }e reafter
to maintain and operate until the tenth day of Eay, 1931, the date of the
expiration of said franchise, the following electric lights ffor the use
and benefit of said City:
Eight arc lights of the type now in use and
operation by said Company in said city;
Eighty-four Mazda incandescent lamps of 100
candlepower of the type now operated by the Company in the streets of said
ci ty ;
Eighty-four (84) Mazda incandescent lamps of 60
candle power of the type now maintained by the said Company;
and the Co;;,pany agrees to install the same forth.ith and to maintain and
operate the same until the said tenth day of Llay, 1931. Said eight ,arc
lights shall be maintained and oT)erated at the present loontinns of such
number of'such are lights now in use and operation, such location to be
designated in writing by the Light and dater Committee. Of said Eighty-four
100 candle power lights twenty-nine (29) shall be maintained and operated
,-t the present locations thereof in said city, and the remmining lights
shall be installed, maintained and operated at the points that may be des-
ignated in writing bg the Light qnd Water Committee of the City Council.
Said Eighty-four (84) 60 candlepower lights shall be maintained and operated
upon the eighty-four (84) cluster lighting posts of the city of Pasco now
in i1se and operation, the Company m,,,intaining and operating the top lamp
of each of the three-lapp clusters now installed upon said .cluster lighting
posts. All new lights to be installed shall be installed, maintained and
operated upon suitable brackets or ether fixtures upon the poles of the
electrical distribution system maintained and operated by the Company in
the Oity of Pasco.
2. The Company will at all times at its own cost and expense main-
tain all of said lights in good order and condition and will make all
repairs and renewals necessary properly to maintain the same, nn will
cause said lights to be lighted at nightfall and to be operated and remain
lighted until daylight of each day of the year, except :ihen prevented by
accident or other cause beyond its control. The Company may substitute
for any of the lights installed and maintained hereunder lights of new or
different types, if the company's operating conditions make such substitu-
tion desirable, but the light or lights so bubstituted shall be least be
equal to the candlepower of the lights or light replaced.
3. Should the city of Pasco desire hereafter the maintenance and
operation of additional lights or lamps for lighting the streets it will
notify the uompany in writing of its requirements, ^nd the Company upon
the receipt o£ such request, or within a reasonable time thereafter, will
install at the location or locations specified in such request and upon
suitable brackets or other fixtures upon its poles, or upon pro*er posts
supplied and installed by said city if the city so desires, such additional
lights oil lamps of standard size and type as may be requested, provided
that the same may be conveniently operated upon the street lighting system
or circuits of the Company employed in furnishing the service described in
Section 1 hereof. All additional lights or lamps th:,t may be so installed
shall be maintained and operated by the company and be paid for by the City
of Pasco from the date of such installation to said tenth day of May, 1931.
The Company however shall not be required to install any such additional
lights or lamps for a period of six (6) months next preceding May 10th,
1931, unless the City of Pasco at the time of making such reouest shall
have entered into a further contract with the Company providing for the
furnishing of electric lighting service for period of at least five (5)
years from and after May 10th, 1931.
4. For the lighting service hereinbefore described the Cit of Pasco
will pay to the Company the sum of N'ive Dollars and Fifty cents 05.50)
per lamp per month for each of said arc lights, the sum of une dollar and
fifty cents ($1.50) per month for each of said 100 candlepower Mazda incan-
descent lights, and the sum of One dollar and Si -teen and Two-thirds cents
(ti?1.16-2,3) for each of ^aid 60 candlepower Mazda incandescent lights; and f
for all additional lights or Mamps th-t may thereafter be installed by the
Company at the request of the city of Pasco of different sizes or types from
the lights described in Section 1 hereof the city of Pasco will pay to the
Company the Co-opany's regular published tariff charges then in effect for
lights or lemps of rich sizes or types.
5. The City of Pasco shall be entitled to a proportionate reduction
in the sum payable each month for the operation of any light or lights here-
under on account of any interruption of service with respect to a single
light continuing for a period of thre., consecutive hours or more in any
night; such redaction shall bear the same proportion to the total amount
which would have been payable for such lights during such month as the total
number of hours embraced in the total numuer of such interruptions bears

to the total nivaber of h urs during which service should have been furnished
continuously in such month for such light or lights. The company shall
have, access to all records kept by the city of Pasco or its officials of
& y such interruptions of service and shall be entitled to a copy of such
records for the purpose of checking and verificati Dn.
6. This agreement shall not be taken or construed as cancelling
or termin�,ting the mutual rights and obligations of the parties hereto
under franchise Ordinance No. 51 or under said contract of -day 19th, 1906,
but is intended and shell be construed as supplemental thereto and as an
adaptation of the terms and provisions of said franchise and contract to
the changed needs and requirements and to the growth and development of
said city of Pasco; and the terms, covenants and conditions of said ordi-
nance and of said contract of i:ay 19, 1906, as hereby supplemented, shall
govern and control the parties hereto and their respective successors and
assigns as to all street lighting service required or desired by the city
of Pasco from the 1 day of dune, 1916. to the 10th day of I.4ay, 1931-
7. Should the Company hereafter reduce its rates for street lighting
service of the kind or character herein described, or of any part thereof,
under substantially similar terms and conditions, the city of Pasco shall
be entitled to the lower rates charged by the Company for such street
lighting service under substantially similar terms and conditions from the
date when the company shall make such reduction. All rates and charges
for service hereunder shall bt all times be subject to lawful regularion
by the Public Service Commission of Washington or by any successor of that
holy having jurisdiction in the premises.

BE IT RESOLVED BY TEE CITY COUNDIL OF THE CITY OF PASCO, Washington
That 'slhereas a contract has been negotiated between the said city as
party of the first part and the Pacific Power & Light Company a corpor-
ation of the second part, be^ring date '.ay 16th, 1916 and providing
among other ti)in-s for the m^intainine of ei-ht arc lights of the type
now in use the said city an' for eighty-four Mazda incandescent lamps
of 100 candle po:•.er of the type now operated by the Company in the
Streets of said city and for eighty-four Mazda incandescent lamps of
60 candle power of the type now operated by the company, and whereas
the said city Council has duly considered said proposed contract and
are fully aware of its terms and conditions;

empowered and directed to execute the sail contract on behalf o:' the
said city of Pasco, and the City Clerk of such city is hereby ordered
and directed to sign and attest the same on behalf of said city and
to affix the ocfficial seal of such city thereto, all with the view and
i th the intent of making such contract the binding obligation of
the Laid city upon the same being executed by the proper officers of
the ::aid Pacific Power and Light Company.
