Franklin Co., WA PTN 115-170-084, PTN 115-170-066, and PTN 115-110-013 THIS AGREEMENT made and entered into this 29)4�1' day of January, 2015, between the CITY OF PASCO, a Washington municipal corporation, hereinafter referred to as "Pasco", and the FRANKLIN COUNTY IRRIGATION DISTRICT NO. 1, a Washington municipal corporation, hereinafter referred to as "District', and WHEREAS this Agreement is executed in for good and valuable consideration hereby acknowledged by each party, and WHEREAS attached hereto and incorporated herein by this reference are copies of the right-of-way easements issued to Pasco (Exhibit "D"), and the irrigation easements issued to the AGREEMENT—Page 1 aSai District (Exhibit "E"), covering the area of the roadway, easement and the irrigation pipeline, and WHEREAS this Agreement is intended to provide for the installation of a roadway over and across the District's irrigation easement and the District irrigation facilities located within the easement, and relocation of the irrigation pipeline when the road is widened, and WHEREAS the parties acknowledge that they are cooperating with one another in the development and use of the right-of-way held by Pasco, which right-of-way was received by Pasco in 2009. The District's easements were received in 2005; District agrees to cooperate with the roadway placed over the District easement, subject to the terms and conditions of this agreement. IT IS AGREED AS FOLLOWS: 1. Pasco will install a replacement pipe, 24" AWWA C-905 DR 25 PVC pipe, in two (2) areas across the road described on Exhibit "A", which Exhibit "A" is 13 pages long and attached hereto and incorporated herein by this reference as if fully set forth. The pipeline to be first installed is the pipeline across the proposed Powerline Road located at Station 11+25f which will connect to the existing Franklin County Irrigation District pipeline and will go across the road to be used for future connection to the future irrigation pipeline. The second pipeline to be installed is to replace a portion of the existing Franklin County Irrigation pipeline between Station 36+90 to Station 39+37, being approximately 247 linear feet of pipeline with a 24" AWWA C-905 DR 25 PVC pipe. The pipe and the location is set forth on page 1 of Exhibit "A" (being sheet 13 of 36) and on page 7 of Exhibit "A" (being sheet 19 of 36). These replacement pipes are being installed at this time to allow the construction of the south half of Powerline Road over and across the District's irrigation line by the City of Pasco. AGREEMENT — Page 2 2. It is acknowledged and understood that Pasco, under the terms of this Agreement, may widen or cause to have widened Powerline Road from its present design width from 28.5 feet to approximately 48-50 feet by adding an additional lane or lanes to the road on the north, being the north one-half (1/2) of the road. Pasco agrees that as a condition of any permit for construction or improvement to the real estate described on Exhibit `B" that Pasco will require the replacement of the District's existing irrigation pipeline to a location north of Powerline Road with a new irrigation pipeline without cost to the District. Said replacement requirement shall require the extension of the crossing pipeline at Station 11+25t with pipeline specifications not less than those as specified in paragraph 1 above, and shall require the installation of a new irrigation pipeline within a new easement to be provided to the District in the general vicinity of the new pipeline as evidenced on Exhibit "A". Said pipeline shall be installed in conformance with the District's specifications. The new pipeline shall be constructed with 24" AW WA C 905 DR 32.5 PVC pipe or other pipe material of like standard, capacity and specifications as approved by the District. In addition to the condition of replacing the pipeline upon the granting of the first permit, an additional condition to the permit shall be the acquisition and granting to the District a new exclusive easement outside of the proposed roadway in which the new irrigation pipeline will be placed, which easement shall be obtained by Pasco for the benefit of the District to be placed into the District's name at a width of not less than 15 feet, which easement shall be for the purposes of the installation, repair, replacement and operation of the District's irrigation facilities. Any additional facilities placed upon or within said easement shall require the consent of the District previously obtained. Said easement shall have access by the District without any obstructions or improvements that would increase the cost to the District in installation, repair, maintenance, replacement and operation of its facilities within the dedicated AGREEMENT — Page 3 easement. Notwithstanding the foregoing, sidewalks and landscaping may be placed upon the easement area. Any repair or replacement of the sidewalks or landscaping as may be required by the removal or damage to said sidewalks or landscaping within the easement area as may be caused by the District during installation, repair, maintenance, replacement and operation of its facilities shall be paid for by the City or the party responsible for the care and maintenance of said landscaping and sidewalks. 3. The irrigation pipelines to be replaced pursuant to this agreement shall be built to the District's standards to at least the same size and quality or better as quoted above. The irrigation pipelines shall be installed, inspected, pressure checked, and shall be guaranteed by the installer to perform as designed for the carriage and distribution of irrigation water through said irrigation pipeline. All manufacturers' and contractors' warranties as established by industry standards or contracted for by Pasco or others shall be assigned to the District as an additional beneficiary for a period of not less than the longer of one (1) year or the period of guaranty as specified. All construction and replacement and the acquisition of all easements as contemplated by this Agreement shall be at no cost to the District and Pasco agrees to indemnify and hold the District harmless from all reasonable costs and damages arising out of the construction of the relocated irrigation pipelines as provided for herein. Additionally, the District shall be authorized to charge reasonable fees and costs incurred by the District and for District's inspection fees, engineering costs, and attorney's fees, if any, relating to the fulfillment of this Agreement and the construction of the irrigation pipelines and acquisition of the easements, after initial construction per paragraph 1. Notwithstanding the foregoing, however, AGREEMENT — Page 4 reasonable inspection fees and inspection costs may be charged by the District during the initial construction per paragraph 1. The construction of irrigation pipelines as provided for in this Agreement, including the present construction and the future relocation shall, unless otherwise authorized by the District, be performed and completed during the off-season of irrigation water delivery and shall not be performed at any time during the operation -season of the District. The District shall provide full unencumbered access to the easement and irrigation pipeline to accomplish the construction provided for in this Agreement during the above specified periods. All construction, unless otherwise agreed to by the District, shall be completed prior to water being made available by the District for the next irrigation season after construction is completed. Construction of the irrigation pipeline as contemplated under paragraph 1 above shall be completed, fully tested, and approved and accepted by the District no later than March 16, 2015, and Pasco shall have immediate access to construction area and the District's easement upon execution of this Agreement by the District and Pasco, and the executed Agreement being submitted to the Franklin County Auditor's office for recordation. It is intended that this Agreement shall be recorded. In the event that construction upon any irrigation pipeline is not completed prior to the date specified or the date that irrigation water is to be made available through the irrigation pipeline(s), then Pasco and its contractors shall indemnify and hold the District harmless from any and all of claims or damages, including, but not limited to, crop loss damages, costs, expenses and attorney's fees, if any. In furtherance thereof, Pasco agrees that all contractors shall be required to carry insurance and performance and payment bonds in such amounts as are AGREEMENT — Page 5 reasonably necessary to cover any and all of such costs, claims, liability and damages specified herein. Pasco and the District acknowledge that building of Powerline Road at this time will impact the operation by the District of its existing irrigation pipeline and facilities located presently along and within Powerline Road. It is also acknowledged that as shown on Exhibit "C" the distance between the pipeline and the road curb can be very close and that fill will be placed over the existing pipeline to the end result that a depth of 9.3 feet will exist over the pipeline at one point. The closeness of the road to the pipeline location and the depth caused by the fill will increase the costs of the District in its future operation and maintenance of the pipeline. It is further acknowledged that the pipeline is relatively new and all parties recognize that failure of the pipeline events may occur, but are presently not foreseen. As further consideration for this Agreement, Pasco agrees that reasonable future costs incurred by the District because of the installation of the road and the relocation of the pipeline shall be the responsibility of the City and the District shall be responsible for the actual costs of the repair of the pipeline. For example, the City would pay reasonable costs for trench boxes to get down to the pipeline when the depth of the pipeline exceeds 7 feet to the bottom of the pipeline to the extent of the reasonable future additional costs for trench boxes for the additional depth. The District would be responsible for the excavation of the additional depth and for the fill after repair of the pipeline to the existing surface. The City will be responsible for the repair and replacement of all curbs and road cuts, replacement of sidewalks and landscaping improvements damaged by any such repair, maintenance, installation or replacement of irrigation facilities, except those proximately caused by the negligent or intentional acts of the District or its agents. Additionally, the City shall not allow other utilities to be placed within the easement without the AGREEMENT — Page 6 prior consent of the District, and, if any other utilities are placed within the easement, a condition of such placement shall require the utility to indemnify the District and the City for all costs with regard to relocation or reasonable costs incurred in working around said additional utilities. Additionally, the District and Pasco agree to acquire insurance, if it is available, to insure the additional costs as may be incurred. 4. Additionally, with regard to any work by the District within the easement area, Pasco agrees to waive any inspection fees or the costs that would be billed to the District as a result of the District's repair and maintenance of its irrigation pipeline within its easement. 5. It is acknowledged that Pasco's road and the District's irrigation pipeline are located in close proximity within the present existing easements. Pasco shall use due care and caution to avoid any impairment, interference, or damage to the District's facilities within the easement, and shall further defend, indemnify and hold the District harmless from any damages incurred by the District resulting from Pasco's negligent acts or omissions. The District shall use due care and caution to avoid and minimize any impairment, interference, or damage to Pasco's facilities within the easement, and shall further defend, indemnify and hold Pasco harmless from any damages incurred by Pasco resulting from the District's negligent acts or omissions. 6. It is acknowledged that this Agreement shall be recorded and shall be binding upon the parties, their heirs, successors and assigns. 7. In the event of a dispute regarding the enforcement, breach, default or interpretation of this Agreement, the parties shall first meet in a good faith effort to resolve such dispute. In the event the dispute cannot be resolved by agreement of the parties, said dispute shall be resolved by arbitration pursuant to RCW 7.04A, as amended, with both parties waiving the right of a jury trial upon trial de novo, with venue placed in Pasco, Franklin County, AGREEMENT — Page 7 Washington, The substantially prevailing party shall be entitled to its reasonable attorney fees and costs as additional award and judgment against the other. 8. Jurisdiction and venue for any action under the terms and provisions of this Agreement shall lie in Franklin County, State of Washington. 9. This is the entire agreement between the parties concerning this easement and the relocation of the irrigation pipeline within this easement. There are no other unwritten or verbal agreements and none shall be recognized unless reduced to writing and attached hereto.
