THIS AGREEMENT is rntercd into this day o£ Ng[A-1� 2012, bctweeva the City
or Pasco, a Washialbton Municipal Corporarion, he anaRer referred to as "City", and the
17 a 1 a County Public Hospital District No. 1 , hereinafter referred to as "District"
WHEREAS, th¢ City owns ¢rrtergcacy medical equipm®i, more particularly described
in Exhibit A attach¢d hereto, which equipment has become surplus to the ae¢ds of the City; and
WHEREAS, th¢ District has an immodiate recd for such emergrncy medical ¢quipmrnt;
and
WIlEREAS, RCW 39.33.010 et seq. provides that any municipality or any political
subdivision o£ the State may trans£ or otherwise dispose of any property to another
unicipality or political subdivision o uip terms aad conditions as may be mutually agreed
upon by th¢ proper authoriti¢s of the municipaliti¢s sad political subdivisions concerned; and
WHEREAS. the value o£ the emergrncy medical ¢quipment is blow the threshold
requiring a hearing on such tracts£ as required by RCW 3933.020. NOW, THEREFORE,.
IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREZN,
it is agreed by and betweat the parries as follows:
1 . The City does hereby transfer ownership to the District o£ all enaergeacy medical
equipment listed in Exhibit A, attach¢d hereto, hereinafter x£ed to as "equipment^ effective
on the day or 2012- By such transfer, this Agreement constitutes the Bill
of Sale £or such ¢quipmrnt.
2. The District accepts the above-descri equipment irx its "as i and "where is"

the District in[rnds to use the equipment All risk o{ loss and obligations shall pass as o£ the dal¢
oftransf,, and shall be the sole responsibility of the District.
3. The District shall defend, indemnify and save harmless the City, its agents and
employes, from and against any claims, damages, loss or expense sassing out of the ownership,
use, ¢oadition or maintenance or the equipment from and after the day of traas£er.
4. The City agrees to sell and the District agrees to buy th¢ equipment for the
purchase price or Twenty Thousand Dollars ($20,000.00). The District agrees to make monthly
payments begianiag March 2012, and coatinuitrg each month thereafter for s total of ten
(10) months. Each payment shall be Two "thousand Dollars ($2,000.00). No interest shall apply
to the purchase price or monthly payments. The first payment shall be du¢ upon ez¢c-ution of
this Agreement and trans£ of the equipment and subsequent payments thereafter shall be duo
n the 1st day of each moa Payments not made within thirty (30) days of the due dal¢ shall be
considered late and in default It o{this Agreement and shall accrue interest at 12% per annum.

5. This Agreement coastifutes the whole ag¢emrnt b¢twcrn the City and the
District There are ao t¢rtssa, obligations, covrnanfs, or conditions other than those contained
herein. No modi5carioa or amrndmrnt of this Agea:mrnt shall be valid and effective unless
evidenced by an ageemrnt in writing signed by both parties- -
6. The terms, covenants and ageemrnts contained herein shall ezirnd to and are
binding upon the successors sad assigns o£ the parties hereto.
7. In the event of a dispute resulting from or relating to this Agreement or the
transactions coat¢vaplated by this Ageemrnt, the patties shall first meet in a good Faith effort to
resolve the dispute. In the event the dispute cannot be resolved by agreevvtrnt o£the parties, said
dispute shall b¢ resolved by binding arbitration pursuant to the RCW "1.04A, as amended, and [he
Mandatory Arbitration Rulca (MAAj> venue shall b¢ placed is FrarvXlin Cotm<y, Washington, the
laws of the State of Washington shall apply: and the prevailing party shall be entitled to i<s
reasonable attomry fees and costs.
