1I. ACTION REQUESTED OF COUNCIL/STAFF RECOMMENDATIONS:
08122: MOTION: I move to approve the Consultant Agreement from HDR
Engineering, Inc, authorizing design and engineering services
with respect to the Wastewater Treatment Plant Improvements,
not to exceed $311,011 and further, authorize the Mayor to sign
the agreement.

IV. HISTORY AND FACTS BRIEF:
A) In June 2010, the City received an approved permit from the Department of Ecology
for the Waste Water Treatment Plant located at Gray Street which expires June 15,
2015. The permit contained a condition that the City must complete a Comprehensive
Engineering Study. The study will enable the City to have a plan for optimization of
the plant for operations to meet Department of Ecology(DOE) requirements.
B) HDR was contracted to assist the City in negotiating and addressing a reasonable
schedule for the submittal of the required facility plan update in the most recent
NPDES Permit.
C) HDR completed the Comprehensive Engineering Study, which included findings and
recommended improvements to optimize the plant operations and to meet the
requirements of the DOE Permits.
V. DISCUSSION:
HDR will develop engineering design plans that will enable the City to bid the
Wastewater Treatment Plant project by November 2011. The professional services
agreement includes the following services:

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT, made and entered into between the City of Pasco, hereinafter
referred to as the "City", and HDR Engineering, Inc. hereinafter referred to as the "Consultant".
WHEREAS, the City desires to engage the professional services and assistance of a
consulting fmn to provide engineering and consulting services with respect to the Wastewater
Treatment Plan Improvements, and Consultant has demonstrated that it is highly qualified to
perform these services.
NOW, THEREFORE, in consideration of mutual benefits accruing, it is agreed by and
between the parties hereto as follows:
1. Scone of w2. k. The scope of work shall include all services and material necessary to
accomplish the above mentioned objectives in accordance with Exhibit A.
2. Ownership and use of documents.
A. The parties acknowledge that this Agreement shall be governed by RCW Chapter
42.56 and any other State or Federal law relating to confidentiality, intellectual
properties, and public disclosure. The parties shall make a good faith effort to
comply with such laws, and to the fullest extent allowed by law, comply with the
provisions of this section.
B. All research, tests, surveys, preliminary data and any and all other work product
prepared or gathered by the Consultant in preparation for the services rendered
shall not be considered public records, provided, however,that:
(1) All final reports, presentations and testimony prepared by Consultant shall
become the property of the City upon their presentation to and acceptance
by the City and shall at that date become public records.
(2) The City shall have the right, upon reasonable request, to inspect, review
and, subject to the approval of Consultant, copy any work product.
(3) In the event that Consultant shall default on this Agreement, or in the
event that this Agreement shall be terminated prior to its completion as
herein provided, the work product of Consultant, along with a summary of
work done to date of default or termination, shall become the property of
the City and tender of the work product and summary shall be a
prerequisite to final payment under this Agreement. The summary of
work done shall be prepared at no additional cost, if the Agreement is
terminated through default by Consultant. If the Agreement is terminated
through convenience by the City, the City agrees to pay Consultant for the
preparation of the summary of work done.

(4) Consultant shall maintain all documents associated with work performed
under this Agreement for a minimum period of three (3) years after
completion of the work. This provision shall survive termination of this
Agreement.
(5) Consultant shall respond to requests by the City for records within five (5)
business days by either providing the records, or by identifying in writing
that additional time is necessary to provide the records with a description
of the reasons why additional time is needed. Records shall be provided to
the City within twenty (20) days of the date of the request. Provisions of
Section 5 in this Agreement shall specifically apply to any claim arising
out of Consultant's failure to properly maintain or timely produce records
as described herein and ass otherwise required by law.
3. Payments. The Consultant shall be paid by the City for completed work for services
rendered under this Agreement as provided hereinafter. Such payment shall be full
compensation for work performed or services rendered and for all labor, materials,
supplies, equipment and incidentals necessary to complete the work.
A. Payment for work accomplished under the terms of this Agreement shall be on a
time and material basis as set forth on the fee schedule found in Exhibit A,
provided, in no event shall the payment for all work performed pursuant to this
Agreement exceed the sum of $311,011, without approval from the City.
B. All vouchers shall be submitted by the Consultant to the City for payment
pursuant to the terms of this Agreement. The City shall pay the appropriate
amount for each voucher to the Consultant. The Consultant may submit vouchers
to the City monthly during the progress of the work for payment of completed
phases of the project. Billings shall be reviewed in conjunction with the City's
warrant process.
C. The costs records and accounts pertaining to this Agreement are to be kept
available for inspection by representatives of the City for a period of three (3)
years after final payment. Copies shall be made available upon request.
4. Time of performance. The Consultant shall perform the work authorized by this
Agreement promptly and before December 31, 2011.
5. Hold harmless agreement. In performing the work under this Agreement, the
Consultant agrees to defend the City, their officers, agents, servants and employees
(hereinafter individually and collectively referred to as "Indemnitees"), from all suits,
claims, demands, actions or proceedings, and to the extent permissible by law, indemnify
and hold harmless the Indemnitees from:

A. All damages or liability of any character including in part costs, expenses and
attorney fees, based upon, any negligent act, error, or omission of Consultant or
any person or organization for whom the Consultant may be responsible, and
arising out of the performance of professional services under this Agreement; and
B. All liability, loss, damage, claims, demands, costs and expenses of whatsoever
nature, including in part, court costs and attorney fees, based upon, or alleged to
be based upon, any act, omission, or occurrence of the Consultant or any person
or organization for whom the Consultant may be responsible, arising out of, in
connection with, resulting from or caused by the performance or failure of
performance of any work or services under this Agreement, or from conditions
created by the Consultant performance or non-performance of said work or
service.
b. Getaeral and professional liabilit- insurance. Consultant shall secure and maintain in
full force and effect during the performance of all work pursuant to this Agreement a
policy of comprehensive general liability insurance providing coverage of at least
$1,000,000 per occurrence and $2,000,000 aggregate for personal injury; $1,000,000 per
occurrence and $2,000,000 aggregate for property damage; errors and omissions
insurance in the amount of $1,000,000; and automobile insurance as required by law.
Each such insurance policy shall name the City as an additional insured and shall include
a provision prohibiting cancellation of said policies, except upon thirty (30) days written
notice to the City. The City shall be named as a certificate holder on each insurance
policy. Certificates of coverage shall be delivered to the City within fifteen (15) days of
execution of this Agreement.
7. Discrimination prohibited. Consultant shall-not discriminate against any employee or
applicant for employment because of race, color, religion, age, sex, national origin or
physical handicap.
8. Consultant is an iinder)endent contractor. The parties intend that an independent
contractor relationship will be created.by this Agreement. No agent, employee or
representative of the Consultant shall be deemed to be an agent, employee or
representative of the City for any purpose. Consultant shall be solely responsible for all
acts of its agents, employees, representatives and subcontractor during the performance
of this Agreement. Consultant shall make no claims for benefits for employment against
the City including, but not limited to, sick leave, medical insurance, coverage under the
City's State Department of Labor and Industries policy, vacation benefits, retirement, or
unemployment benefits. Consultant shall comply with all State and Federal laws
including, but not limited to,the requirements of RCW 50.04.0140 and RCW 51.08.195.
9. City approval. Notwithstanding the Consultant's status as an independent contractor,
results of the work performed pursuant to this Agreement must meet the approval of the

10. Termination. This being an Agreement for professional services, either party may
terminate this Agreement for any reason upon giving the other party written notice of
such termination no fewer than ten (10) days in advance of the effective date of said
termination.
11. Integration. The Agreement between the parties shall consist of this document and any
schedules or exhibits listed in this agreement and attached hereto. These writings
constitute the entire Agreement of the parties and shall not be amended except by a
writing executed by both parties. In the event of any conflict between this written
Agreement and any provision of Exhibit A, this Agreement shall control.
12. Non-waiver. Waiver by the City of any provision of this Agreement or any time
limitation provided for in this Agreement shall not constitute a waiver of any other
provision.
13. Non-assignable. The services to be provided by the Consultant shall not be assigned or
subcontracted without the express written consent of the City.
14. Covenant azainst continuent fees. The Consultant warrants that he has not employed or
retained any company or person, other than a bona fide employee working solely for the
Consultant, to solicit or secure this Agreement, and that he has not paid or agreed to pay
any company or person, other than a bona fide employee working solely for the
Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other
consideration contingent upon or resulting from the award of making of this Agreement.
For breach or violation of this warranty, the City shall have the right to annul this
Agreement without liability or, in its discretion to deduct from the Agreement price or
consideration, or otherwise recover, the Rill amount of such fee, commission, percentage,
brokerage fee, gift, or contingent.fee.
15, General Provisions. For the purpose of this Agreement, time is of the essence, In the
event a dispute regarding the enforcement, breach, default or interpretation of this
Agreement, the parties shall first meet in a good faith effort to resolve such dispute. In
the event the dispute cannot be resolved by agreement of the parties, said dispute shall be
resolved by arbitration pursuant to RCW 7.04A, as amended, and the Mandatory
Arbitration Rules (MAR); venue shall be placed in Franklin County, Washington, the
laws of the State of Washington shall apply; and the prevailing party shall be entitled to
its reasonable attorney fees and cost.
In the event any provision of this Agreement is deemed to be unenforceable, the other
provisions of the Agreement shall remain in full force and effect.

SCOPE OF SERVICES
Background
The City of Pasco, Washington (City) will be making minor improvements to their existing
wastewater treatment to enhance reliability for the short term and to improve energy efficiency.
In the May 20, 2011 Wastewater Treatment Plant Capacity Technical Memorandum prepared
by HDR Engineering, Inc, several improvements were recommended. A few of the
improvements were recently implemented by staff.
As part of the treatment plant evaluation, a meeting was held with the Franklin County Public
Utility District and Energy Smart personnel to discuss additional energy efficiency improvements
at the wastewater treatment plant. These improvements are also included in this scope of
services.
The scope of services is organized into the following tasks:
Task Series 100 - Project Management and QA/QC
Task Series 200 - Design Implementation
Task Series 300 - Final Design
Task Series 400 - Bid Services
Task Series 500 -Operations Services
Task Series 600 -Additional Services
Task 100 — Project Management
Objective
Meet with City staff to establish project goals and objectives, review the decision making
process, define anticipated work products, identify information needed to provide the
engineering services, refine the schedule, and establish points of contact and project
communications. Incorporate the results of this meeting into a Project Management Plan which
will be distributed to all key members of Consultant's team. The.plan will also include
administrative procedures, such as invoicing, communication protocol, and formats. Update the
Management Plan if major changes are made to the scope or schedule.
Consultant Services
1. Prepare a Project Management Plan (Project Guide) outlining the project scope, team
organization, schedule, and communications information.
2. Coordinate and manage the Consultant's team.
3. Prepare monthly status reports describing with the following:
a. Services completed during the month

b. Services planned for the next month
c. Needs for additional information
d. Scope/schedule/budget issues
e. Schedule update and financial status summary
4. Prepare monthly invoices.
5. Project Manager will attend monthly project management meetings with the City Project
Manager to review project scope, schedule, and budget issues. Meetings will be
coordinated with other design meetings and may occur electronically via net/live meeting.
6. Implement Consultant's QA/QC practices for project deliverables.
City Responsibilities
1. Attend project management meetings.
2. Timely processing and payment of invoices.
3. Review and process contract change requests and amendments, if needed.
4. Respond in a timely manner to issues brought out in the progress reports and through
direct communication with the Consultant.
Assumptions
1. One project management meeting will be held per month during the Design
Implementation and Design Phases with 2 hours of project manager time required for
each meeting preparation, attendance, follow-up, and notes.
2. During the Construction Phase project management meetings will not be required.
3. Invoices will be Consultant's standard invoice listing personnel and the hours they have
worked on each task. Monthly progress report will be a one page summary of the work
completed to date, work anticipated for next month, outstanding issues and budget
summary.
4. Expense backup will not be provided with invoices but will be available for review at
Consultant's office.
Deliverables
1. A Scope of services, schedule (Gantt chart or project milestones), and budget (PDF file
and two copies).
2. A Project Management Plan (Project Guide) (PDF file).
3. Monthly reports and invoices (one copy with invoice can be mailed or e-mailed PDF file)
4. Monthly project schedule and budget updates.
5. Project management meeting agenda and notes (e-mailed PDF files),

Task 200 -- Design Implementation
Objective
Determine in conjunction with the City, the appropriate technologies and equipment that will
meet the City's short term requirements.
Task 201 Preparation of Fact Sheets
Consultant Services
Prepare a maximum of three one to two page fact sheets for each process on the items listed
for the Task 202 prior to the workshop to facilitate the decision making process.
Fact sheets wilt be composed of the following pertinent information for each equipment/process
improvement-
1. Manufacturer
2. Description of the equipment
3. Process Control and integration into the plant's current PLC/SCADA system
4. Process Flexibility
a. Ability to meet current flow requirements
b. Potential to adapt to future flows
c. Performance curve where applicable
5. Dimensionally adaptable to existing facility infrastructure.
6. Delivery/lead time
7. Utility requirements (power, potable/non-potable water, natural/digester gas, diesel,
low/high pressure air)
B. Foot print required
9, Head loss required
10. Capital cost
11. Applicable to the City's long term needs
12. List of installation in the Tri-state area
Task 202 Workshop with Engineering, Operations, and
Maintenance Staff
Consultant Services
Address the following issues in a workshop that will establish the design criteria and goals for
upgrading the facility:
1. Evaluate the need for a high speed turbine blower for energy efficiency and additional
process control.
2. Evaluation of a screw press to dewater biosolids.

3. The replacement of existing screening equipment to enhance biosolids quality and
reduce the potential for plugging the sludge recirculation pumping system heat
exchangers.
4. A proposed remodel for laboratory office on the upper level of the Operations Building
and conference room on the lower level of the Operations Building.
5. Energy efficiency improvements in conjunction with SPA' Energy Smart Industrial group
include the following:
a. Variable frequency drives on trickling filter feed pumps.
b. Mechanical mixers in the aeration basins.
c. Addition of aeration basin diffusers to full build-out.
6. Modification of Aeration Effluent and Secondary Clarifier Influent Piping.
City Responsibilities
1. Provide last 12 months of current DMR and biosolids data.
2. Provide electronic and hardcopy of the latest digester and solids handling improvements.
3. Growth projections will be provided by city planning department.
4. City's project manager will attend workshop along with operations and maintenance
personnel,
5. Select from the fact sheets the technology that should be designed in the design phase.
Assumptions
1. Trips to review existing installations will be arranged by City staff from data provided on
the fact sheets.
Deliverables
1, Fact sheets.
2. Meeting agenda and minutes from all workshop.
3. Summary of equipment and additions to be incorporated in the design drawings.
Task 301 Preparation of Contract Documents
Objective
Prepare construction bid documents based on results of the workshop and Predesign Technical
Memorandum of the Design Implementation task.
Consultant Services
1. Prepare final Drawings and Specifications indicating the scope, extent, and character of
the Work to be performed and furnished by Contractor. Appendix provides the listing of
the specifications and drawings that are anticipated to be prepared for the construction
contract.

2. Prepare and furnish bidding documents for review by the City, its legal counsel, and other
advisors.
3. Prepare technical specifications and construction contract drawings for the Wastewater
Treatment Plant Improvements. The technical specifications will be prepared in CSI
format using the Consultant's standard master specifications.
4. In addition to the specifications needed for the construction contract, a technical
specification for the DAFT TWAS Pump and DAFT Air compressor will be prepared for
the City.
Task 302 Opinion of Probable Cost of Construction (OPCOC)
Consultant Services
1. Prepare opinions of probable construction cost at the 60% and 90%design stages and
update with the submission of the bid documents. Cost estimates will be pursuant to the
characteristics of Association for Advancement of Cost Engineering Class 3 (at 60%) and
Class 2 (at 90% and bid) estimates.
Task 303 Permit/Regulatory Approval Assistance
Consultant Services
1. Assist the City in applying permits from the City's Building Department.
a. Attend one meeting with staff and the City's building department.
b. Respond to one consolidated set of questions/comments from the City's building
department.
2. Address one set of consolidated questions/comments from the Department of Ecology,
City Responsibilities
1- Timely review of the 60%, 90%, and final bid documents
2. Provide review comments on documents in one coordinate comment spreadsheet.
3. Coordination and submittal of documents to Washington Department of Ecology for their
review and approval if required.
4. Coordination and submittal of documents to City's Building Department.
Assumptions
1. General Conditions of the Construction Contract endorsed by the Associated General
Contractors of America and the Construction Specification Institute will be used for this
project.
2. We have included one meeting at the City's Building Department offices to review the
requirements, if any, for the permits for this project.
3. Consultant will use existing AutoCAD and ".pdf" backgrounds of drawings from previous
contracts as the base for all the proposed improvements.

4. Digital photographs will be used to supplement existing background drawings to illustrate
the extent and character of the proposed improvements.
5. Consultant will use digital photographs in lieu of developing detail plan and section
drawings to illustrate existing conditions.
6. Pre-purchasing of equipment is not included in this scope of services.

TASK SERIES 400 -- BID PERIOD
Objective
Answer questions during the bidding, publish addenda, and attend a pre-bid meeting. The
duration of this task is from initial advertising and publication of contract documents through
opening of the bids.
Consultant Services
Task 401 Produce Bid Documents
Deliver to the City one camera ready set of construction bid documents and one CD of"pdf' bid
documents for the City's use in obtaining bids for the work.
Task 402 Respond to Questions
Provide up to 40 hours of consultant time to answer questions from prospective bidders.
Questions and answers will be addressed in writing only.
Task 403 Prepare BEd Document Addenda
Based on comments and questions received, prepare up to two addenda to clarify the
documents and/or address comments made during the bid period. Consultant has allocated up
to 20 hours to prepare addenda.
Task 404 Attend Pre-Bid Meeting
Project Manager will attend one pre-bid meeting to answer questions regarding the plans and
specifications.

Evaluate bids based on cost, qualifications of Contractor, and completeness of Bid, Make a

1. After the contractors field startup services have been completed,assist the City in
starting the process operation for each system:
a. Blower
b. Screw Press
c. Screen and Screenings Washer Compactor
d. Aeration Basin Modifications

2. Provide operator training on each of the individual components of the aeration, biosolids
dewatering, and sludge recirculation systems; and then the entire system functionality.
Task 502 Operational and Maintenance Manual Update
1 . Update the City's existing hard copy O&M Manual with the process changes that have
been effected by this construction project.
Assumptions
1 . City's construction management team will provide Consultant with final Manufacturer's
field service reports.
2. City will provide access to the new installed equipment and process modifications.
3. City will provide at least 30 days notice of contractor's scheduled final manufacturer's
field service.
4. City will provide each manufacturer's O&M manual.
S. Consultant's modification and updating of City's existing O&M manual will consist of one
set of hard copy inserts to the manual.
Deliverables
1. One set of camera-ready hard copy inserts for the City's existing O&M manual.
2. One CD with O&M Manual inserts in a Microsoft Word format.
3. Up to 5 copies of outlines and training material associated with the operator training for
each process training module.
TASK 600 — ADDITIONAL SERVICES
Suhtask 601—Additional Services
If authorized in writing or electronic means by Owner,Engineer shall furnish or obtain from others
Additional Services of the types listed below:
1. Preparation of applications and supporting documents (in addition to those furnished
under Basic Services) for private or governmental grants, loans, or advances in connection
with the Project; preparation or review of environmental assessments and impact
statements; review and evaluation of the effects on the design requirements for the Project
of any such statements and documents prepared by others; and assistance in obtaining
approvals of authorities having jurisdiction over the anticipated environmental impact of
the Project.
- Services to make measured drawings of or to investigate existing conditions or facilities,
or to verify the accuracy of drawings or other information furnished by Owner or others.
3. Services resulting from significant changes in the scope, extent, or character of the
portions of the Project designed or specified by Engineer or its design requirements
including, but not limited to, changes in size, complexity, Owner's schedule, character of
construction, or method of financing; and revising previously accepted studies, reports,
Drawings, Specifications, or Contract Documents when such revisions are required by

changes in Laws and Regulations enacted subsequent to the Effective Date or are due to
any other causes beyond Engineer's control.
4. Services required as a result of Owner's providing incomplete or incorrect Project
information to Engineer.
5. Providing renderings or models for Owner's use.
6. Undertaking investigations and studies including, but not limited to, detailed consideration
of operations, maintenance, and overhead expenses; the preparation of financial feasibility
and cash flow studies, rate schedules, and appraisals; assistance in obtaining financing for
the Project; evaluating processes available for licensing, and assisting Owner in obtaining
process licensing; detailed quantity surveys of materials, equipment, and labor; and audits
or inventories required in connection with construction performed by Owner.
7. Furnishing services of Consultants for other than Basic Services.
8. Services during nut-of-town travel required of Engineer other than for visits to the Site or
Owner's office.
9. Preparing for, coordinating with, participating in and responding to structured independent
review processes, including, but not limited to, construction management, cost estimating,
project peer review, value engineering, and constructibility review requested by Owner;
and performing or furnishing services required to revise studies, reports, Drawings,
Specifications, or other Bidding Documents as a result of such review processes.
10. Preparing additional Bidding Documents or Contract Documents for alternate bids or
prices requested by Owner for the Work or a portion thereof.
11. Assistance in connection with Bid protests, rebidding, or renegotiating contracts for
construction, materials, equipment, or services, except when such assistance is required by
Exhibit F.
12. Providing assistance in responding to the presence of any Constituent of Concern at the
Site, in compliance with current Laws and Regulations.
13. Preparation of operation and maintenance manuals other than up dates as listed in basic
services.
14. Preparing to serve or serving as a consultant or witness for Owner in any litigation,
arbitration, or other dispute resolution process related to the Project.
5. Providing more extensive services required to enable Engineer to issue notices or
certifications requested by Owner.
16. Assistance in connection with the adjusting of Project equipment and systems.

17. Assistance to Owner in developing procedures for (a) control of the operation and
maintenance of Project equipment and systems, and (b) related record-keeping. Overtime
work requiring higher than regular rates.
18. Other services performed or furnished by Engineer not otherwise provided for in this
Agreement.
19. Services in making revisions to Drawings and Specifications occasioned by the acceptance
of substitute materials or equipment other than "or equal" items, services after the award
of the Construction Contract in evaluating and determining the acceptability of a proposed
"or equal" or substitution which is found to be inappropriate for the Project; evaluation
and determination of an excessive number of proposed "or equal" or substitution,
proposed after award of the Construction Contract. Excessive number is defined as more
than allocated two.
24. Reviewing a Shop Drawing more than two times, as a result of repeated inadequate
submissions by Contractor.
21. Evaluating an unreasonable claim or an excessive number of claims submitted by
Contractor or others in connection with the Work.
22. Construction services as detailed below:
a. Review shop drawings and 0&M Manuals as submitted from the contractor to the
City's construction management team.
b. Evaluate and determine the acceptability of substitute or "or-equal" materials and
equipment proposed by Contractor. The Consultant has allocated in the budget
for the review of two substitute or equal submittals.
c. Review the O&M manuals as submitted by the contractor through the City's
construction management team for conformity to the requirements of the
construction documents.
d. Based upon "redline" marls-up documentation provided by the contractor through
the City's construction management team, update the bid set of drawings to
reflect the documented field changes. No independent field verification of
marked-up drawings or information Is included.
e. Respond to the BFI's (Request for Information) forwarded by the City's
construction management team.
