WELCOME, CALL TO ORDER, AND ROLL CALL
Pasco Public Facilities District (PPFD) President Morrissette welcomed
members of the audience and called the meeting to order at 4:00PM.
Board Members Present: President Mark Morrissette, Vice President Marie
Gillespie, Secretary/Treasurer Caroline Bowdish, and Board Member Spencer
Jilek
Board Staff Present: PPFD Executive Director Matt Watkins
City Council & Staff Present: Senior Accountant Veronica Perez, Interim Parks
& Recreation Director Angela Pashon, Aquatics Manager Tony Tuck, Lead
Aquatics Specialist Dan Tomlinson, and City Clerk Gabriela Sanchez
RECOGNITION OF VISITORS/PUBLIC COMMENTS

RECOGNITION OF NEW AND REAPPOINTED BOARD MEMBERS
Recognition of the re-appointment of Marie Gillespie and appointment of Craig
Maloney (not present).
APPROVAL OF MINUTES
Vice President, Marie Gillespie stated that she was not present at the June
16th meeting, and requested that the minutes be amended.
Approve PPFD Board Meeting Minutes
Mr. Watkins moved to approved the PPFD Board minutes from the June 16,
2026, meeting. Ms. Gillespie second. Motion carried unanimously.

Approval of PPFD Monthly Accounts Payable Claims
Ms. Perez provided a brief overview of the expenses for the month of June
2026 and answered questions from the Board.
Mr. Jilek moved to approve the June 2026 PPFD claims (accounts payable) in
the Motion seconded. Gillespie carried $2,394.643.96. of amount Ms.
unanimously.

OLD BUSINESS
NEW BUSINESS
Sponsorship Policy
Mr. Whitney explained that the proposed Sponsorship Policy establishes a
consistent process for obtaining and managing sponsorships for PPFD events,
programs, and facilities. The policy is intended to enhance community services
and support facility maintenance while ensuring sponsorships align with the
PPFD's missions and values.
Ms. Gillespie moved to approve the Sponsorship Policy as presented. Mr. Jilek
seconded.Motion carried unanimously

Discussion of Executive Director Position and Recruitment Process
Tyler Whitney and Matt Watkins discussed the recruitment of an Executive
Director for the Board. Members considered whether the position should be
established as part-time or full-time. Following discussion, the Board agreed to
initially create the position as part-time, with the option to transition it to a full-time
role if operational needs warrant. The board also discussed recruitment options,
including whether the position should be filled as an employee or through a
contractual arrangement. After considering both approaches, the Board reached
a consensus that retaining the Executive Director as an independent contractor
would be the preferred option.
Wenaha Services Change Order
Tyler Whitney discussed that Contract Amendment No. 1 modifies the original
agreement dated May 19, 2023, for services related to the Aquatics Facility
Phase 1 Project. He explained that the amendment extends consulting services
due to project delays related to property acquisition and regulatory processes, as
well as the addition of an outdoor slide tower to the project. The amendment
increases the contract's not to exceed amount by $79,077 for the additional
services, which will continue to be billed on a time and expense basis, with
completion anticipated by July 31, 2027. All other terms of the original contract
remain unchanged.
Mr. Jilek moved to approve Resolution 2026-08 as presented. Ms. Gillespie
seconded. Motion carried unanimously
OTHER BUSINESS
Pasco Operations and Maintenance Report
Interim Parks and Recreation Director, Angela Pashon and Aquatics Manager,
Tony Aquatic Pasco the on Center, operational an provided Tuck update
reporting that the facility has reached capacity daily throughout the season. While
guests difficulty system, the reservation concerns expressed regarding
contacting staff by phone, and capacity limitations, overall customer feedback
has been positive, highlighting the facility's cleanliness, maintenance, operating
hours, events, and activities. Staff continue to prioritize safety through routine
documentation, emergency drills, and bi-weekly training, with the outdoor drop
slide requiring the most frequent lifeguard assistance due to guest activity. On
July 17, the Washington State Department of Health conducted an on-site
inspection in response to a concern, and the facility passed with no deficiencies.
Staff reported approximately 180 seasonal lifeguards and cashiers hired, with
150 currently employed. Marketing efforts utilizing TV, radio, newspaper, and
digital and media have successfully increased community awareness

engagement. Concession operations have remained steady throughout the
season, and retail sales have been strong, generating $60,504.88 in net sales.

1 INFORMATION AND INSTRUCTIONS
1.1 INVITATION TO PROPOSE
The Pasco Public Facilities District (PPFD) is soliciting proposals from qualified firms or individuals to
provide comprehensive executive director services. The scope of services is described in Section 2.3 of the
RFP. The complete RFP and full scope of work may be obtained via the City of Pasco’s website –
http://www.pasco-wa.gov/Bids.aspx. It is the sole responsibility of the Firm to obtain any RFP updates or
addenda from the City’s website.
Responses shall be submitted electronically. One electronic copy, including attachments, shall be
transmitted to the Executive Director at pfd-watkins@pasco-wa.gov. Email Subject shall be: ‘RFP – PPFD
EXECUTIVE DIRECTOR SERVICES” with a maximum size of 20 MB. The due date is September 30, 2026,
no later than 2:00 p.m.
Technical questions regarding the scope of this project should be put in writing and directed to Matt
Watkins at pfd-watkins@pasco-wa.gov no less than three (3) working days prior to the time that submittals
are due.
The PPFD, in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (78 Stat. 252,42
U.S.C. 2000d to 2000d-4) and the Regulations, hereby notifies all bidders that will affirmatively ensure that
any contract entered into pursuant to this advertisement, disadvantaged business enterprises will be
afforded full and fair opportunity to submit bids in response to this invitation and will not be discriminated

1.2 INTENT OF THE PPFD
The objective of this RFP is to provide sufficient information to enable qualified firms or individuals to submit
written proposals that demonstrate experience in executive director services for public facilities districts.
This RFP is not a contractual offer, nor is it a commitment to purchase services. Contents of this RFP and
the Firm’s submittal will be used as the basis to determine final contractual obligations. It is understood that
this RFP and the successful Firm’s submittal may be attached or included by reference, in part or in whole,
to any agreement regarding the services included in this RFP between the PPFD and said firm or individual.
1.3 QUESTIONS
Any explanation desired by a submitting Firm regarding the meaning or interpretation of the RFP, or any part
thereof, must be submitted in writing email) directed to Matt Watkins (via and at pfd-watkins@pasco-
wa.gov, no less than three (3) working days prior to the time that submittals are due.
Any interpretation made will be in the form of an addendum to the RFP, issued by the PPFD and will be posted
to the City Website – http://www.pasco-wa.gov/Bids.aspx. It is the sole responsibility of the Firm to obtain

line for all emails and correspondence related to this project.
1.4 SUBMISSION PROCEDURES
For consideration, Firms are required to submit an electronic copy of their Proposal. Failure to provide the
submittal in the appropriate manner will result in disqualification. Hard-copy or fax submittals are not
permitted and will not be accepted. One electronic copy, including attachments, shall be transmitted to the
Executive Director at pfd-watkins@pasco-wa.gov. Receipt time of submittal will be considered the time-
stamp of the incoming email created automatically by the City’s email server. Firms are encouraged to
submit the Proposals with adequate time for the email to be processed by the City’s email server.

1.5 LATE SUBMITTALS AND MODIFICATIONS
Submittals and modifications thereof received after the stated time of closing will not be considered. The
City and PPFD are not responsible for late deliveries. In accordance with the Due Date from Section 1.4 of
this RFP, the time of closing will be determined per the Pacific Time Clock at http://www.time.gov/.
1.6 WITHDRAWAL OF SUBMITTALS
Submittals may be withdrawn by written request up to one (1) hour after the stated time of closing, as
mentioned above. Determination of the one-hour grace period shall be calculated based on the same
reference as identified in Section 1.5.
1.7 CONDITIONS AFFECTING THE WORK

1) Examine this RFP documents thoroughly. Review and be familiar with this request.
2) Ensure familiarity with federal, state, and local laws, ordinances, rules, and regulations that may –
in any manner – affect the cost, progress, or performance of the work.
3) Study and carefully correlate said firm or individual observations with the RFP response.
Failure to do so will not relieve any Firm from any contractual obligations of the work described herein.
1.8 EXPLANATIONS FOR SUBMITTING FIRMS OR INDIVIDUALS
There are thirteen (13) pages in this RFP, including the cover sheet, table of contents and body, excluding
appendices. Each is sequentially numbered in the bottom right corner of the page (Pages 1–13). Appendix A
retains its independent numbering system beginning with A1. It is the responsibility of the submitting firm or
individual to ensure that all pages are included. If any pages are missing, the Firm should immediately
request a copy of the missing page(s) by emailing the PPFD Executive Director. Please write “RFP – PPFD
EXECUTIVE DIRECTOR SERVICES” in the subject line. It is the responsibility of the firm or individual to

1.10 FORMAT OF SUBMITTALS
To assist in the evaluation process, submittals shall conform to the following:
1) The submittal shall be limited to a maximum of 20 pages.
2) All pages will be counted towards the page total, except for the front cover, back cover, tab pages,
staff resumes (each not to exceed 2 pages in length), references, and the cover letter. The cover letter
shall be limited to a maximum of 2 pages.
3) All pages shall be 8½” x 11”.

4) Font shall be in a sans-serif font no smaller than “11 point”. The body of this RFP is written in “Aptos
11-point” as example.
5) Margins on all edges should be a minimum of 0.75-inches.
1.11 BASIS FOR SELECTION
A. GENERAL
The selection process will be based on demonstrated experience and qualifications in providing comparable
services. For the purposes of this RFP, "comparable services" refers to comprehensive executive and/or
administrative services for public facilities districts or similar Washington municipal government entities, or
equivalent experience. Additionally, the Firm must show a proven ability to collaborate effectively with the
PPFD Board, City staff and elected officials, and other stakeholders.
B. SELECTION COMMITTEE
The Selection Committee will be made up of individuals selected by the PPFD and may include the PPFD
Representative listed in Section 1.9 of this RFP, PPFD Board members, City staff, and other stakeholders.
C. EVALUATION PROCESS
The Selection Committee will review and evaluate each Proposals received based on the criteria provided
herein. The Selection Committee will recommend a Firm to the PPFD Board. The PPFD intends to select the
Firm that represents the most qualified person or team to the PPFD, and begin the negotiation and award
process based on the evaluated scores. Submittals will be scored based on Evaluation Criteria from Section
3 of this RFP. The PPFD reserves the right to make a selection based solely on the information contained in
the written submittal.
The PPFD further reserves the right to either interview selected Firms or request additional information to
help in determining the most qualified Firm. Should the PPFD elect to conduct an interview for shortlisted
candidates, interviews will be evaluated per criteria from Section 3 of this RFP. The PPFD may select a Firm
based on any combination of written or interview evaluations.
Final selection of a Firm can only be made by the Board. The selected Firm shall be notified in writing by the
PPFD, and no other method shall be considered to be an official notification of selection by the PPFD.
The PPFD reserves the right to reject any or all of the submittals. If the PPFD elects to select one of the
submitting Firms, the PPFD will have the right to negotiate with said submitting Firm over the final terms and
conditions of the contract in the best interest of the PPFD. The primary objective of the negotiations is to
maximize the PPFD’s ability to obtain the best value, based on the requirements and evaluations relating to
this RFP. If an agreement cannot be reached, the negotiations will be terminated and similar negotiations
will occur with the second-ranked submitting Firm.
1.12 PERSONAL SERVICES AGREEMENT
The successful Firm will be required to sign the PPFD's Personal Services Agreement (PSA), a draft of which
is enclosed to this RFP in Appendix A. All submitting Firms are directed to carefully review the PSA before
preparing their submittal and include any modifications they intend to request to the language of the PSA
along with their Proposal. The PPFD will not permit significant modification of the language in the PSA. The

selected Firm’s refusal to sign the PSA will render their submission nonresponsive, all dialogues will be
immediately terminated, and negotiations will begin with the next highest ranked submitting Firm.
2 SCOPE OF WORK
2.1 BACKGROUND
The Pasco Public Facilities District was formed in 2002 by resolution of the Pasco City Council, in response
to the new legislation allowing construction of regional public facilities under RCW Chapter 35.57 and co-
extensive with the city limits of the City of Pasco. Pasco is a vibrant and rapidly growing community located
at the confluence of the Columbia, Yakima, and Snake rivers in southeastern Washington. With a
population of approximately 82,220, Pasco has experienced significant growth, supported by a strong
foundation in agriculture, transportation, and community development. The PPFD is governed by a Board
of Directors consisting of five Board members who represent various community interests and serve four-
year terms. Board members are appointed by City of Pasco.
In 2002, the Pasco Public Facilities District could not initially construct its own facility given a $10M
minimum requirement for construction of a facility, but coordinated with the Kennewick Public Facilities
District, with affirmation from the Attorney General’s Office, to contribute its portion of sales tax dollars to
Kennewick PFD’s Convention Center Project, with a portion of the funds to be sent to the City of Pasco’s
Industrial Development Fund to offset potential impact to the City’s long-established convention space,
the HAPO Center (formally known as the Trade Recreation Agricultural Center, or TRAC).This arrangement
remains until Kennewick PFD retires the last debt of the convention center or sales tax revenues expire.
Over the past several decades, the PPFD has long wrestled with the expressed community need for an
aquatics facility. In 2022, after performing various studies, the PPFD placed a ballot proposition to the
voters on whether to approve a 0.2% sales tax levy for the funding of an aquatics facility. Voters approved
the measure and the PPFD began receiving sales tax proceeds in 2023. The PPFD also began a process for
securing an initial executive director, land, bonding, an owner’s representative, a design-build team under
state approved progressive design-build, other needed resources.
After securing land in Pasco’s Broadmoor area, $51M in bonding for the first phase of the project, and
necessary permitting, construction of the Pasco Aquatic Center (PAC) began in April 2025. The PAC
achieved substantial completion and began operations in June 2026.
The PPFD has contracted via interlocal agreement (ILA) with the City of Pasco for certain administrative
services, as well as operations and maintenance service for the PAC.
2.2 PURPOSE
This RFP is issued for the purpose of soliciting qualified Firms to perform comprehensive PPFD executive
director services. The selected Firm shall be responsible for performing all tasks and responsibilities
outlined in 2.3 and 2.4 of this RFP.
2.3 SCOPE OF PPFD EXECUTIVE DIRECTOR SERVICES
Summary
The PPFD’s Executive Director serves as the chief executive and administrative officer of the PPFD and is
responsible for implementing the policies and strategic direction established by the PPFD’s Board of

Directors. The Executive Director oversees all aspects of the PPFD’s operations, finances, facilities,
programs, personnel or contractors, and external relationships while ensuring compliance with applicable
laws and prudent stewardship of public resources.
The Executive Director is responsible for advancing the PPFD's mission of developing, operating, and
promoting public facilities that enhance economic development, tourism, recreation, community
engagement, and quality of life within the City of Pasco and surrounding region.
The Executive Director reports directly to the Board of Directors and serves at the pleasure of the Board
pursuant to the terms of the Personal Services Agreement.
Essential Responsibilities
• Advise the Board regarding strategic opportunities and challenges affecting the PPFD
• Develop and implement long-term strategic plans and annual work plans
• Oversee the PPFD’s contracts and financial performance
• Recommend policies, procedures, and operational improvements
• Identify opportunities for expansion, partnerships, grants, sponsorships, and new programming
• Develop recommendations for capital improvements and long-term facility planning
Board Support and Governance
• Serve as principal advisor to the Board and facilitate Board and committee meetings
• Prepare Board and committee meeting agendas, reports, resolutions, and supporting materials
• Attend all regular and special Board meetings unless excused
• Ensure implementation of Board decisions
• Support maintenance of official PPFD records
• Coordinate compliance with the Open Public Meetings Act, Public Records Act, public
procurement requirements, and applicable ethics laws
Finance & Contract Administration
In conjunction with City staff, develop, administer, and monitor the PPFD’s financial operations, including:
• Annual operating budgets
• Capital budgets
• Multi-year financial forecasts
• Cash flow management
• Financial reporting
• Internal controls
• Investment coordination
• Accounts payable and receivable
• Audit coordination
• Insurance administration
Negotiate, administer, and monitor contracts including but not limited to the PPFD’s Interlocal Agreement
with the City.
Ensure compliance with procurement requirements and Board-approved contracting policies.

• Negotiate, administer, and monitor contracts for design, construction, and professional services
relating to PAC improvements.
Event and Program Development
Working with the City, lead efforts to maximize community use of PPFD facilities by:

Authority

All authority is subject to limitations established by applicable law, the PPFD’s Charter and Bylaws, Board
resolutions and policies, and the terms of the PSA.
2.4 CONTRACT DURATION
The PPFD intends that the PSA will continue until either party provides written notice of termination at least
ninety (90) calendar days prior to the effective termination date, unless termination is due to the other
party’s breach of contract, in which case the non-breaching party may terminate on five (5) days’ notice.

2.5 PPFD RESPONSIBILITIES
The current PPFD executive director will assist the selected individual or firm where possible initially, but
said individual or should anticipate and be prepared to be completely self-reliant in accomplishing the tasks
requested within a month of filling the role, as described in this RFP. The PPFD will provide, when available,
historical information and any other associated documents.
3 SELECTION CRITERIA
3.1 SUBMITTAL REQUIREMENTS
At a minimum, the following items shall be included in the Proposal. The Selection Committee will perform
a review of submitted Proposals based on the point distribution provided in this Section.

A. Qualifications (30 Points Possible)
Identify the proposed Executive Director and provide a detailed professional narrative or resume/CV
that degrees, experience, professional history, education, individual’s the identifies work
certificates, licenses, and other pertinent information. If the Firm is a company with multiple team
members that would be available to provide support services for the proposed Executive Director,
identify each proposed team member’s name and describe the roles and responsibility of each team
member and why each team member is critical to the success of the overall contract. Describe the
team’s experience requested RFin this services being the for providing capacity and P. Please
include:
i. The Firm’s organizational chart, demonstrating the Firm’s relationships and hierarchy of
the team described above. Identify key members by name, position, and discipline.
ii. Resumes for the proposed Executive Director and any additional proposed team
members are to be included as an appendix. Resume length shall not exceed two pages
per team member. DO NOT submit resumes of people who will not actively work with the
PPFD. Note that changing key personnel after the contract has been awarded will be
subject to the review and approval by the PPFD.
B. Experience and References (30 Points Possible)
Describe the Firm’s previous experience, including a summarized Firm History Matrix. At a minimum,
provide a list of five (5) agencies or clients the Firm has worked with in the last 10 years. Recent
municipal experience dealing with large projects and contract management is preferred. Please
indicate what services your Firm rendered for each agency or client referenced, and which members
of the proposed team (if applicable) worked for each agency or client.
Provide point of contact information (to include names, phone numbers, and email) for the agencies
or clients listed in the Firm History Matrix. Reference checks will be focused on Firm’s performance
with each agency or client, responsiveness, the Firm’s ability to forecast workload, ability to
anticipate and mitigate possible issues, meet deadlines with high-quality deliverables, and resolve
conflicts.

C. Fee Structure (20 Points Possible)
Outline your proposed structure of fees and costs. While the PPFD anticipates this contract will be
performed on an hourly rate basis, the PPFD is open to considering alternative cost structures,
including fixed fees for defined scopes of work. While the final contract terms and scope of work are
to be negotiated, and while the scope of work may change over time, the PPFD anticipates this
contract will require an average of approximately 20 hours of services per week.

E. Presentation, Organization, and Clarity Of Proposal (10 Points Possible)

3.2 FIRM QUALIFICATIONS
The required minimum qualifications for submitting Firms are as follows.
A. Minimum five (5) years of executive-level experience within or with public facilities districts and/or
municipal government is highly desirable.
B. Firm should be located within or have satellite offices within the limits of Franklin or Benton
County, or otherwise have the technology to allow for timely interactions with PPFD directors, City
staff, community stakeholders, and legal counsel.
3.3 INTERVIEW PROCESS
Should the PPFD elect to conduct interviews with short-listed candidates, Firms should plan for the
following:
A. Interview format (if used):
1) Approximately 30-minute presentation.
2) Approximately 30 minutes for questions and answers.
3) The Firm’s proposed Executive Director shall lead the presentation. The Firm’s team
participating in the interview must be limited to 3 representatives.
4) The PPFD may elect to conduct a phone interview without the requirement of a presentation.
B. Presentation: The objective of the interview will be to clearly demonstrate the Firm’s qualifications
to complete the project to the satisfaction of the PPFD. The presentation shall be brief and concise
and shall include but shall not be limited to:
1) Team Organization, Qualifications
2) Firm’s History
3) Scope of Services Understanding
4) Description of Approach
5) A discussion of how the team proposes to manage the contract.

6) A description of how the team propose to work and communicate with the PPFD.
Following a review of the submitted Proposals, the PPFD may establish specific requirements and content
for the interview to further aid in the determination of the Firm’s qualifications. The selection team may
prepare a list of standard questions for the interview. Additional questions may be developed based on the
Firm’s Proposal to clarify information submitted.
Following selection of a Firm, the PPFD will then negotiate a specific scope of services, fees, and schedule
with the selected Firm. If an agreement cannot be reached with the first selected Firm, the PPFD will
terminate negotiations with said Firm and open negotiations with the second ranked Firm.

PERSONAL SERVICES AGREEMENT
EXECUTIVE DIRECTOR SERVICES
CONTRACT NO. 26-XXX
This Personal Services Agreement (“Agreement”) is made by and between Pasco Public Facilities District,
a Washington municipal corporation (the “PPFD”) and , a
(“Consultant”) (collectively the “Parties”).
RECITALS
A. PPFD desires to have certain services and/or tasks performed as set forth below, requiring specialized
skills, training, equipment, or other supportive capabilities.
B. and experience, skills, possesses sufficient and equipment, it represents that Consultant is qualified
necessary capabilities, including: technical and professional expertise, when required, to perform the
services and/or tasks as set forth in this Agreement upon which PPFD is relying.
AGREEMENT
NOW, THEREFORE, in consideration of the mutual covenants herein, the Parties agree as follows:
1. Term of Agreement. This Agreement will become effective upon execution and delivery by both Parties
(the “Effective Date”) and shall remain in effect until terminated by either Party in accordance with
Section 5.
2. Services to be Provided by Consultant. Consultant shall perform the services and accomplish such
tasks, including the furnishing of all labor, materials, facilities, and equipment necessary for the full
performance thereof, as described in Exhibit A, which is attached and made a part of this Agreement
(the “Services”).
3. Compensation.
3.1. PPFD shall pay Consultant for services rendered in accordance with this Agreement. Such payment
shall be full compensation for Services rendered, and for all labor, materials, supplies, equipment,
and incidentals necessary to complete the Services. No payment shall be made for any Services
rendered by Consultant except for Services identified and set forth in this Agreement, except as may
be authorized by a written supplemental agreement approved by PPFD.
3.2. Consultant shall submit monthly invoices to PPFD specifying for each day the number of full or
partial the Services specific and worked hours provided well for sought expenses any as as ,
reimbursement. PPFD shall approve all invoices before payment is issued. Payment shall occur
within 30 days of receipt and approval of an invoice.
3.3. PPFD shall pay Consultant as follows:
Hourly (Single Rate): $__________ per hour plus actual expenses incurred as provided
under this Agreement, but not to exceed a total of $____________ without prior written
authorization by PPFD; or
Hourly (Multiple Rates): Such rates as identified in Exhibit B, plus actual expenses incurred

4. Independent Contractor Relationship.
4.1. The Parties intend that an independent contractor relationship is created by this Agreement. PPFD
is interested primarily in the results to be achieved; subject to the scope of services and the specific
requirements of this Agreement, the implementation of services will lie solely with the discretion
of Consultant. No agent, employee or officer of Consultant shall be deemed to be an employee or
officer of PPFD for any purpose, and Consultant’s employees are not entitled to any of the benefits
or privileges PPFD provides for its employees. Consultant will be solely and entirely responsible
for representatives subcontractors or officers, employees, the acts of for its acts and its agents,
during the performance of this Agreement.
4.2. In the Agreement, Consultant an independent is provided in this performance the of Services
contractor with full authority to control and direct the performance of the details of the Services;
however, the results of the work contemplated herein must meet the approval of PPFD and shall be
subject to PPFD’s general rights of inspection and review to secure the satisfactory completion
thereof.
4.3. Consultant shall comply with all applicable State and Federal laws including, but not limited to, the
definitional and 51.08.195 RCW Security) RCW 50.04.140 of requirements (Employment
(Industrial Insurance). Consultant shall, if required, obtain a City of Pasco business license.
4.4. PPFD may, at its sole discretion, require Consultant to disallow any employee, agent or servant
from providing Services for PPFD if that person, in PPFD’s sole discretion, may be detrimental to
PPFD’s interest.
4.5. As an independent contractor, Consultant shall not be entitled to any PPFD employee benefits
including but not limited to vacation time, sick leave, paid time off, or paid holidays.
5. Termination.
5.1. Termination for Convenience. Either Party may terminate this Agreement for any reason (or no
reason) by giving the other Party no less than 90 days’ written notice in advance of the effective
date of such termination.
5.2. Termination for Cause. If either Party is in breach of this Agreement and fails to correct such
breach within 5 days non written notice of thereof, the -breaching Party this may terminate
Agreement for cause by providing written notice of termination to the breaching Party, identifying
the effective date of termination which shall be not less than 5 days after the date of the notice. If
either Party terminates this Agreement for cause, PPFD’s sole liability shall be for amounts due to
Consultant for Services performed and expenses incurred in compliance with the terms of this
Agreement prior to termination.
6. Reports and Audits.
6.1. Consultant shall furnish to PPFD such statements, records, studies, surveys, reports, data, and

information as PPFD may request pertaining to matters covered by this Agreement, at such times
and in such forms as PPFD may require.
6.2. Consultant shall, at any time during normal business hours and as often as PPFD or the Washington
State Auditor may reasonably deem necessary, make available for examination all of its records and
data with respect to all matters covered, directly or indirectly, by this Agreement and shall permit
PPFD or to relating data other inspect all audit to authorized representative designated its and
matters covered by this Agreement. PPFD shall receive a copy of all audit reports made by the
agency or firm as to Consultant’s activities. PPFD may, at its discretion, conduct an audit at its
expense, using its outside own or auditors, of Consultant or directly relate, ’s activities which
indirectly, to this Agreement. Consultant shall be provided a copy of such reports to the extent
allowed by law.
6.3. Consultant, during the term of this Agreement, shall obtain and maintain at its expense all permits

Services. Upon request, Consultant shall deliver to PPFD copies of these licenses, registration
documents, and permits, or proof of their issuance or renewal.
6.4. Consultant shall maintain books, records, and documents, which sufficiently and properly reflect
all direct and indirect costs related to the performance of this Agreement, and shall maintain such
accounting procedures and practices as may be necessary to assure proper accounting of all funds

6.5. Consultant shall retain all books, records, documents, or other material relevant to this Agreement
for 6 years after its expiration. Consultant agrees that PPFD, or its designee, shall have full access

7. Ownership and Use of Documents.
7.1. All research, tests, surveys, preliminary data, information, drawings, and documents made,
collected, or prepared by Consultant for performing the Services subject to this Agreement, as well
as product, collectively referred to as final any “work product,” deemed be shall the exclusive
property of PPFD, including copyright as secured thereon. Consultant may not use them except in
connection with the performance of the Services under this Agreement or with the prior written
consent of PPFD. Any prior copyrig utilized in the owned by Consultant and hted materials

Services provided thereunder, shall remain the property of Consultant subject to a license granted
to PPFD for their continued use of the products and Services provided under this Agreement. Any

7.2. In the event of Consultant’s default, or in the event that this Agreement is terminated prior to its

8. Insurance. Consultant shall procure and maintain for the duration of the Agreement, insurance against

performance of the Services hereunder by Consultant, its agents, representatives, employees, or

8.1. Minimum Scope of Insurance. Consultant shall obtain insurance of the types and coverage

8.1.1. Automobile Liability insurance covering all owned, non-owned, hired and leased vehicles.
Coverage shall be at least as broad as Insurance Services Office (ISO) form CA 00 01.
8.1.2. Commercial General Liability insurance shall be at least as broad as ISO occurrence form CG
00 01 stop and shall cover liability arising from premises, operations, -gap independent
contractors and personal injury and advertising injury. PPFD shall be named as an additional
insured under Consultant’s Commercial General Liability insurance policy with respect to the
work performed for PPFD using an additional insured endorsement at least as broad as ISO
endorsement form CG 20 26.
8.1.3. Workers’ Compensation coverage as required by the Industrial Insurance laws of the State of
Washington.
8.1.4. Professional Liability insurance appropriate to Consultant’s profession.
8.2. Minimum Amounts of Insurance. Consultant shall maintain the following insurance limits:
8.2.1. Automobile Liability insurance with a minimum combined single limit for bodily injury and
property damage of $1,000,000 per accident.
8.2.2. Commercial General Liability insurance shall be written with limits no less than:
☒ $2,000,000 each occurrence; and ☒ $2,000,000 general aggregate;
8.2.3. Professional Liability insurance shall be written with limits no less than:
☒ $2,000,000 per claim; and ☒ $2,000,000 policy aggregate limit;
8.3. Provision.Insurance Other Consultant and Liability, Professional Liability, ’s Automobile
Commercial General Liability insurance policies are to contain, or be endorsed to contain that they
shall be primary insurance as respect PPFD. Any insurance, self-insurance, or self-insured pool
coverage maintained by PPFD shall be excess of Consultant’s insurance and shall not contribute
with it. Consultant’s insurance shall be endorsed to state that coverage shall not be cancelled by
either Party, except after 30 days prior written notice by standard mail, return receipt requested,
has been given to PPFD.
8.4. Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M. Best rating
of not less than A: VII.
8.5. Verification of Coverage. Consultant shall furnish PPFD with original certificates and a copy of
the insured amendatory endorsements, including, but not necessarily limited to, the additional

endorsement, evidencing the insurance requirements of the Agreement before commencement of
the Services.
8.6. Notice of Cancellation. Consultant shall provide PPFD with written notice of any policy
cancellation within 2 business days of their receipt of such notice.
8.7. PPFD Full Availability of Consultant Limits. If Consultant maintains higher insurance limits
than the minimums shown above, PPFD shall be insured for the full available limits of Commercial
General and Excess or Umbrella liability maintained by Consultant, irrespective of whether such
limits maintained by Consultant are greater than those required by this Agreement or whether any
certificate of insurance furnished to PPFD evidences limits of liability lower than those maintained
by Consultant.
8.8. Failure to Maintain Insurance. Consultant’s failure to maintain the insurance as required shall
constitute a material breach of contract, upon which PPFD may, after giving 5 business days’
notice to Consultant at its the terminate Agreement or, breach, correct the to immediately
discretion, procure or renew such insurance and pay any and all premiums in connection therewith,
with any sums so expended to be repaid to PPFD on demand, or at the sole discretion of PPFD,
offset against funds due to Consultant from PPFD.
9. Indemnification.
9.1. Consultant shall defend, indemnify, and hold harmless PPFD, its officers, officials, employees, and
volunteers harmless from any and all claims, injuries, damages, losses, or suits, including attorney
fees, arising out of or resulting from the acts, errors, or omissions of Consultant in the performance
of this Agreement, except for injuries and damages caused by the sole negligence of PPFD.
9.2. If a court of competent jurisdiction determines that this Agreement is subject to RCW 4.24.115,
then, in the event of liability for damages arising out of bodily injury to persons or damages to
property and Consultant, of negligence caused by or the resulting from concurrent PPFD, its
officers, officials, employees, and volunteers, Consultant’s liability, including the duty and cost to
defend, hereunder shall be only to the extent of Consultant’s negligence. It is further specifically
and expressly understood that the indemnification provided herein constitutes Consultant’s waiver
of immunity under Title 51 RCW, solely for purposes of this indemnification. This waiver has been
mutually negotiated by the Parties. The provisions of this Section shall survive the expiration or
termination of this Agreement.
9.3. No liability shall attach to PPFD by reason of entering into this Agreement except as expressly
provided herein.
10. Limitation on Damages. In no event shall PPFD be liable to Consultant for any incidental, indirect,
consequential, exemplary or punitive damages of any kind, however caused, such as but not limited to
loss of profits or revenue, loss of data, loss of productivity or efficiency, loss of use, business
services, of increased interruption, cost whether remedy is sought in contract, tort (including
negligence), strict liability or otherwise.
11. Nondiscrimination. In the performance of this Agreement, Consultant will not discriminate against any
employee or applicant for employment on the grounds of race, creed, color, national origin, sex, marital
status, age or the presence of any sensory, mental or physical handicap; provided that the prohibition
against discrimination in employment because of handicap shall not apply if the particular disability
prevents the proper performance of the particular worker involved. that Consultant shall ensure
applicants are employed, and that employees are treated during employment in the performance of this

Agreement without discrimination because of their race, creed, color, national origin, sex, marital status,
age or the presence of any sensory, mental or physical handicap. Consultant shall take such action with
respect to this Agreement as may be required to ensure full compliance with local, State and Federal
laws prohibiting discrimination in employment.
12. Covenant Against Contingent Fees. Consultant warrants that it has not employed nor retained any
company, firm, or person, other than a bona fide employee working exclusively for Consultant, to solicit
or secure this Agreement, and that it has not paid or agreed to pay any company, person or firm, other
than for working employee fide bona a exclusively Consultant percentage, commission, fee, any ,
brokerage fee, gift, or other consideration contingent upon or resulting from the award or making of this

13. Public Records.
13.1. Consultant that acknowledges PPFD to an agency subject is c 42.56 RCWhapter
(Washington’s Public Records Act). If Consultant becomes a custodian of public records of PPFD
and a request for such records is received by PPFD, Consultant shall respond to the request by PPFD
for such records within 5 business days by either providing the records, or by identifying in writing
the additional time necessary to provide the records with a description of the reasons why additional
time is needed. Such additional time shall not exceed 20 business days unless extraordinary good
cause is shown.
13.2. In the event PPFD receives a public records request for protected work product of Consultant
within its possession, PPFD shall, prior to the release of any protected work product or as a result
of a public records request or subpoena, provide Consultant at least 10 business days prior written

14. General Terms.
14.1. Assignability. PPFD has awarded this Agreement to Consultant due to Consultant’s unique

Agreement without the prior written consent of PPFD, which consent must be sought at least 30 days
prior to the date of any proposed assignment. Any Services assigned or subcontracted hereunder
shall be subject to each provision of this Agreement; proper bidding procedures where applicable;
and all local, State and Federal statutes, ordinances and guidelines. Any technical or professional
service subcontract not listed in this Agreement must have prior written approval by PPFD.
14.2. Severability. In the event any provision of this Agreement is held to be invalid and
unenforceable by a court of competent jurisdiction, the remaining provisions shall be valid and
binding upon the Parties.
14.3. No Waiver. No waiver under this Agreement is effective unless it is in writing, identified
as a waiver to this Agreement, and signed by the Party waiving its right. Any waiver authorized on
one occasion is effective only in that instance and only for the purpose stated, and does not operate
as a waiver on any future occasion. The failure or delay in exercising any right, remedy, power, or
privilege or in enforcing any condition under this Agreement shall not constitute a waiver or
estoppel of such right, remedy, power, or privilege.
14.4. Final Agreement. This Agreement constitutes the final agreement of the Parties with respect

such subject matter.
14.5. Governing Law. This Agreement has been and shall be construed as having been made and

this Agreement shall be governed by the laws of the State of Washington.
14.6. Dispute Resolution. In the event of a dispute arising from or relating to this Agreement, the
Parties’ designees shall first meet in a good-faith effort to resolve such dispute. In the event the

dispute, either Party may seek to resolve the dispute by arbitration pursuant to chapter 7.04A RCW,

attorney fees and costs as additional award and judgment against the other.
14.7. No Third-Party Beneficiaries. The Parties acknowledge and agree that they do not intend
to create any rights in any third parties that would result in any claims of any nature against the
other.
14.8. Persons Bound and Assignments. The terms of this Agreement shall be binding upon and
inure to the benefit of both Parties and their respective successors, subrogees, assigns, agents,
employees, officers, directors, and affiliates.
14.9. “Business Days.” In this Agreement, a “business day” means any weekday, Monday through
Friday, excluding Federal Reserve Holidays.

14.11. Counterpart Signatures. The Parties may execute this Agreement, and any modification to

Scope of Services
Summary
The PPFD’s Executive Director serves as the chief executive and administrative officer of the PPFD and is
responsible for implementing the policies and strategic direction established by the PPFD’s Board of
Directors. The Executive Director oversees all aspects of the PPFD’s operations, finances, facilities,
programs, personnel or contractors, and external relationships while ensuring compliance with applicable
laws and prudent stewardship of public resources.
The Executive Director is responsible for advancing the PPFD's mission of developing, operating, and
promoting public facilities that enhance economic development, tourism, recreation, community
engagement, and quality of life within the City of Pasco and surrounding region.
The Executive Director reports directly to the Board of Directors and serves at the pleasure of the Board
pursuant to the terms of the Personal Services Agreement.
Essential Responsibilities
• Advise the Board regarding strategic opportunities and challenges affecting the PPFD
• Develop and implement long-term strategic plans and annual work plans
• Oversee the PPFD’s contracts and financial performance
• Recommend policies, procedures, and operational improvements
• Identify opportunities for expansion, partnerships, grants, sponsorships, and new programming
• Develop recommendations for capital improvements and long-term facility planning
Board Support and Governance
• Serve as principal advisor to the Board and facilitate Board and committee meetings
• Prepare Board and committee meeting agendas, reports, resolutions, and supporting materials
• Attend all regular and special Board meetings unless excused
• Ensure implementation of Board decisions
• Support maintenance of official PPFD records
• Coordinate compliance with the Open Public Meetings Act, Public Records Act, public procurement

• In conjunction with City staff, develop, administer, and monitor the PPFD’s financial operations,
