Recognition of Visitors/Public Comments - This item is provided to allow the public the opportunity to bring items to the attention of the Pasco Public Facilities District Board. Its purpose is not to provide a venue for debate or for the posing of questions with the expectation of an immediate response. Adjournment Page 3 of 83 Pasco Public Facilities District Board MINUTES 4:00 PM - Tuesday, February 18, 2025; Pasco City Hall, Council Chambers & Microsoft Teams Webinar WELCOME, CALL TO ORDER, AND ROLL CALL Pasco Public Facilities District (PPFD) President Morrissette welcomed members of the audience and called the meeting to order at 4:00 PM. Board Members Present: President Mark Morrissette, Vice President Marie Gillespie, Secretary/Treasurer Caroline Bowdish, Board Member Leonard Dietrich, and Board Member Spencer Jilek Board Staff Present: PPFD Executive Director Matt Watkins, Owner's Rep Heath Gardner City Council & Staff Present: City Attorney Eric Ferguson, Finance Director Darcy Buckley, Senior Accountant Veronica Perez, Parks & Recreation Director Jesse Rice, and Deputy City Clerk Krystle Shanks RECOGNITION OF VISITORS/PUBLIC COMMENTS There were no visitors or public comments. APPROVAL OF MINUTES Approve PPFD Board January 2025 Meeting Minutes MOTION: Ms. Bowdish moved to approve the PPFD Board minutes from the January 21st meeting. Dr. Jilek seconded. Motion carried unanimously. CLAIMS APPROVAL Updated December 2024 Accounts Payable Claims Ms. Buckley provided a brief update. At the January 18, 2025, PPFD Board meeting, the PPFD Board approved $946,528.48 for the December 2024 Accounts Payable Claims. However, an additional $501,259.29 in expenses were incurred in December and reconciled in late January/early February 2025. Therefore, an updated motion approving the December expenses is needed. MOTON: Mr. Dietrich moved to approve the updated December 2024 PPFD Page 1 of 5Page 4 of 83 claims (accounts payable) in the amount of $1,447,787.77. Dr. Jilek seconded. Motion carried unanimously. Approval of PPFD Monthly Accounts Payable Claims Ms. Buckley provided a brief update. MOTON: Dr. Jilek moved to approve the January 2025 PPFD claims (accounts payable) in the amount of $5,857.79. Mr. Dietrich seconded. Motion carried unanimously. FINANCIAL REPORT December 2024 & January 2025 Balance Sheet, Budget Performance Report and Local Tax Distribution Report Ms. Buckley provided a brief update and answered questions from the Board. REPORTS FROM COMMITTEES Design & Construction Committee (Gillespie & Jilek; Alternate Morrissette) Ms. Gillespie provided a brief report on the Design & Construction Committee's activities: 1. They worked with Bouten Construction to review the updated betterments list. 2. The next round of recommendations from the betterments list will likely be presented to the Board at their March meeting. 3. They discussed the sign design and graphics inside the facility and continued to refine details of the facility. 4. They continued to work on developing the guaranteed maximum price (GMP) for the Progressive Design-Build Agreement. Ms. Gillespie and Mr. Watkins then answered questions from the Board. Mr. Dietrich expressed concerns regarding a lack of continued public input. Ms. Gillespie responded to those concerns. Audit & Finance Committee (Morrissette & Bowdish; Alternate Jilek) Mr. Morrissette proposed to change the name of the committee to "Budget & Finance Committee," as the committee is not part of the audit process. MOTION: Ms. Bowdish moved to change the committee name from Audit & Finance Committee to Budget and Finance Committee. Dr. Jilek seconded. Motion carried unanimously. Page 2 of 5Page 5 of 83 Mr. Morrissette discussed the performance review that he and Ms. Bowdish completed on Watkins Endeavor, LLC (PPFD Executive Director Watkins). The performance review was requested by the City of Pasco and was presented to the City Manager on January 28, 2025. Overall, the Committee stated that Mr. Watkins' work is good. The Committee provided some direction to Mr. Watkins and recommended a 2.9% wage increase. MOTION: Ms. Bowdish moved to increase compensation for Watkins Endeavor, LLC by 2.9% from $10,390 to $10,691 per month. Dr. Jilek seconded. Motion carried unanimously. NEW BUSINESS Resolution No. 2025-01 - Road 108 Right-of-Way Dedication Deed Mr. Watkins provided a brief report on the need for a right-of-way dedication deed to the City of Pasco along Road 108. Mr. Ferguson and Mr. Gardner added further details and answered questions from the Board. MOTION: Dr. Jilek moved to approve Resolution No. 2025-01, granting a Right-of-Way Dedication Deed to the City of Pasco for the eastern portion of PPFD Property on Lot 34 for inclusion of various utilities and Road 108, and, further, authorize the Executive Director to execute the dedication deed documents. Ms. Bowdish seconded. Motion carried unanimously. OTHER BUSINESS Owner’s Representative Report (Gardner) Mr. Gardner provided updates on: 1. Pedestrian and Vehicular Traffic Review. 2. Betterments Preview. 3. Guaranteed Maximum Price (GMP) Preview. Mr. Gardner provided the following handouts: PPFD - Aquatics Facility Master Budget, Facility Site Plan and a sketch drawing of the proposed facility. Mr. Dietrich requested a betterments list be provided before the next meeting to allow the PPFD Board to better understand them. Dr. Jilek suggested releasing potential "make-ready" projects to the public, whether or not they eventually get recommended, just so the public is informed. Pasco Operations and Maintenance (Rice) Mr. Rice provided an update on the progress being made on the new Interlocal Agreement (ILA). Given the size and complexity of the ILA, the City feels it is in everyone's the best interest to hire a consultant to help capture and validate the Page 3 of 5Page 6 of 83 shared administrative costs. These costs are in addition to those already negotiated in the validation, i.e. they are not the lifeguards and management staff. These administrative costs include: Human Resources, Finance, Facilities, Communications and others. Hiring a third party consultant would ensure that expenses are fair to both the City and the PPFD and would limit the chance an unexpected increases. Mr. Rice and Mr. Watkins answered questions from the Board. An in-depth discussion of finances followed. Ambassador Committee Report There was nothing to report. PPFD Executive Director Report (Watkins) Mr. Watkins announced that the Request for Qualifications (RFQ) for general counsel was published. He stated that the proposals for the PPFD Aquatic Center branding were received. He commented on the City of Pasco initiated a cost of service study. He discussed the recent Site tours. Mr. Watkins provided an update on the road construction to the PPFD Aquatic Center site. Lastly, he provided an update related to longstanding interlocal agreement between the Kennewick PFD and City of Pasco. Mr. Watkins answered questions from the Board. WHEREAS, the Pasco Public Facilities District (PPFD) was duly formed pursuant to Chapter 35.57 of the Revised Code of Washington on July 15, 2002, by the adoption of City of Pasco Ordinance No. 3558, and granted all powers provided by law pursuant to RCW 35.57.010; and WHEREAS, pursuant to RCW 35.57.070, the PPFD may secure services by means of an agreement with a service provider. The PPFD shall publish notice, establish criteria, receive and evaluate proposals, and negotiate with respondents under requirements set forth by District Resolution; and WHEREAS, the PPFD adopted Resolution 2023-15 on December 13, 2023, approving the agreement with Bouten Construction Company/NAC to perform design—build services for the Pasco Aquatics Facility Project; and WHEREAS, the PPFD adopted Resolution 2024-06 on July 23, 2024, accepting the Pasco Aquatics Facility Validation Report; and WHEREAS, the PPFD adopted Resolution 2024-07 on July 23, 2024, directing the Executive Director to Negotiate and Sign the Amendment No. 1 of the Progressive Design-Build Contract with Bouten Construction Company/NAC.; and WHEREAS, the PPFD adopted Resolution 2024-16 on November 19, 2024, directing the Executive Director to Negotiate and Sign the Amendment No. 2 of the Progressive Design-Build Contract with Bouten Construction Company/NAC; and WHEREAS, the PPFD adopted Resolution 2024-21 on December 17, 2024, directing the Executive Director to Negotiate and Sign the Amendment No. 3 of the Progressive Design-Build Contract with Bouten Construction Company/NAC NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE PASCO PUBLIC FACILITIES DISTRICT as follows: Section 1. Wire and equipment furnish and install is by Franklin PUD and 2) Trenching only for Cascade Natural Gas from Harris Road to point of connection on the project site. Pipe install by CNGC. One (1) rammed earth wall mock-up is included. Aesthetics of this wall are subject to available aggregate/sand content for this wall. Additional mock-ups or import of aggregate/sand to achieve aesthetic are excluded, if required. NOTES Glass treatment on the glazed surface #3 for sun shading and shading devices are included for sun screening at the Natatorium as shown in the architectural elevations. Masonry is a conventional modular CMU ground block configured in a running bond pattern. Block is to receive a painted finish in public areas, and exposed in back of house areas. Structural steel is conventional AISC shapes with a standard SSPS-2 shop finish. Costs for Architecturally Exposed Structural Steel (AESS) requirements are not included. The roof structure has been designed to accommodate a future Ninja Cross structure. Costs associated with waterslide towers, stairs, foundations, and supports are included in the Division 13 pool budget. Provisions for a walkable grating surface and access ladders for the pump pits are included. Galvanized acoustical metal deck is included in Lobby and Circulation spaces with open ceilings. All other metal deck is standard 1.5" galvanized metal roof deck. All roofs are TPO (membrane). Soffits/roof overhangs are metal panel soffits per the betterment. Provisions for bird netting was removed at these locations. Glazing is standard double-pane aluminum curtainwall or storefront glazing, depending on application. No integral shading is included and custom aluminum frame finishes are not included at this time (standard manufacturers color as specified is included). Aluminum storefront style doors are included at all interior "wet" locations. Wood doors in hollow metal frames are included at admin, and other front of house locations. Hollow metal doors and frames are included at all entrances to back of house spaces, interior and exterior. Casework is plastic laminate with solid surface tops. Precast insulated concrete panels include form liner on the exterior face and a smooth sandblast finish on the inside face. Embedment of electrical conduits, sprinkler piping and plumbing only as shown on the drawings. CLARIFICATIONS This GMP is based on is the following documents and information: This GMP is based on a 70 week construction schedule with a Substantial Completion date of May 8th, 2026 as reflected on Exhibit A - Attachment B. January 31, 2025 Bid Set Plans and Specifications from NAC Architects. Bid packages issued by Bouten dated February 3rd, 2025. Addenda 01, 02, 03 issued Febuary 13, 2025, Febuary 20th, 2025, and Febuary 27, 2025 respectively. All general assumptions, clarifications, and exclusions from the previously executed GMP Amendments apply to those applicable scopes of work and shall be carried forward. This GMP Amendment is in addition to previously executed Amendments. The estimate and GMP summary sheets represent the total costs of the project. There are no individual line item guarantees within the Amendment and funds can be re-allocated as needed within the Amendment. Bouten will identify any budget re-allocations within the monthly billing and schedule of values. Bouten shall maintain exclusive use of the project site and facility through construction completion. This includes access from a public right-of way to the construction site. The Design and Estimating Contingency has been reduced to zero percent for this GMP.
