(ESS, Inc.) agree to the following: 1. User is seeking consumer information in connection solely with the evaluation of individuals for employment, promotion, reassignment, or retention as an employee. 2. User acknowledges receipt of all required notices as mandated by the Fair Credit Reporting Act (FCRA) including the "Notice to users of Consumer Reports : Obligations of Users under the FCRA" and "A Summary of Your Rights Under the Fair Credit Reporting Act" and that they understand their responsibilities under the FCRA. 3. User understands that it must have a permissible purpose for ordering information and further agrees to comply with disclosure and authorization requirements to the consumer as required by the FCRA. Client understands and agrees to comply with adverse action procedures required by the FCRA, understands the confidential nature of the information being requested and will keep it confidential when obtaining, retaining, using and destroying this confidential matter. 4. User represents that prior to requesting a report for employment purposes, it will: o Disclose to the individual who is the subject of the report that a consumer report, by providing a clear and conspicuous disclosure in a document consisting solely of the disclosure (or a combined disclosure and authorization (ii, below)) may be obtained; o Obtain the written consent of the individual allowing the obtaining of the consumer report. Client agrees that submission of an order is a certification that it has obtained the consent of the consumer; o Provide to the individual a summary of the individual's rights required under the ("FCRA") and any applicable state law. o However, if subject uses ESS's online authorization process, User's above certifications will be fulfilled by use of this process. 5. User understands that there are legal requirements and responsibilities when taking adverse action based in whole or part on consumer reports. Client understands and agrees to comply with adverse action procedures required by the Fair Credit Reporting Act (FCRA, 15 U.S.C.§ 1681 et seq. Section 604), including requirements to provide a preliminary adverse action notice to consumers, along with a copy of the consumer report and A Summary of Your Rights Under the Fair Credit Reporting Act, allowing the consumer a designated period of time to contact the CRA if consumer wishes to dispute any information in the consumer report, providing CRA contact information and providing a final adverse action notice to the consumer if a final adverse employment decision is made. We advise client that they have specific legal requirements and responsibilities regarding taking adverse action against a consumer based on a consumer report and that they should consult with their legal counsel regarding specific, legal responsibilities. 6. User agrees it will not request an Investigative Consumer Report on a California resident unless notification is given to the applicant/employee stating that a report will be obtained. The User further agrees to give the individual a copy of the report within three days of receiving the report, if requested by the individual (per CA Civil Code 1786.) 7. User agrees that all individual Authorized Users will sign the ESS Authorized User Agreement and comply with applicable laws. 8. User and ESS, Inc. agree that information from the Consumer Report will not be used in violation of applicable federal, state & laws including The Driver Protection Policy Act, (DPPA, 18 U.S.C.§ 2721 et seq.) and all EEOC laws. 9. User agrees to protect the privacy of consumer information which is contained in motor vehicle records, and access DMV records only with written consent of consumer. 10. User agrees it will not disclose the information to any third parties not involved in the employment decision. Furthermore, user agrees not to resell or sub -license the information to any third party. 11. The FCRA permits end users of consumer reports to share the consumer report with another entity if User and the other entity will use the report for the same transaction and for the same permissible purpose. User agrees to limit such dissemination of consumer information to only those entities that are authorized by consumer and a have legitimate need to view the consumer report. Client understands the sensitive nature of consumer reports, the need to protect the information and the consumer report retention and destruction practices outlined by the FCRA and DPPA. We agree to: a. Limit dissemination of consumer information to only those with legitimate need, permissible purpose, and authorized by consumer b. Retain consumer data in a confidential manner c. Destroy data in a secure manner to make it inaccessible, unreadable, and/or unrecoverable by: i. burning, pulverizing, or shredding, ii. destroying or erasing electronic files, and/or iii. after conducting due diligence, hire a document destruction company. In addition, paper documents containing personally identifiable information (particularly name, date of birth, and SSN) , if retained at individual desks/workstations, shall be destroyed or inaccessible no later than the end of each work day 12. User agrees that paper documents containing personally identifiable information (particularly name, date of birth, and SSN), if retained at individual desks/workstations, shall be destroyed or inaccessible no later than the end of each work day. 13. User agrees to protect the privacy of consumer information which is contained in motor vehicle records, and access DMV records only with written consent of consumer. 14. User understands that ESS, Inc. assembles information from a variety of sources "as is". ESS, Inc. makes no representation or warranty regarding the information. Every reasonable effort is made to provide accurate and timely information. 16. User understands that ESS, Inc. does not guarantee User's compliance with all applicable laws in its use of reported information. Any communications with ESS, Inc. are not to be considered legal opinion. User understands that ESS is not legal counsel and cannot provide legal advice. User should work with counsel to develop an employment screening program specific to their needs. It is necessary for User to work with counsel to ensure that client's policies and procedures related to the use of CRA-provided information are in compliance with applicable state and federal laws. 17. User agrees that system access software, whether developed by your company or purchased from a third party vendor, will have User's account number and password "hidden" or embedded and be known only by supervisory personnel. User will assign each User of its system access software a unique logon password. If such system access software is replaced by different access software and therefore no longer is in use or, alternatively, the hardware upon which such system access software resides is no longer being used or is being disposed of, User will change its password immediately. 18. If User chooses to accept an electronic or other signature from consumer that is not controlled by Employment Screening Services, Inc. (ESS), it agrees to comply with all applicable laws, including but not limited to, the Fair Credit Reporting Act, 15 U.S.C. § 1681 et. seq., Electronic Signatures in Global and National Commerce (ESIGN) Act, 15 U.S.C. § 7002(a)(1)(2000), and Uniform Electronic Transactions Act (UETA). User accepts full responsibility for accepting any electronic consent or authorization from a consumer and agrees to indemnify and hold harmless ESS, its successors and assigns, officers, directors, employees, agents and suppliers from any and all claims, actions or liabilities arising from or with respect to the validity of any electronic signature on any document from a consumer to User. 19. Any information services and data originating from EVS - Equifax Verification Services (the "EVS Employment Information" aka "The Work Number") will be requested only for User's exclusive use and held in strict confidence except to the extent that disclosure to others is required or permitted by law. User will hold EVS and all its agents harmless on account of any expense or damage arising or resulting from the publishing or other disclosure of EVS Employment Information by User, its employees or agents contrary to these conditions or applicable law. 20. User recognizes that EVS does not guarantee the accuracy or completeness of EVS Employment Information and User releases EVS and EVS's agents, employees, affiliated credit reporting agencies and independent contractors from any liability, including negligence, in connection with the provision of EVS Employment Information and from any loss or expense suffered by User resulting directly or indirectly from EVS Employment Information. User covenants not to sue or maintain any claim, cause of action, demand, cross -action, counterclaim, third -party action or other form of pleading against EVS, EVS's agents, employees, affiliated credit reporting agencies, or independent contractors arising out of or relating in any way to the accuracy, validity, or completeness of any EVS Employment Information. 21. User agrees to billing terms of Net 30 days, which cannot be changed without written consent of ESS, Inc. User agrees to pay all fees charged in the process of collecting payment by collection agencies or attorneys. 22. User understands that all price increases will only be done after a 30 day notice by email or through the eUpdate except for fees relating to additional charges by 3rd parties for items such as Education, Employment Verifications, etc. These charges can be raised without notice but will be listed on the ESS IRAS website. 23. User agrees that ESS, Inc. may from time to time; amend non- material terms of this agreement by providing information or notices by US mail or email. Non -material terms of the agreement include but are not limited to pricing, business terms, terms of service or services. User agrees that such notice may be sent by US mail or email and will constitute part of this agreement unless client objects to such notices by US mail or email per the notice provisions of this agreement. 24. The term of this Agreement shall begin on the date signed and will continue for a period of one (1) year and renew automatically for successive one (1) year periods unless either party gives written notice to the other party of its intent to terminate the Agreement. A facsimile is as binding as an original. 25. I agree that an electronic signature is as valid as an original wet signature. Note: Ordering Credit Reports requires the completion of additional paperwork and an on -site inspection for certification. Client understands that ESS will furnish to law enforcement any information contained within the subject's file to assist in the apprehension of the subject. 6. This system will evolve as we continue to enhance our program and as we find new ways to better serve our clients. The use of an Internet system affords many opportunities for security breaches. It is very important everyone using this system understand these risks up front. Please read and understand this document before signing the IRAS Administrator User Agreement. ESS cannot assume any responsibility for breaches in security beyond our own control. Security Authorization Access to the ESS Internet Report Access System (IRAS) requires an Account Administrator who will be responsible for all access to the system within their company. This administrator MUST take full responsibility for ALL people who are given access to the system and insure that all users have signed an IRAS user agreement. The Administrator will have access to all aspects of the system including adding users, setting security passwords, security levels, invoicing, and reports. It is the responsibility of the Administrator to set-up each authorized user as well as to make sure the user is deactivated when the individual no longer has reason to access the system. ESS cannot be responsible for people who access the system after termination if the Administrator does not cancel their log -in. ESS has taken every precaution to ensure that this system is as secure as possible by using secure servers, routers and firewalls and security passwords. Each month the Administrator will receive an e-mail listing all users on their account as a reminder of who is authorized to access the system. It will be the Administrators responsibility to respond to ESS to verify that these people are still authorized. Circumstances Beyond Our Control It is the intent of ESS to have the Internet Report Access System (IRAS) accessible to clients 24/7/365. However, dealing with the Internet as well as with computer systems, it is possible that circumstances beyond our control can cause this system to be inaccessible for short periods of time. ESS will do everything in its power to remedy any problems that may occur as soon as possible. ESS cannot be responsible for circumstances beyond our control. If you experience any problems with the system, please notify ESS as soon as possible. In addition, the system may need to be taken down for maintenance, upgrades, etc. Advance notice will be sent to all on-line clients prior to interruption of the on-line accessibility. On-line Report Ordering If User is permitted to request consumer reports for employment purposes via ESS' website then, in addition to all other obligations, User agrees to abide by such additional conditions that may be imposed to utilize the website, provide all required certifications electronically, to maintain complete and accurate files containing all required consent, authorization and disclosure forms with regard to each consumer for whom a report has been requested, and maintain strict security procedures and controls to assure that its personnel are not able to use User's Internet access to obtain reports for improper, illegal or unauthorized purposes. User agrees to allow ESS to audit its records at any time, upon reasonable notice given. Breaches of this Agreement and/or violations of applicable law discovered by ESS may result in immediate suspension and/or termination of the account, legal action and/or referral to federal or state regulatory agencies.
