HomeMy WebLinkAboutLAD Irrigation Company, Inc - Pasco PWRF Field No. 2 - Pivot Replacement - Small Works Contract (#23-022) (Project #23950)SMALL WORKS CONTRACT PASCO PWRF FIELD NO.2 — PIVOT REPLACEMENT Agreement No. 23-022 THIS CONTRACT is made and entered into this day of JUG , 2023, by and between the City of Pasco, Washington, a Municipal Corporation, hereiner referred to as "City", and Lad Irrigation Company, Inc., hereinafter referred to as "Contractor." WHEREAS, the Project qualifies under RCW 39.04.155 as a small works roster contract, or a limited public works contract; and WHEREAS, the City having sought and secured quotations from its small works roster, and the Contractor being duly qualified as a Contractor on the small works roster having submitted a quotation acceptable to the City. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows: 1. Description of Work. The Contractor shall furnish all equipment, labor, tools, materials and appurtenances and perform all services in a workmanlike manner and in accordance with the plans and specifications as provided in the Project Description and Specifications, attached hereto as Exhibit A. 2. Compensation. Compensation for the performance of the service and materials as described in Exhibit A shall be: 0 That amount set in the quotation attached hereto as Exhibit B subject to any retainage or withholdings as provided below. 3. Time of Completion. The work covered by this Contract shall be completed with all respects within 33 calendar days from the date of the Notice to Proceed. Once the work is commenced, the Contractor shall diligently pursue the work to completion within the time specified in this Contract. 4. Warranty of Contractor. Contractor warrants that it is qualified to be awarded a public works contract in compliance with RCW 39.04.350; and further agrees to comply with all State and Federal laws relating to the employment and wage rates to be paid. 5. Indemnification. 5.1 The Contractor shall defend, indemnify, and hold harmless the City, its officers, officials, agents, employees, and volunteers from any and all claims and causes of action, including, but not limited to, actions of law or administrative proceedings for all injuries to persons or damages to property, and all losses, damages, demands, suits, judgments, including attorney fees, arising out of, or as a result of, or in connection with the work performed under this Agreement, and caused or occasioned in whole or in part by reason of errors, negligent acts or omissions of Pasco PWRF Field No. 2 - Pivot Replacement — Project No. 23950 Page I Small Works Roster Contract#: 23-022 — Lad Irrigation Company, Inc. the Consultant or its subcontractors in the performance of this Agreement, except for injuries and damages caused by the sole negligence of the City, its officers, employees, agents, and volunteers. 5.2 Should a Court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injuries or damages to property caused by or resulting from the concurrent negligence of the Contractor, and the City, its officers, employees, agents and volunteers, the Contractor's liability and obligation to defend hereunder shall only be the proportionate extent of the Contractor's negligence. 5.3 It is further agreed that the indemnification provided herein constitutes the Contractor's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. 5.4 No liability shall attach to the City by reason of entering into this Agreement except as expressly provided herein. 5.5 This indemnification shall include damages, penalties and attorney fees sustained as a result of Contractor's delayed or failed performance. 5.6 This waiver has been mutually negotiated by the parties, and the provisions of this section shall survive the expiration or termination of this Agreement. 6. Insurance. The Contractor shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Contractor, its agents, representatives, employees, or subcontractors. 6.1 Minimum Scope of Insurance. Contractor shall obtain insurance of the types described below: 6.1.1 Automobile Liability insurance covering all owned, non -owned, hired and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. 6.1.2 Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01 and shall cover liability arising from premises, operations, independent contractors and personal injury and advertising injury. The City shall be named as an insured under the Contractor's Commercial General Liability insurance policy with respect to the work performed for the City using an additional insured endorsement at least as broad as ISO endorsement form CG 20 26. 6.1.3 Workers' Compensation coverage as required by the Industrial Insurance laws of the State of Washington. Pasco PWRF Field No. 2 - Pivot Replacement — Project No. 23950 Page 2 Small Works Roster Contract#: 23-022 — Lad Irrigation Company, Inc. 6.1.4 Professional Liability insurance appropriate to the Contractor's profession. 6.2 Minimum Amounts of Insurance. Contractor shall maintain the following insurance limits: 6.2.1 Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. 6.2.2 Commercial General Liability insurance shall be written with limits no less than: ® $2,000,000 each occurrence; ❑ $2,000,000 general aggregate; or ❑ $ each occurrence; and $ general aggregate 6.2.3 Professional Liability insurance shall be written with limits no less than: ® $2,000,000 per claim; ❑ $2,000,000 policy aggregate limit; or ❑ $ per claim; and $ per policy aggregate limit 6.3 Other Insurance Provisions. The insurance policies are to contain, or be endorsed to contain, the following provisions for Automobile Liability and Commercial General Liability insurance: 6.3.1 The Contractor's insurance coverage shall be primary insurance as respects the City. Any insurance, self-insurance, or insurance pool coverage maintained by the City shall be excess of the Contractor's insurance and shall not contribute with it. 6.3.2 The Contractor's insurance shall be endorsed to state that coverage shall not be cancelled by either party, except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. 6.4 Acceptability of Insurers. Insurance is to placed with insurers with a current A.M. Best rating of not less than ANII. 6.5 Verification of Coverage. Contractor shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Contractor before commencement of the work. 7. Retainne and Performance Bond. 7.1 Unless it is waived as provided below, the Contractor shall provide and post for the benefit of the City a Performance and Payment Bond issued by a qualified Pasco PWRF Field No. 2 - Pivot Replacement — Project No. 23950 Page 3 Small Works Roster Contract#: 23-022 — Lad Irrigation Company, Inc. surety insuring the Contractor's performance of all the provisions of the Contract and payment of all labors, mechanics, and subcontractors and materialmen as required by RCW 39.08.010. 7.2 The City shall withhold five percent (5%) of the money due to the Contractor for the work performed under this Contact until completion and/or acceptance of the Contract as provided by RCW 60.28.011. Contractor may elect an option for management of the statutory retainage by notice to the City of the elected option under RCW 60.28.011. 8. Work Site Conditions. The work performed under this Contract is done at the Contractor's risk and that Contractor is familiar with the conditions present and other contingencies likely to affect the work and has submitted their quote accordingly. The Contractor will assume the responsibility and risk of all loss or damage to materials or work which may arise prior to completion. The Contractor shall keep the work site in a neat, orderly condition and after completion of the work, the Contractor shall, at its expense, clean up and remove all refuse and unused materials of any kind resulting from the work. 9. General Provisions. 9.1 For the purpose of this Contract, time is of the essence. 9.2 Notice. This Contract has been and shall be construed as having been made and entered into and delivered within the State of Washington, and it is agreed by each party hereto that this Agreement shall be governed by the laws of the State of Washington. In the event of a dispute regarding the enforcement, breach, default or, interpretation of this Contract, said dispute shall be resolved by arbitration pursuant to RCW 7.04A, as amended, with both parties waiving the right of a jury trial upon trial de novo, with venue placed in Pasco, Franklin County, Washington. The substantially prevailing party shall be entitled to its reasonable attorney fees and costs as additional award and judgment against the other. PERFORMANCE BOND BOND TO THE CITY OF PASCO KNOW ALL MEN BY THESE PRESENTS: That we, the undersigned, as principal, and a corporation organized and existing under the laws of the State of Washington, as a surety corporation, and qualified under the laws of the State of Washington to become surety upon bonds of contractors with Municipal Corporations, as surety, are jointly and severally held and firmly bound to the City of Pasco in the penal sum of for the payment of which sum on demand we bind ourselves and our successors, heirs, administrators or personal representatives as the case may be. NOW, THEREFORE, if the said shall faithfully perform all of the provisions of said contract in the manner and within the time therein set forth, or within such extensions of the time as may be granted under the contract, and shall pay all laborers, mechanics, subcontractors, and material men, and all persons who shall supply said principal or subcontractors with provisions and supplies for the carrying on of said work, and shall indemnify and hold said City of Pasco harmless from any loss or damage occasioned to any person or property by reason of any carelessness or negligence on the part of said principal, or any subcontractor in the performance of said work, and shall indemnify and hold the City of Pasco harmless from any damage or expense by reason or failure of performance as specified in said contract or from defects appearing or developing in the material or workmanship provided or performed under said contract after its acceptance thereof by the City of Pasco, then and in that event this obligations shall be void; but otherwise it shall be and remain in full force and effect. Approved as to Form: Surety PB-1 Contractor PAYMENT BOND TO THE CITY OF PASCO Bond No. The City of Pasco, Washington, City has awarded to (Principal), a contract for the construction of the project designated as PASCO PWRF FIELD NO. 2 — PIVOT REPLACEMENT, Contract No. 23950, in Pasco, Washington (Contract), and said Principal is required under the terms of that Contract to furnish a payment bond in accord with Title 39.08 Revised Code of Washington (RCW). The principal, and (Surety), a corporation organized under the laws of the State of and licensed to do business in the State of Washington as surety and named in the current list of "Surety Companies Acceptable in Federal Bonds" as published in the Federal Register by the Audit Staff Bureau of Accounts, U.S. Treasury Dept., are jointly and severally held and firmly bound to the City, in the sum of US Dollars, ($_ ) Total Contract Amount, subject to the provisions herein. This statutory payment bond shall become null and void, if and when the Principal, its heirs, executors, administrators, successors, or assigns shall pay all persons in accordance with RCW Titles 39.08, and 39.12 including all workers, laborers, mechanics, subcontractors, and material suppliers for the carrying on of such work, and all taxes incurred on said Contract under Title 50 and 51 RCW an all taxes imposed on the Principal under Title 82 RCW; and if such payment obligations have not been fulfilled, this bond shall remain in full force and effect. The Surety for value received agrees that no change, extension of time, alteration or addition to the terms of the Contract, the specifications accompanying the Contract, or to the work to be performed under the Contract shall in any way affect its obligation on this bond, except as provided herein, and waives notice of any change, extension of time, alteration or addition to the terms of the Contract or the work performed. The Surety agrees that modifications and changes to the terms and conditions of the Contract that increase the total amount to be paid the Principal shall automatically increase the obligation of the Surety on this bond and notice to Surety is not required for such increased obligation. The length of the system is approximately 1550'. The feed volume is set at 1400 gallons per minute (gpm). The feed line, pivot pad and electrical service line are already in place. Additionally, contractor shall remove the existing center pivot irrigation system and place it in a designated storage area near the edge of the field. Installation will take place at the City's Process Water Reuse Facility (PWRF)'s Field No. 2, which is located at 957 E Foster Wells Road, within Parcel No. 113-160-017, Township 9N, Range 30E, Section 11 (NE %). This work should be scheduled after this season's Corn Harvest, which is estimated to be wrapped up around October 1, 2023. The contractor can, at their discretion, procure the pivot early due to potential supply chain issues. All work must be completed to the City's satisfaction no later than November 15, 2023. Pricing shall be all-inclusive of the contractor responsibilities and scope of work detailed below in addition to matching the pivot specifications shown within Exhibit A. Any deviation from specifications must be clearly pointed out; otherwise, it will be considered that items offered are in strict compliance with the specifications; and the Offeror will be held responsible, therefore. Costs incurred by Contractors in preparation of their quote, including travel and personal expenses, may not be charged as an expense of performing the contract. The City shall not pay for costs incurred for quote or contract preparation. All quotes must be submitted utilizing the proposal from attached to this solicitation as Exhibit B, which includes all necessary bid documents (complete integral bid package). Quotes shall be submitted no later than 2:OOPM on Thursday, May 25, 2023. Quotes shall be submitted in writing to wiitalad@pasco-wa.eov. The subject line must read PASCO PWRF FIELD NO. 2 — PIVOT REPLACEMENT --- Request For Quote. Quotes shall be valid for thirty (30) days from quote due date as specified in this solicitation. The Contractor will be required to enter into a City of Pasco Small Works Contract . A template is attached to this solicitation as Exhibit C. Because this is a Public Works Project, the Contractor and all sub -contractors must follow Washington State's Prevailing Wages requirements (RCW 39.12). Journey level Prevailing Wage Rates effective as of Thursday, May 25, 2023 shall apply. Applicable rates can be found at https://secure.Ini.wa.govjwagelookup/. Prevailing wage intents must be filed with the Washington State Department of Labor and Industries and prevailing wage affidavits must be filed with the City for all work completed. Each contractor, subcontractor, or employer shall keep accurate payroll records for three years from the date of PASCO PWRF FIELD NO. 2 — PIVOT REPLACEMENT Project No. 23950 acceptance of the public works project by the City, pursuant to RCW 49.28.065, for each laborer, worker, and mechanic employed by the contractor for work performed on a public works project, pursuant to RCW 39.12.120. A contractor, subcontractor, or employer shall file a copy of its certified payroll records using the WA State Labor & Industries' online system at least once per month. If the WA State Labor & Industries' online system is not used, a contractor, subcontractor, or employer shall file a copy of its certified payroll records directly with WA State Labor & Industries in a format approved by WA State Labor & Industries at least once per month, pursuant to RCW 39.12.120, All work should comply with the most current version of City's Design and Construction Standards and Specifications for Public Works Improvements which adopts the Washington State Department of Transportation (WSDOT) Standard Specifications for Road, Bridge, and Municipal Construction (2023). The American Public Works Association (APWA) General Special Provisions (GSP's) to Division One of WSDOT Standard Specifications shall amend Division One of the WSDOT Standard Specifications for Road, Bridge, and Municipal Construction. Contractor's Responsibilities and Scope of Work • The Contractor shall furnish all additional materials and equipment required for the project. Work shall include all labor, equipment, tools and all incidentals necessary to fully complete the work and installation as listed. • It is the Contractor's responsibility to field verify the site specifics and set-up a site visit with the City of Pasco staff to discuss how to proceed with the project. • The Contractor shall call/notify the City of Pasco regarding any conflict or concern with existing site improvements. The Contractor is to proceed with the intent of maintaining existing site components. Any damage to existing components must be replaced to original condition and per standards as part of this project and shall be the responsibility of the Contractor. • Execute all operations and provide a safe work environment in accordance to OSHA and Labor & Industries standards and regulations. The requirement applies to all Contractor personnel, associated subcontractors, working in other trades, jobsite visitors and City staff working at the site. Contractor shall obey all applicable OSHA/WISHA, Labor and Industries Construction, General Health and Safety and General Occupational Health Standards (WAC 296-24, 296-62 and 296-155; and provide all necessary Fall Protection and Fall Arrest safety compliance equipment or plans and conduct any monitoring or physical testing equipment needed during the course of this project. • If necessary, Contractor shall follow proper traffic control. • If necessary, Contractor shall be responsible for obtaining a City Right of Way permit prior to commencing work. Costs of all permits should be considered incidental to the work and included in the price. • Contractor must have a valid City of Pasco Business License at the time of signed Agreement.
