CAMP AGREEMENT
This AGREEMENT made on 2/6/23 between U.K. International Soccer ("U.K. International"), located at
P.O. Box 1838, Redlands, CA 92373, and The City of Pasco (herein referred to as "The Contracting
Party"), located in Pasco, MT. In consideration of the mutual promises contained in this agreement, The
Contracting Party and U.K. International agrees as follows:
1. U.K. International agrees that it will conduct and maintain an instructional soccer camp in
accordance with the following.
a. Staffing: Staff will be certified coaches from Great Britain, Europe, South America and
the USA. There will be at least one coach for every fifteen campers enrolled. U.K. International cannot
guarantee certified coaches for those campers who are enrolled late. All contracted UKIS staff have
background checks, Safesport certified along with cardiac arrest and concussion awareness.
Camp Scheduling: Each camp week shall consist of the following:
(i) Five day sessions, Monday through Friday, typically of three hours (half -day), or
six hours (full -day), or one and half hours (mini day), as scheduled by The Contracting Party and U.K.
International.
(ii) An awards presentation, to be held at the end of camp.
(iii) U.K. International can conduct a 2-hour Coaches, Goalkeepers, Strikers and
`Activity Fun Zone' Clinic on one evening, or one day of the weekend. These clinics are provided at a
scheduled time on agreement between both parties.
(iv) A certificate of general liability insurance can be provided upon request. The City

(v) One free Half Day Scholarship to the Camp Coordinator and one free Half Day
Scholarship for every family that hosts a coach.
"The Contractinc Party" agrees to the following:
a. Provide U.K. International with suitable soccer field(s) to conduct the soccer camp at a
location to be determined by The Contracting Party. Approximate requirements are one standard sized
soccer field per 50 campers.
b. On or before fourteen days prior to the start of camp, UK International shall submit a
roster of all campers registered for camp if requested by The Contracting Party. If campers are being
registered by The Contracting Party a roster of registered campers should be provided to UK
International.
C. The number of coaches provided by U.K. International will be based on the number of
players enrolled in the camp.
d. If campers are being registered through The Contracting Party the monies owed shall be
based on paying campers and any other services or products purchased. Said sum shall be due and
payable before the end of the camp, unless otherwise agreed.

e. To assist securing host families to provide housing for U.K. International coaches during the
week of camp.
f. It will not utilize the services of any of the U.K. International coaching staff (past or
present), outside of the camp program for a period of 18 months after the termination of this agreement,
unless authorized by U.K. International.
g. Designate an adult representative as a site supervisor where applicable.
3. General:
a. If campers are being registered through The Contracting Party each camper must
complete a release signed by the parent or legal guardian agreeing to defend and hold U.K. International
harmless from any injuries which may be sustained from any cause relating to the camp activities, unless
caused by the negligent acts or omissions of U.K. International, and that these releases must be
submitted to the Camp Director at the start of camp.
b. If there are less than 15 registered children 5 days before the program start date, UK
International has the option to cancel the program due to age appropriate and educational
implications. Should this situation arise notification will be provided and a full refund issued.
C. In the event, The Contracting Party shall be in violation of monies owed, The Contracting
Party agrees to pay U.K. International the costs incurred in enforcing this payment, including reasonable
attorney's or debt collection fees.
d. Each Party (the "Indemnifying Party") agrees to indemnify, defend, and hold harmless the other
Party (the "Indemnified Party") from and against any and all claims, damages, and liabilities, including any and all
expense and costs, legal or otherwise, arising out of the act or omission of the Indemnifying Party, its subcontractors,
agents, or employees, incurred by the Indemnified Party in the investigation and defense of any claim, demand, or
action arising out of the work performed under this Agreement; including breach of the Indemnifying Party of this
Agreement. The Indemnifying Party shall not be liable for any claims, damages, or liabilities caused by the sole
negligence of the Indemnified Party, its subcontractors, agents, or employees.
The Indemnified Party shall notify promptly the Indemnifying Party of the existence of any claim, demand, or other
matter to which the Indemnifying Party's indemnification obligations would apply and shall give them a reasonable
opportunity to settle or defend the same at their own expense and with counsel of their own selection, provided that
the Indemnified Party shall at all times also have the right to fully participate in the defense. If the Indemnifying Party,
within a reasonable time after this notice, fails to take appropriate steps to settle or defend the claim, demand, or the
matter, the Indemnified Party shall, upon written notice, have the right, but not the obligation, to undertake such
settlement or defense and to compromise or settle the claim, demand, or other matter on behalf, for the account, and
at the risk, of the Indemnifying Party.
e. No refund for cancellation within 10 days of the camp start date. Children who leave
during the program due to injury or illness will receive a prorated refund, assuming doctor's verification is
provided. A $25 administrative fee will be required on any refunds, including any program cancelled due
to Covid-19. However, a full refund which is not subject to the administrative fee can be provided via a gift
card or if transferring to a future program.
f. Should inclement weather or acts of God affect the program, any lost hours will be made
up later in the camp week. If this is not possible refunds will not be issued.
g. Registrations received less than 10 days prior to the start of camp may incur an
additional $10 administrative fee.

h. Children are enrolled on a first come, first served basis. We cannot guarantee enrollment
any later than 5 days prior to camp. Camp equipment cannot be guaranteed for the start of the camp for
players who register less than 10 days prior to the program.
i. Any promotional offers are only valid during specified dates. All purchases or transactions
prior to or after a promotional offer cannot be exchanged for retroactive benefit.
Your organization will receive a variety of promotional options to help with enrollment.
k. This Agreement shall be interpreted in accordance with the laws of the State of
Washington and by the execution of this agreement the parties agree to submit themselves to the
jurisdiction of the courts of both Washington and California.
4. Camp Details. The City of Pasco to receive $10 per camper
July 31 -August 4th 2023
