Its purpose is not to provide a venue for debate or for the posing of questions with the expectation of an immediate response. Some questions require consideration by Board over time and after a deliberative process with input from a number of different sources; some questions are best directed to staff members who have access to specific information. Public comments will normally be limited to three minutes by each speaker. Those with lengthy messages are invited to summarize their comments and/or submit written information for consideration by the PPFD Board outside of formal meeting s. III. Adjournment Page 2 of 13 Pasco Public Facilities District Board MINUTES 4:00 PM - Tuesday, March 21, 2023; Pasco City Hall, Council Chambers CALL TO ORDER AND ROLL CALL Pasco Public Facilities District (PPFD) President Morrissette called the meeting to order at 4:04 PM. Board Members Present: President Mark Morrissette; Vice President Marie Gillespie (arrived at 4:06 PM); Secretary/Treasurer Caroline Bowdish (arrived at 4:04 PM); Board Member Leonard Dietrich; and Board Member Spencer Jilek Board Staff Present: PPFD Executive Director Matt Watkins City Council & Staff Present: Council Liaison Craig Maloney (arrived at 4:04 PM); City Attorney Eric Ferguson; Administrative & Community Services Director Zach Ratkai; and City Clerk Debby Barham APPROVAL OF MINUTES Approve PPFD Board February 21, 2023, Meeting Minutes MOTION: Dr. Jilek moved to approve the PPFD Board minutes from the February 21, 2023, meeting. Mr. Dietrich seconded. Motion carried unanimously. REPORTS FROM COMMITTEES Audit & Finance Committee (Mark Morrissette & Caroline Bowdish) Mr. Morrissette discussed the current 2023 Fiscal Calendar and asked if any additional items need to be added to it. It was noted that the next financial report will be provided to the PPFD Board at the April meeting and may include receipt of the March 2023 collection of the tax proceeds. Design & Construction Committee (Marie Gillespie & Mark Morrissette) Ms. Gillespie stated that there was no action to report at this time. Page 1 of 4Page 3 of 13 OLD BUSINESS Resolution No. 2023-03 - Approval Interlocal Agreement with City of Pasco (Ratkai) Mr. Ratkai stated that if the PPFD Board approves the proposed Interlocal Agreement with the City of Pasco, then it will be presented to the City Council at their April 10th Workshop. MOTION: Dr. Jilek moved to approve Resolution No. 2023-03, to establish the Interlocal Agreement between the Pasco Public Facilities District and the City of Pasco for Administrative, Financial, and Legal Services. Mr. Dietrich seconded. Motion carried unanimously. NEW BUSINESS Potential Aquatics Facility Locations Mr. Watkins provided a brief report on the properties of interest to place an aquatics facility on and then presented drone video footage of the three properties. The first presentation was for property located north of I-182. Tim Ufkes, representative for the property owners, discussed the two (2) Broadmoor Development Lots Nos. 19 and 22, as well as other possible lots. There was a discussion of co-locating the aquatics facility with other amenities such as a Ben Franklin Transit facility, a Mid-Columbia Library branch, and/or a City of Pasco Community Center. Discussion also included the timeline of the development of the streets/roadways. The second presentation was for property located south of I -182 and is owned by the Youngs. Nick Wright, representative for the Young family, provided a brief report on the proposed site. He noted that the Youngs were notified that the City is in the planning stage of developing an overpass across I -182. As currently configured, it would cut the proposed property in half rendering it ineffective for an aquatic facility. The third presentation was for property located next to the LifeQuest building. Carl Cadwell, representative for the LifeQuest property, gave a PowerPoint presentation about the site. The property is ready to be built on with all the needed utilities and is located next to three hotels and adjacent to the regional sports facility and HAPO Center. It also has a parking lot shared with LifeQuest. He also discussed a public-private partnership with the aquatic facility. Page 2 of 4Page 4 of 13 OTHER BUSINESS PPFD Executive Director Report Mr. Watkins provided an update on the status of the Owner's Representative Request for Qualifications (RFQ), which included four (4) submissions. The next step will be to bring the Evaluation Team together to review the RFQs during the week of March 27th. Mr. Watkins recommended that the next financial report be scheduled for the April PPFD Meeting; the Tax Analysis was tentatively scheduled for the May 2023 meeting. Update Related to Work Groups to Support PPFD Board Members (Ferguson) Mr. Ferguson reported that he reviewed the PPFD Charter and Bylaws related to setting up advisory work groups to support the PPFD Board. He reminded the PPFD Board that they cannot delegate their authority to the volunteers/advisory groups. RECESS Mr. Morrissette called for a five-minute recess at 6:15 PM. EXECUTIVE SESSION The PPFD Board, along with the PPFD Executive Director, PPFD Executive Director, City Attorney and City Engineer adjourned into Executive Session at 6:20 PM for 20 minutes to discuss the consideration of site selection or acquisition of real estate purchase or lease if likelihood that disclosure would increase price per RCW 42.30.110(1)(b). At 6:40 PM President Morrissette announced that the Executive Session would continue for another 10 minutes. President Morrissette called the meeting back to order at 6:50 PM. WHEREAS, the Pasco Public Facilities District (PPFD) was duly formed pursuant to Chapter 35.57 of the Revised Code of Washington on July 15, 2002, by the adoption of City of Pasco Ordinance No. 3558, and granted all powers provided by law pursuant to RCW 35.57.010; and WHEREAS, the Pasco Public Facilities District, on February 8, 2022, did submit to the voters of the District a ballot proposition to increase the local sales and use tax for the purpose of providing funds for the costs associated with the financing, refinancing, design, property acquisition, construction operating, maintaining, remodeling, repairing, and reequipping of a publicly owned Aquatics Facility; and WHEREAS, the voters of the District passed said ballot proposition by a majority vote; and WHEREAS, the Pasco Public Facilities Board has been planning for the eventual development of an Aquatics Facility for several years and over the past several years has completed a comprehensive feasibility study and financial analysis of the development, operations, and maintenance of an Aquatics Facility; and WHEREAS, the Pasco Public Facilities District Board of Directors has most recently conducted an extensive evaluation of potential parcels suitable and available to site such a facility; and WHEREAS, in selecting a site for the future Aquatics Facility the Pasco Public Facilities Board took the following factors into consideration: • Of sufficient size to accommodate the planned first and second phases of a facility as well as room for possible expansion as Pasco and the Tri-City region grows in need of regional facility space. • Central to the region, and along a major transportation corridor allowing for ease of access to all of the Tri-Cities. • Views and vistas of the region from the facility, and visibility from around the region. • Located such that the introduction of the facility would not exacerbate already burdened public infrastructure. • Close proximity to complimentary facilities planned including: community centers, regional libraries, and recreational facilities such as pickleball, pedestrian/bicycle trail s, robust transit facilities, where parking facilities may be shared. Page 12 of 13 Resolution – 2023-04 – Intent to Purchase Property - 2 • Situated within a planned market area having the likely potential for sufficient residential densities and nearby commercial opportunities to better support the facility. • Central to planned public infrastructure improvements that will assure the facility will not burden the transportation (freight, vehicles, transit, multi-modal) water, and sewer systems, and planned near-term improvements that will address current infrastructure deficiencies and provide for decades of future growth. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE PASCO PUBLIC FACILITIES DISTRICT as follows: Section 1. That the Pasco Public Facilities District (PPFD) Executive Director pursue a non-binding letter of interest with Broadmoor Properties, LLC with the intent to purchase approximately 6 acres of land on or near Lot 19. Final authority to purchase the property will be brought before the Board for approval of a binding Purchase and Sale Agreement at a later date. Section 2. That the PPFD Executive Director work with other agencies or entities that may mutually benefit from having complimentary facilities near an Aquatics Facility to locate and site in mutually beneficial terms. Section 3. That this Resolution shall take effect immediately. PASSED by the Pasco Public Facilities District Board of Directors, of Pasco, Washington, on this _____ day of April, 2023.
