Independent Contractor Agreement
This Independent Contractor Agreement (this "Agreement") is made effective as of Apri11,
2023,by and between Pasco Police Department(the "Recipient"), 215 W Sylvester St.,
Pasco,Washington 99301, and Clarity Point PLLC (the "Contractor"),of 9825 Sandifur
Parkway, Suite D, Office Space Number Two (2), Pasco,Washington 99301.
1.DESCRIPTION OF SERV[CES. Beginning on April 1, 2023, the Contractor will provide the
following behavioral health services (collectively,the "Services"):
A) Clarity Point PLLC will assist in providing Wellness Visits as requested at rate of
$150.00 per hour.
B) Clarity Point PLLC will provide trainings for the Pasco Police Department at$150.00
per hour. Preparation time and supplies for training will be calculated into total cost
when invoiced.
C) Crisis sessions for critical incidents may be requested when Clarity Point PLLC is
available. Crisis session outside regular scheduled appointments, determined by
Clarity Point PLLC,will be billed at a rate of$250 per hour.
D) Clarity Point PLLC will provide other behavioral health assistance, support, and
consultation for Pasco Police Department,when available and as requested at
$150.00 per hour.
No other fees and/or expenses will be paid to the Contractor unless such fees and/or
expenses have been approved in advance by the appropriate executive on behalf of the
Recipient in writing. A regular,ongoing relationship of indefinite term is not contemplated.
The Recipient has no right to assign services to the Contractor other than as specifically
contemplated by this Agreement or agreed to in advance by Contractor. However,the
parties may mutually agree that the Contractor shall perform other services for the
Recipient, pursuant to the terms of this Agreement.
2. PAYMENT FOR SERVICES. The Recipient will provide compensation to the Contractor
for the Services. Payments will be made as follows:
Payment for trainings and other services provided by Clarity Point PLLC will be made no
later than 15 days following the submission of an invoice for services.
3.TERM/TERMINATIOIV. The initial term of this Agreement is 6 months from the start
date.After the initial term the Agreement may be terminated at any point by either party
upon a 30-day written notice from either party,which will be hand-delivered or sent via
U.S. mail, certified mail, postage prepaid to the addresses listed above.

4. RELATIONSHIP OF PARTIES. It is understood by the parties that the Contractor is an
independent contractor with respect to the Recipient,and an employer employee
relationship does not exist and is not contemplated by this Agreement. Contractor agrees
that it is not an employee, partner,agent, or principal of Recipient while this Agreement is
in effect. Contractor agrees it is not entitled to the rights or benefits afforded to Recipient's
employees, including disability or unemployment insurance,workers'compensation,
medical insurance, sick leave, or any other employment benefit. Contractor is responsible
for providing, at its own expense, unemployment, and other insurance,workers'
compensation, training,permits, and licenses for Contractor and for its employees and
subcontractors. Contractor is responsible for paying when due, all income and self-
employment taxes,including estimated taxes, incurred as a result of the compensation paid
by Recipient to Contractor for services under this agreement.
It is contemplated that the relationship between the Contractor and the Recipient shall be a
non-exclusive one. The Contractor also performs services for other organizations and/or
individuals.
5. RECIPIENT'S CONTROL.The Recipient has no right or power to control or otherwise
interfere with the Contractor's mode of effecting performance under this Agreement. The
Recipient's only concern is the result of the Contractor's work, and not the means of
accomplishing it. Except in extraordinary circumstances and when necessary, the
Contractor shall perform the Services without direct supervision by the Recipient.
6. PROFESSIONAL CAPACITY.The Contractor is a professional who uses its own
professional judgment and business methods to perform services under this Agreement.
7. PERSONAL SERVICES NOT REQUIRED.The Contractor is not required to render the
Services personally and may employ others to perform the Services on behalf of the
Recipient without the Recipient's knowledge or consent. If the Contractor provides the
services through other individuals, it is the Contractor's responsibility to hire them,to
provide materials for them and to confirm their compliance with this Agreement.
9. NO SET WORK HOURS.The Contractor work hours are self-assigned.There is no
requirement that the Contractor work full time or otherwise account for work hours.
Contractor will work with the Recipient in establishing the times and location of services.
10. CONFIDENTIALITY. For the duration of this Agreement and thereafter, Contractor
agrees to keep confidential and/or proprietary information obtained through the services
to City of Pasco,and shall not disclose such confidential information to any other person
without a need to know, and without prior notification to and express authorization from
Recipient. To the extent that licensed mental health services are provided to individual
employees or contractors of the City of Pasco, Recipient will not have access to Contractor
records or information or PHI about individuals and services provided to pursuant to this
Agreement pursuant to HIPPA and the WHCIA without a signed authorization.

11. Limitation of Liability to Recipient. Notwithstanding any other provision of this
Agreement, in no event shall Contractor be liable to Recipient for delays or performance
failures due to circumstances beyond Contractor's control.
12. Indemnification of Each Party. Each party shall indemnify, defend and hold the other
harmless from and against any and all third party claims, liability, suits,losses, damages
and judgments,joint or several,and shall pay all costs and expenses (including counsel's
fees and expenses) as they are incurred in connection with the investigation of, preparation
for or defense of any pending or threatened claim or any action or proceeding arising there
from,that the parties may incur as a result of services performed pursuant to this
Agreement.
13.Amendments. This Agreement may be amended only in a writing signed by both
parties.
14. Miscellaneous. No waiver by either party of any breach of this Agreement by the other
party shall be considered to be a waiver of any other breach. Representations, promises,
agreements or understanding not contained in this Agreement, either written or oral, shall
have no force or effect. Should any litigation or arbitration be commenced between parties
relating to any such breach,the prevailing party shall be entitled, in addition to such other
relief as may be granted, reasonable costs and attorne�s fees relating to such litigation. If
any term or provision of this Agreement is determined to be illegal or invalid, such
illegality or invalidity shall not affect the validity of the remainder of this Agreement. This
Agreement shall be governed by the laws of the State of Washington.
16. Arbitration. If any dispute or controversy shall arise between the parties hereto with
respect to the making, construction, terms, performance or interpretation of this
Agreement or the rights of any party hereto: the dispute or controversy must, upon
demand by either party,be settled by binding arbitration before one (1) arbitrator,
selected by agreement of the parties and if they cannot agree to an arbitrator within thirty
(30) days,to be appointed by a Superior Court Judge of Benton County from the panel of
arbitrators. The arbitration must take place within one hundred twenty (120) days of the
appointment of the arbitrator and any discovery must be limited by the arbitrator so the
arbitration proceeding can be completed within the 120 days. Any decision by the
arbitrator is final and may not be appealed. The most prevailing party shall be entitled to
any costs and attorney's fees associated with such arbitration proceeding.
This Agreement contains the entire agreement between the parties hereto with respect to
the subject matter hereof.
