ACTION REQUESTED OF COUNCIL / STAFF RECOMMENDATIONS: MOTION: I move to approve Resolution No. 4266, approving the interim City Manager contract. III. FISCAL IMPACT: Additional payroll, taxes, and benefits for the term of the agreement, estimated at between $2,500-$3,000 monthly. IV. HISTORY AND FACTS BRIEF: The current City Manager Dave Zabell is retiring as the City Manager effective October 31, 2022. In order to assist in assuring a smooth transition to a replacement, Mr. Zabell has offered to remain an employee of the City as a Management Advisor until December 31, 2022. The current Deputy City Manager Adam Lincoln has been with the City since October 2020 and is qualified to serve as the Interim City Manager while the City Council proceeds with recruitment of a permanent City Manager. As such, the attached personal services agreement offers additional compensation to Mr. Lincoln for serving in this dual-role capacity for an indefinite period until the permanent City Manager is appointed. WHEREAS, the City of Pasco is a non-charter, optional municipal code city organized under the council-manager form of government; and WHEREAS, the City will be recruiting a new City Manager and the recruitment may take several months; and WHEREAS, pending the appointment of the new City Manager, the City Council desires to appoint an Interim City Manager as of November 1, 2022; and WHEREAS, the City desires to contract with Adam Lincoln to serve as Interim City Manager, and Adam Lincoln desires to accept the position as the Interim City Manager for the City of Pasco. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PASCO, WASHINGTON: That the Mayor of the City of Pasco is authorized to sign and execute the Personal Services Agreement Between the City of Pasco and Adam Lincoln for the position of Interim City Manager as of November 1, 2022, a copy of which is attached hereto and incorporated herein by reference as Exhibit A; and to take all necessary steps required to accomplish this transaction, and to make minor substantive changes as necessary to execute the Agreement; and Be It Further Resolved, that this Resolution shall take effect immediately. PASSED by the City Council of the City of Pasco, Washington this ____ day of _________, 2022. _____________________________ Blanche Barajas Mayor ATTEST: APPROVED AS TO FORM: _____________________________ ___________________________ Debra Barham, CMC Kerr Ferguson Law, PLLC City Clerk City Attorneys Page 5 of 20 1 PERSONAL SERVICES AGREEMENT BETWEEN THE CITY OF PASCO AND ADAM LINCOLN FOR THE POSITION OF INTERIM CITY MANAGER THIS AGREEMENT is made this date between the City of Pasco, hereinafter referred to as “City” and Adam Lincoln, hereinafter referred to as “Manager.” WHEREAS, the City of Pasco is a non-charter, optional municipal code city organized under the council-manager form of government; and WHEREAS, the City desires to contract with Adam Lincoln to serve as Interim City Manager, and Adam Lincoln desires to accept the position as the Interim City Manager for the City of Pasco. NOW, THEREFORE, in consideration of the mutual benefits to be derived, the parties hereby agree as follows: 1. Commencement of Services. The City agrees to employ Manager, and Manager agrees to accept the position of Interim City Manager for the City of Pasco in accordance with the terms and conditions of this Agreement and Manager agrees to perform that statutory role of City Manager, as well as adhere to the requirements of Pasco Municipal Code 2.10. 2. Term. This Agreement shall be effective as specified herein, upon approval by the City Council and Manager, and shall continue until terminated as provided by law, or by the provisions of this agreement. Should the Manager not be selected as the permanent City Manager, or fail to satisfactorily perform the duties of the position as required by the City, or should the Manager decline to accept the position of permanent City Manager if offered, the Manager may elect to return to his former position, Deputy City Manager, at the same salary and benefits as before accepting the Interim City Manager position, unless he is discharged by City for just cause. 3. Salary. Manager shall be paid a salary of $16,790.00 per month for serving as both the Deputy City Manager and the Interim City Manager, which shall be paid in accordance with the procedures for other employees of the City. 4. Benefits. Manager shall be entitled to all other benefits as currently allowed. 5. Termination. a. If Manager is terminated for “just cause,” then Manager shall not be entitled to any termination pay and will not be permitted to return to his former position. “Just cause” for purposes of this Agreement means misconduct, including but not limited to commission of a criminal act, neglect of duty, violation of any rules, regulations, policies or procedures of the City, sexual or other discriminatory harassment in violation of State or Federal anti-discrimination law, malfeasance or misfeasance, Page 6 of 20 2 violation of the Code of Ethics for Municipal Officers, any conduct that would have an adverse effect upon the performance of the Manager’s duties or reflect detrimentally upon the City, or any other just cause supported and consistent with Washington law. b. Termination by Manager. In the event the Manager elects to terminate his employment with the City for any reason, the Manager agrees to attempt to provide the City with not less than thirty (30) days’ notice prior to the effective date of said termination of employment. Notwithstanding the foregoing notice requirement, nothing shall prevent the City Council upon receiving the Manager’s notice of intent from compensating the Manager at the rate of Manager’s base salary for the unexpired portion of the thirty (30) day notice and releasing Manager prior to the expiration of said notice. 6. Indemnification. The City shall indemnify, hold harmless, and defend the Manager from and against any claims related to or arising out of the good faith exercise of the powers and duties of City Manager. This indemnification and hold harmless shall continue after Manager’s employment ends, but only insofar as it related back to claims arising either directly or indirectly out of his employment by the City. 7. Integration. This Agreement constitutes the entire agreement between the parties, and both parties acknowledge that there are no other agreements, oral or otherwise, that have not been fully set forth in the text of the Agreement. 8. Modification. The parties agree that this Agreement can be amended or modified only with the written concurrence of both parties. 9. Notices. Both parties agree that upon Manager signing an electronic copy of this Agreement, transmitting the same to the City, and upon the Mayor signing said electronic copy, that both parties shall be bound by the terms and provisions of this Agreement. Both parties shall subsequently execute the original, non-electronic copies of this Agreement, which shall be substituted for the signed electronic copy. Page 7 of 20 3 11. Effective Date. All compensation and benefits under this Agreement shall begin to accrue as of November 1, 2022, which shall be the effective date of this Agreement. 12. General Provisions. Failure to enforce any provisions of this Agreement shall not constitute waiver of said provision. This Agreement represents the entire agreement between the parties. Should any dispute arise concerning the enforcement breach or interpretation of this Agreement, the parties shall first meet in a good faith attempt to resolve the dispute. Any unresolved dispute shall be submitted to arbitration. The dispute shall be submitted to a single arbitrator mutually agreed by the parties. If the parties are unable to agree, the arbitrator shall be determined by the Franklin County Superior Court, and arbitration shall be conducted pursuant to RCW 7.04A, as amended, with both parties waiving the right to jury trial in the event of a de novo appeal. Arbitration shall be conducted in Pasco, Franklin County, Washington, the cost of the arbitration shall be equally borne by the parties, and the arbitrator shall award, as additional judgement against the other, attorney’s fees and costs to the substantially prevailing party. REFERENCE(S): II. ACTION REQUESTED OF COUNCIL / STAFF RECOMMENDATIONS: MOTION: I move to approve the draft Redistricting Plan for the Pasco City Council Voting Districts for publication and public comment consistent with State and Federal Voter Rights Acts. III. FISCAL IMPACT: N/A IV. HISTORY AND FACTS BRIEF: There is considerable history here, in short, circumstances were such because of then-existing State law the City and ACLU were required to utilize the federal court system to for the City of Pasco to come into compliance with the Federal Voter Rights Act (VRA). On May 8, 2017, Council approved the most recent revisions to the City of Pasco's City Council Voting Districts which were subsequently approved and ordered by Judge Suko of the U.S. District Court, Eastern District of Washington through a consent decree. Of note, under the federal and state VRAs the U.S. Decennial Census is the standard by which electoral districts shall be drawn, meaning that the districts established in 2017 under Judge Suko's order, were necessarily based on the 2010 census. As adopted, the City's districting plan provides for one (1) at -large, and six distinct (6) City Council Districts, which now require adjustment based on the results of the 2020 U.S. Census, specifically to account for population growth and where that growth occurred, as well as changes in demographics and city limit (corporate) boundaries over the previous decade. Page 10 of 20 Delayed by the impacts of a world-wide pandemic, the 2020 U.S. Decennial Census was completed in August of 2021, rather than April, and the subsequent release to Washington State Office of Financial Management who in turn provided information to the States, Counties and Municipalities further delayed. Completion of the U.S. Census and release of the information triggers the need and opportunity for the City to review its City Council Districts to assure compliance with the federal, and recently adopted state, Voter Rights Acts. The 2020 Census data was made available by the U.S. government in the fall of 2021, since that time, and per Council d irection, staff has been working with specialized legal and demographic professionals to review and update City Council District boundaries to account for changes in; city boundaries, total population, voter population, and other pertinent demographic fact ors that have occurred between April 1, 2010 and April 1, 2020. As noted previously, the City Council districts were necessarily established based on the 2010 census, the changes in population, corporate limits, demographics in a rapidly growing community like Pasco, which occurred within the decade between 2010 and 2020 have been significant. Considering aforementioned changes, it is then reasonable to expect that the changes to the six (6) districts, in terms of population and boundaries, will be prop ortionately significant. In preparing for the redistricting effort, it is helpful to keep in mind that the six (6) City Council Districts require adjustments based on the results of the 2020 U.S. Census, and the city limits map in effect at that time. Essentially, the City Council District map that the Council will be adopting as part of the redistricting effort, will reflect how the six Council districts best fit into the April 1, 2020 map for the population, changes in corporate limits, and other statu torily relevant factors of the City at that time, as determined by the 2020 U.S. Census and the two Acts. As Council is aware, there have been annexations to the City subsequent to April 1, 2020. Annexation ordinances relating to each annexation subseque nt to April 2020 should have identified the City Council district to which the newly annexed property was assigned, these individual ordinances will in effect modify the yet to be adopted April 1, 2020 district map. To the extent any of the annexation ordinances fail to reflect a City Council district, or are no longer aligned with the correct district under the adopted April 1, 2020 district map, those annexation areas will be redesignated to align with a contiguous district by subsequent ordinance. Fortunately, most of the area annexed since April 2021 is sparsely populated. In February 2021, the City hired the services of Floyd, Pflueger & Ringer, P.S., as well as Dr. Peter Morrison who developed the current Council Voting Districts in 2017 and assisted the City in updating Redistricting Plan. V. DISCUSSION: Page 11 of 20 Staff has briefed Council on the progress and development of the Redistricting Plan as information was received from the consultants and believes the draft plan meets the criteria required per RCW 29A.76.010(4) and the federal VRA: 1. Each internal director, council, or commissioner district shall be as nearly equal in population as possible to each and every other such district comprising the municipal corporation, county, or special purpose district. 2. Each district shall be as compact as possible. 3. Each district shall consist of geographically contiguous area. 4. Population data may not be used for purposes of favoring or disfavoring any racial group or political party. 5. To the extent feasible and if not inconsistent with the basic enabling legislation for the municipal corporation, county, or district, the district boundaries shall coincide with existing recognized natural boundaries and shall, to the extent possible, preserve existing communities of related and mutual interest. Staff recommends that Council authorize publication for public comment of the draft Redistricting Plan and schedule public comment on the draft plan at the November 7, 2022, regular meeting. Staff will publish and distribute the dr aft plan consistent with the requirements of the two applicable VRAs. REFERENCE(S): Proposed Resolution with Mark-ups Proposed Resolution - Final Version Resolution No. 3388 (approved 4.16.2012) II. ACTION REQUESTED OF COUNCIL / STAFF RECOMMENDATIONS: MOTION: I move to approve Resolution No. 4262, amending the process for appointments to City Boards and Commissions. III. FISCAL IMPACT: None IV. HISTORY AND FACTS BRIEF: Mayoral appointments to the City of Pasco Boards & Commissions have been managed in accordance with Resolution No. 3388, since it was last amended on April 16, 2012. The process for soliciting and reviewing applications, interviewing candidates and appointing/reappointing members to the City's Boards and Commissions (B/C) included the full City Council interviewing the selected candidates during a Council Workshop following the Screening Committee (consisting of the Mayor and two Councilmembers appointed by the Mayor) narrowing down the applicant pool. The full Council interview process was interrupted in 2020 when the COVID-19 pandemic prohibited "in-person" public meetings and gatherings from occurring for over two (2) years. Recently, the Washington State Governor Inslee Page 14 of 20 remanded his emergency orders pertaining to public meetings and as a result the prohibition on in-person meetings has been removed with the option of virtual attendance. During the pandemic, the City Boards & Commissions position appointment and reappointment process continued virtually by means of the Council forming Council Boards & Commissions Subcommittees (Council B/C Subcommittee), consisting of the Mayor and two appointed Councilmembers, to first review the applications packets for the specific B/C and then to schedule virtual interviews with the selected candidates. After the interviews concluded, the Council B/C Subcommittee would deliberate and the Mayor would make the selection or selections for appointment or reappointmen t at a subsequent Council meeting, the Council would then consider confirmation of the appointment or reappointment by a majority vote. V. DISCUSSION: During the October 3rd Council meeting, under the Miscellaneous Discussion, Council discussed the board and commission process and directed that staff bring back a revised resolution for their consideration updating the City's Boards & Commissions appointment process based on the October 3rd discussion. Council reviewed the proposed resolution memorializing the City's Boards & Commissions Appointment Process as it is currently functioning at their October 11, 2022, Workshop and again at their October 17, 2022 Meeting where additional language regarding candidate qualifications was amended within Section 2 of the Resolution. Staff recommends approval of Resolution No. 4262 updating the City's Boards & Commissions Appointment Process. Page 15 of 20 Resolution – BC Interview & Appointment Process - 1 RESOLUTION NO. 4262 A RESOLUTION OF THE CITY OF PASCO, WASHINGTON AMENDING THE PROCESS FOR APPOINTMENTS TO CITY BOARDS AND COMMISSIONS. WHEREAS, the City of Pasco maintains several citizen boards and commissions to assist the delivery of municipal services, as well as to advise the City Council in making policy decisions; and WHEREAS, the appointment process prescribed throughout the Pasco Municipal Code requires the Mayor to appoint qualified individuals to vacancies on such boards or commissions, subject to confirmation of the City Council; and WHEREAS, the last amendment to the City’s Boards and Commissions appointment process was passed by Council on April 16, 2012, through Resolution No. 3388; and WHEREAS, the solicitation process and management of the City’s Boards and Commissions members was transferred from the City Manager’s Office to the City Clerk’s Office in January 2020; and WHEREAS, during the onset of the COVID-19 pandemic in early 2020, the process for reviewing application packets and interviewing candidates was modified to accommodate meeting restrictions, which also allowed for the use of new technology providing for the conduct of interviews virtually; and WHEREAS, the Mayor and City Council desire to continue reviewing City Boards and Commissions application packets and interviewing candidates through a Council subcommittee consisting of two Councilmembers and the Mayor, which has been effective and efficient for both the City Council and applicants alike. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PASCO, WASHINGTON: Section 1: Applications for vacancies on City Boards and Commissions shall be solicited by the City Clerk’s Office on behalf of the City Council prior to when a position’s term expires or when a vacancy occurs due to a resignation or removal of a member. Section 2: Application packets, of those candidates meeting the qualifications for the Board or Commission position(s), shall be reviewed by a Council subcommittee appointed by the Mayor, which shall include the Mayor and two Councilmembers. The Council subcommittee shall be ad-hoc and appointed when applications are received for a current vacancy or vacancies or for upcoming position term expirations. The Council subcommittee shall select those candidates it deems best suited for the respective Board/Commission but not more than three candidates for Page 16 of 20 Resolution – BC Interview & Appointment Process - 2 each vacancy to be filled. WHEREAS, the City of Pasco maintains several citizen advisory boards to assist the delivery of municipal services as well as to advise the City Council in making various policy decisions; and WHEREAS, the appointment process prescribed by the Pasco Municipal Code requires the Mayor to appoint citizens to vacancies on such boards, subject to confirmation of the City Council; and WHEREAS, the Mayor and City Council desire to establish an appointment process which is more collaborative yet efficient for both the applicants and City Council alike;NOW,THEREFORE, THE CITY COUNCIL OF THE CITY OF PASCO, WASHINGTON DOES RESOLVES AS FOLLOWS: Section 1: Applications for city boards and commissions shall be solicited annually by the City Manager on behalf of the City Council. Section 2: All applications received by the City Manager shall be reviewed by a City Council committee appointed by the Mayor; such committee, to be known as the "Appointment Screening Committee," shall be ad-hoc, appointed annually, and consist of three members, including the Mayor. The Appointment Screening Committee shall select those applicants it deems best suited for the respective board/commission but not more than three applicants for each vacancy to be filled. The Appointment Screening Committee shall consider the following factors in making their selections for further consideration: a) Geographic representation; b) Gender representation; c) Ethnic representation; d) Familial and financial relationships of board members Section 3: Those applicants selected by the Appointment Screening Committee shall be interviewed by the City Council during a public meeting; provided, however, the Screening Committee may recommend reappointment of an incumbent applicant without interview by the City Council if the incumbent has •-- • - - -•served not more than two consecutive• terms since the last interview. At a City Council meeting following such interview, an interviewed candidate shall be selected by the Mayor for appointment to each vacancy.
