REFERENCE(S): Resolution Amendment No. 3 for Extension to Interlocal (30 -days) II. ACTION REQUESTED OF COUNCIL / STAFF RECOMMENDATIONS: MOTION: I move to approve Resolution No. ____, approving Amendment No. 3 to the Interlocal Cooperation Agreement between City of Pasco and Mid - Columbia Libraries for a 30-day extension. III. FISCAL IMPACT: None IV. HISTORY AND FACTS BRIEF: On December 3, 2001, the City of Pasco (City) and Mid-Columbia Libraries (MCL) entered into an Interlocal Cooperation Agreement to provide library locations and services to the community. A second ILA between the City and MCL to continue offering library services and provide library facilities to Pasco residents was approved by Council on June 1, 2010. The term of the this ILA commenced on January 1, 2011, and included two extensions of which the second extension expires on June 30, 2022. The MLC Executive Director and Chief Librarian Kyle Cox provided Council with an update at the May 9, 2022 Council Workshop providing the stats of the Pasco library users, the needs of those users, as well as the needs of the MLC to continue to provide services for Pasco residents. Page 2 of 7 Since that time, staff from the MCL and the City have commenced negotiations for a new ten-year ILA. V. DISCUSSION: MCL and City staff mutually agree additional time is needed to finalize discussions on a successor ILA. To ensure services to Pasco residents are not impacted, staff recommends the approval of Amendment No. 3 to the Interlocal Cooperation Agreement with the Mid-Columbia Libraries for an additional 30 days. Page 3 of 7 Resolution – 2022-2032 ILA for Library Services - 1 RESOLUTION NO. _____ A RESOLUTION OF THE CITY OF PASCO, WASHINGTON, APPROVING AMENDMENT NO. 3 TO THE INTERLOCAL COOPERATION AGREEMENT WITH THE MID-COLUMBIA LIBRARIES THROUGH JULY 30, 2022. WHEREAS, the City of Pasco and Mid-Columbia Libraries entered into an Interlocal Agreement (ILA) on December 3, 2001, for the purpose of providing library services to the citizens of the City of Pasco, it was later amended by Addendum dated November 19, 2008, and then extended by an agreement dated February 16, 2010; and WHEREAS, a new ILA was entered into on June 7, 2010, for a ten-year period ending on December 31, 2020, Amendment No. 1, approved by Resolution No. 3996, extended the ILA to December 31, 2021, and Amendment No. 2, approved by Resolution No. 4117, extended the ILA through June 30, 2022; and WHEREAS, the City and Mid-Columbia Libraries continue to negotiate a new ILA, additional time is needed to complete the negotiations; therefore, Amendment No. 3 to the current ILA will extend the ILA for 30 days or until July 30, 2022; and WHEREAS, the City Council of the City of Pasco, Washington, has after due consideration, determined that it is in the best interest of the City of Pasco to amend the Interlocal Agreement with Mid-Columbia Libraries for thirty days. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PASCO, WASHINGTON: That the City Manager is authorized to sign and execute Amendment No. 3 to Interlocal Cooperation Agreement between the City of Pasco and the Mid-Columbia Libraries for thirty days, a copy of which is attached hereto and incorporated herein by reference as Exhibit A; and to take all necessary steps required to accomplish this transaction; and Be It Further Resolved, that this Resolution shall take effect immediately. Page 4 of 7 Resolution – 2022-2032 ILA for Library Services - 2 PASSED by the City Council of the City of Pasco, Washington this ___ day of _____, 2022. _____________________________ Blanche Barajas Mayor ATTEST: APPROVED AS TO FORM: _____________________________ ___________________________ Debra Barham, CMC Kerr Ferguson Law, PLLC City Clerk City Attorneys Page 5 of 7 Amendment No. 3 ILA With Mid-Columbia Libraries - 1 AMENDMENT NO. 3 INTERLOCAL COOPERATION AGREEMENT BETWEEN THE CITY PASCO AND MID-COLUMBIA LIBRARIES THIS AMENDMENT, made and entered into this _____ day of June 2022, by MID- COLUMBIA LIBRARIES, an intercounty rural library district of Benton and Franklin Counties, by and through the Board of Trustees of the same, duly organized and existing under the laws of the State of Washington, hereinafter called the “District”, and the CITY OF PASCO, WASHINGTON, a municipal corporation hereinafter called the “City”. WITNESSETH: WHEREAS, the District and the City have been operating successfully under an Agreement dated June 7, 2010; Amendment No. 1 on October 20, 2020; and Amendment No. 2 which expires on June 30, 2022; and WHEREAS, the City and the District desire to extend the contract through July 30, 2022, to allow the City and the District additional time to review and negotiate the terms and conditions of a successive Agreement in a way that continues to be beneficial to both parties, and which continues to give the best library service to the greatest number of people, including the residents of the City. NOW THEREFORE, IT IS HEREBY AGREED as follows: 1. That Section XII. Term of Agreement of the Interlocal Cooperation Agreement dated June 7, 2010, is hereby amended and the Agreement is hereby extended through July 30, 2022; and Amendment No. 3 shall replace and supersede Amendment No. 1 and Amendment No. 2 “Term of Agreement.” 2. All other terms and conditions of the Agreement remain in full force and effect except as to the extent set forth in this agreement. IN WITNESS THEREOF, the District and the said City have caused this Amendment to be executed by their respective officers on the day and year first written above.
