Home My WebLink AboutILA - Franklin County Hospital District - Ambulance ServiceINTERLOCAL COOPERATION AGREEMENT CITY OF PASCO AND NORTH FRANKLIN HOSPITAL DISTRICT THIS AGREEMENT is made and entered into this day of 62e76 G- 2002, between the City of Pasco, Washington, a Washington Municipal Cooperation, hereinafter referred to as "City", and North Franklin Hospital District, a Municipal Corporation, hereinafter referred to as "Hospital District". WHEREAS, the City operates an emergency ambulance service and has responded to aid the Hospital District with its emergency ambulance service in the past; WHEREAS, the Hospital District is desirous of continuing the City's emergency ambulance response when requested; and NOW, THEREFORE, in consideration of the covenants and promises set forth herein and for other valuable consideration, the parties agree as follows: SECTION ONE PURPOSE The City shall assist the Hospital District ambulance services by transporting Hospital District's patients from Hospital District's ambulances at or near the City's limits to medical facilities located within the City of Pasco, Washington. SECTION TWO LEVEL OF SERVICES A. Upon the request of the Hospital District for emergency ambulance services, the City will provide, to the extent available, an ALS unit to meet the Hospital District's ambulance at or as near to the City's limits as possible. This service shall be known as "Intercept Emergency Ambulance Service." B. Any call for assistance received by the City from any officer, employee or agent of the Hospital District, confirmed through dispatch, shall be an authorized call for assistance under the terms of this Agreement. SECTION THREE FUNDING Consideration for the rendering of emergency medical ambulance services shall be as follows: Interlocal Cooperative Agreement City of Pasco/North Franklin Hospital District - 1 A. The City shall directly bill all patients receiving intercept emergency ambulance services at the established rates and fees for such services as established by the then current fee schedule established by Resolution, which shall include the Hospital District's fees. B. The Hospital District shall pay to the City the sum of ONE HUNDRED FIVE DOLLARS and 00/100 ($105.00) per quarter of each year during the term of this Agreement for the payment of administrative expenses. C. The City shall forward all patient payments of the Hospital District's fees to the Hospital District quarterly. The quarterly administrative fee may be deducted by the City from the Hospital District's quarterly reimbursement. SECTION FOUR TERM OF AGREEMENT The initial term of this Agreement shall commence on the 1st day of October, 2002, and terminate on the 31St day of December, 2005. This Agreement shall be automatically renewed for successive three (3) year terms, unless either party gives a ninety (90) days advanced written notice of its intent not to renew. SECTION FIVE INDEMNIFICATION The City and the Hospital District shall defend, indemnify and hold each other harmless from any claims, damages, causes of action, or judgments arising from, or as a direct result of the negligent or intentional acts of its respective agents, employees, or officers. Except as provided above, the Hospital District shall, pursuant to RCW 38.52.080, defend, indemnify and hold the City harmless from any loss or damage sustained as a result of its participation in this Agreement. SECTION SIX INTERLOCAL COOPERATION ACT PROVISION All vehicles, equipment, inventory and any improvements thereto shall remain the sole property of the City. All personnel utilized by the City in the fulfillment of this Agreement shall be solely within the supervision, direction and control of the City and shall not be construed as "loan servants" or employees of the Hospital District. Except for the payment required by Section Three above, all funding, incident to the fulfillment of this Interlocal Cooperative Agreement, shall be the sole responsibility of the City and no special budget or funds are anticipated or shall be created. It is not the intention that a separate legal entity be established to conduct the cooperative undertaking nor is the acquiring, holding, or disposing of real or personal property anticipated. The City Fire Chief shall be designated as the Administrator of this Interlocal Cooperative Agreement. Interlocal Cooperative Agreement City of Pasco/North Franklin Hospital District - 2 SECTION SEVEN ENTIRE AGREEMENT This Agreement contains all the terms and conditions agreed upon by the parties. All items incorporated by reference are attached. No other understanding, verbal or otherwise, in regards to the subject matter of this Agreement, shall be deemed to exist. Any modifications to this Agreement shall be in writing and signed by both parties to be effective. SECTION EIGHT APPLICABLE LAW This Agreement is governed, construed and enforced in accordance with the substantive laws of the State of Washington. Should any dispute arise concerning the enforcement, breach, or interpretation of this Agreement, venue shall be placed in Franklin County, Washington, and the prevailing party shall be entitled to its reasonable attorney fees and costs as additional judgment. SECTION NINE AUTHORITY FOR EXECUTION Hospital District warrants and represents that its representatives, whose signatures are below, possess all required authority to sign this Agreement and such powers have not, as of the date of this Agreement, been revoked or revised.
